Lhmmum WORK ORDER NUMBER 2 A01 O 3 This Work Order Number 2 is entered into as of this 21St day of February 2012 , pursuant to that certain Continuing Contract Agreement for Professional Services entered into as of November 15 , 2011 , (the "Agreement ") by and between INDIAN RIVER COUNTY , a political subdivision of the State of Florida ( " COUNTY" ) and MBV ENGINEERING , INC . (" CONSULTANT" ) . The COUNTY has selected the Consultant to perform the professional services set forth on Exhibit 1 ( Scope of Work ) , attached to this Work Order and made part hereof by this reference . The professional services will be performed by the Consultant for the fee schedule set forth in Exhibit 1 ( Fee Schedule) , attached to this Work Order and made a part hereof by this reference . The Consultant will perform the professional services within the timeframe more particularly set forth in Exhibit 1 (Time Schedule ) , attached to this Work Order and made a part hereof by this reference all in accordance with the terms and provisions set forth in the Agreement . Pursuant to paragraph 1 . 4 of the Agreement , nothing contained in any Work Order shall conflict with the terms of the Agreement and the terms of the Agreement shall be deemed to be incorporated in each individual Work Order as if fully set forth herein . Olson : nt your request , we are hereby submitting our proposal to provide professional services for the above subject project . A6 Scope of Work / Services : It is our understanding that the County intends to upgrade the existing RS View " software Sy* at the South County RO Plant to a Wonderware°" software system that will be compatible with the software at the North County RO Plant . It is expected that this upgrade will significantly improve the operations at both plants by providing staffing flexibility , and by increasing the reliability of both monitoring systems . Furthermore , it is our understanding that a detailed set of ' specitications is needed for the proposed upgrade . B . Continued performance of work/ services by MBV F, ngmecring , Inc . does not constitute a waiver of their right to stop performing work/services in the future . I : . Schedule : IV1BV t : nginecring , Inc will complete the tasks mentioned above in a timely manner . It is anticipated that this scope of work will be completed within 30 days , upon receipt of a signed contract . II . Dispute Resolution : In the event of any dispute concerning this Proposal /Contract for Professional Fngincering Scr \ ices , MBV i: ngineering , Inc . shall be entitled to recovery of its reasonable attorney ' s fees and costs incurred in connection with the dispute , including court costs and fees and costs of appeals . Dispute resolution and the location jurisdiction thereof, may be by mediation , arbitration and /or court action in the sole discretion of MBV Engineering, Inc . The laws and statutes of the State of Florida shall govern all dispute resolution . (_� .
