THE MOORINGS CLUB , INC . FOR INSTALLATION ANIS CONSTRUCTION
OF A SIDEWALK ALONG HARBOR DRIVE
THIS AGREEMENT , entered this 2.J 0009ay of 4-4-02 4= , 2010 , by and between
Indian River County , Florida a political subdivision of the State of Florida , 1801 27 `I' Street , Vero
Beach , Florida , 32960 hereafter referred to as " County" , and The Moorings Club , Inc . , 100 Harbor
Drive , Vero Beach , Florida 32963 , hereafter referred to as " Developer . "
WITNESSETH
WHEREAS, Developer has requested cost sharing assistance to design , permit and construct
a five to six foot wide sidewalk within County owned right- of- way along Harbor Drive in the
Moorings Subdivision in Indian River County , Right- of- Way Permit Number 2009050299 , herein
after referred to as the " Project" the legal description is attached as Exhibit " A " and incorporated
herein by reference , and ;
WHEREAS , the sidewalk will also be built over property owned by the Developer and
Developer will convey a sidewalk easement to County to provide for public access to the portions of
the sidewalk that will traverse Developer ' s property ; and
WHEREAS , County , by its Board of County Commissioners approved expenditure of up to
$ 30 , 000 . 00 from the petition paving accOLInt In order to meet its 25 % cost sharing obligation ; and
WHEREAS , the final cost of the County ' s obligation is $ 14 , 321 . 93 ; and
WHEREAS , the COUNTY has participated in other cost sharing projects including the
Highway A - 1 - A multi - use path in the South Beach area ; and
WHEREAS , both County and Developer can mutually benefit each other through a joint
effort that will transfer responsibility of constructing the sidewalk from the County to the Developer .
THEREFORE , In consideration of the mutual terms , conditions , promises , covenants and
premises hereinafter , the County and Developer agree as follows :
1 . The above recitals are affirmed as being true and correct and are thereby incorporated
herein .
2 . The Developer agrees to plan , design and construct a five foot wide sidewalk along the west
side of Harbor Drive and a six foot wide sidewalk along the east side of Harbor Drive
totaling ± 3 ,405 linear feet , together with the necessary signage and crosswalk improvements

WITNESSETH

or against any party by reason of the physical preparation of this Agreement .
14 . COUNTY and DEVELOPER shall grant such further assurances and provide such
additional documents as may be required by one another from time to time , and cooperate
fully with One another in order to carry out the terms and conditions hereof and comply
with the express intention of this Agreement .
15 . Failure to ► nSlSt upon Strict compliance with any of the terms , covenants , or conditions
herein shall not be deemed a waiver of such terms , covenants , or conditions , nor Shall any
waiver or relinquishment of any right or power hereunder at any one time or times be
deemed a waiver or relinquishment of such right or power at any other time or times .
16 . In the event any term , condition , or clause of this Agreement is declared to be illegal or
unenforceable by a court of competent jurisdiction , such declaration of illegality or
unenforceability shall not affect or alter the legality or enforceability of any remaining
term , condition , or clause hereof, provided of the parties , as set forth in this Agreement .
IN WITNESS WHEREOF the County and Developer have caused these presents to be
executed in their names , the day and year first above written .

That GRANTOR for and in consideration of the sum of TEN DOLLARS
( $ 10 . 00 ) and other valuable consideration , receipt of which is hereby
acknowledged by these presents does grant , bargain , sell , alien , remise ,
release , convey , and confirm unto the GRANTEE , a perpetual easement for
pedestrian ingress and egress over and across the following described land ,

required by applicable codes , Said improvements are to be constructed within the I Iarbor
Drive right- of- way and over property owned by Developer in conformance with the plans and
specifications contained in County Right- of- Way Permit Number 2009050299 .
3 , The Developer shall be responsible for all construction coordination including advertisement
for bids , contractor selection and construction inspection .
4 . Developer has completed construction of the Project and has obtained final inspection and
approval from County staff.
5 . County shall remit payment to Developer in the sum of $ 14 , 321 . 93 within thirty days of ,
approval of this Agreement .
6 . Developer shall convey to County a perpetual access easement that will provide for public
access to the parts of the sidewalk that lie on property owned by Developer . The Parties
agree that the sidewalk was placed on those portions of Developer ' s golf course property in
order to prevent the loss of trees during construction and to make the sidewalk more
aesthetically pleasing . Developer shall retain the future right to relocate the sidewalk to a
location nearer to and/or to within the existing County right -of- way if Developer deems it is
in their best interests to move the sidewalk off of their property . Any relocation of the
sidewalk would be done at Developer ' s sole expense and with the County ' s permission ; said
permission shall not be unreasonably withheld . After relocation of the sidewalk , the County
shall abandon any part of the easement no longer necessary for public access .
7 . The County shall be responsible for maintenance and repair of the sidewalk .
8 , hn the event of any litigation arising out of this Agreement , each party shall bear its own
attorney fees and costs .
9 . No amendment , modification , change , or alteration of this Agreement shall be valid or
binding unless accomplished in writing and executed by all of the parties hereto .
10 . This Agreement shall be binding upon and inure to the benefit of the parties hereto and
their successors , and assigns .
11 . This Agreement contains the entire agreement and understanding between the parties . No
representation , statement , recital , undertaking , or promise not specifically set forth herein
shall be binding on any party hereto .
12 . This Agreement and all matters arising hereunder shall be governed by and construed in
accordance with the laws of the State of Florida . Venue hereunder shall lie in Indian
River County , Florida .
