OEA AAL DEPUTY COUNTY ATTORNEY A TRUE COPY CERTIFICATION ON J , K , 8Aft T 0 N (; C � F; K WARRANTY AND GUARANTY AGREEMENT AND BILL OF SALE FOR REQUIRED IMPROVEMENTS CONTRACT NO , PD-04-07 =12-W&G WHEREAS, the undersigned Developer wishes to obtain a Certificate of Completion for a project known as Quail Creek PD , pursuarnt to the Indian River County Subdivision land Platting Ordinance; and WHEREAS Developer has constructed certain required improvements as defined by , and in accordance with the requirements of said ordinance, all as described and evidencod in the various drawings and plans supporting the issuance of the Land Development Permit or site plan , as applicable, together with the as built plans, test results_, and certificate of completion of the Developer's engineer; and WHEREAS , Deveioper desires to transfer all its right; title and interest to the County of all eicsting warranties and Developers agreement to cause to be repaired defects in workmanship and materials in private and public road and drainage impmveMonts, as requiredby ordinance, and as stated herein below. WITNESSETH : That for and in consideration of the sum of ONE DOLLAR ($ 1 ..00) and ether good and valuable consideration , the receipt of which is hereby acknowledged , Developer, on behalf of itself and all successors and assigns , does hereby: 1 . Represent unto Indian River County, a political subdivision of the State of Florida, that :the 'required in'lprovements in said project have, been constr.ucted and installed as :required by the ordinance,. in the manner described above;_ and specifically consist of; See Exhibit "A" attached hereto 2 _ Agree that, should the required improvements fail or other-wise become deflective during a period -of one year from the date of- Certificate of Completion of said required. ii°nprovem ns (igeptember 30, 2Q11 to September 30 , 2012) , due to defective materials or workmanship , the Developer shall upon. each occasion , be responsible in all respects for such failure or defect. Acknowledge that, in the. event Developer fails to begin or cause repair of the defective required improvements within 20 days, or to complete such . repairs within a reasonable. time 'thereafter, the County shall have the right to make such needed repairs and Developer shall be liable to the County for the actual cost expended by the .County for such repairs and . any cost incident to the collection of such sums , including but not limited to; reasonable ettomey"s fees and costs of litigation , including any appeals ; and 4 . Developer hereby gives permission to County, County's contractors and subcontractors to go on litt prop ei#y for purposes of inspection , repair and remediation of the roadway and drainage improvements during the warranty period . If the property is sold by Developer, Developer acknowledges that the granting of this permission will be preserved and recited in any document transferring title to Developer's successor andtor :assign& b .
