FIRST AMENDMENT TO CONTRACT AGREEMENT I a 13s

SOLID WASTE OPERATIONS AND MAINTENANCE
This First Amendment to Contract Agreement ( "Amendment" ) is entered into this 7th day of
February ( " Effective Date " ) by and between INDIAN RIVER COUNTY SOLID WASTE
DISPOSAL DISTRICT, a dependent special district of Indian River County, Florida , whose address is
c/o Department of Utility Services, 1801 27th Street , Vero Beach , Florida 32960 ( hereinafter
referred to as the " District" or "SWDD " ) , and Republic Services of Florida , Limited Partnership
whose address is 3905 Oslo Road , Vero Beach , FL 32968 , ( hereinafter referred to as the
" Contractor " ) , for the services set forth herein .
BACKGROUND RECITALS :
WHEREAS, the District and the Contractor entered into that certain Contract Agreement , dated
January 1, 2011 (the Contract Agreement and amendment together with all contract documents
appended thereto is hereinafter referred to as the " Contract" ) , which provides for the professional
operation , management and post closure requirements of the Class 1 landfill at 1325 74th Avenue
Southwest, Vero Beach , Florida ( hereinafter " Landfill " ) ; for the operation and maintenance of the
Landfill GCCS ; the operation and maintenance of the adjacent storm water management system
and associated roads and the professional operation and management of the non - Class 1 landfill
portions of the Landfill site including but not limited to the management of the Municipal
Recovery Facility ( MRF ) , the Small Load Drop - off Area , the Waste Tire Facility, the Metal Storage
Area , the Household Hazardous Waste ( HHW ) Facility, Clean Concrete Storage Area and other
maintenance activities as well as the off- site activities associated with the operations and
maintenance of the five customer convenience centers including transportation and disposal
service for eight ( 8 ) specific locations, up to twenty ( 20 ) roadway cleanup projects, and up
to
twenty ( 20 ) special events , in each case subject to the terms and conditions described in
the
Contract ; and
WHEREAS, under the terms of the Contract , the Contractor, at SWDD ' s request and subject to
mutually satisfactory negotiated terms and acceptable compensation , shall provide additional
services in connection with the Landfill and the customer convenience centers not included above
and as required by SWDD ; and
WHEREAS, the parties desire to amend the Contract to provide for such additional services .
NOW, THEREFORE , in consideration of these premises, and other good and valuable consideration ,
the receipt and sufficiency of which are hereby acknowledged , the parties hereto , intending to be
legally bound , covenant and agree to amend the Contract as follows :
1 . The existing Article 1 — SCOPE OF WORK of the Contract is modified to include the
following :
GAS FLARE STATION RELOCATION . The Contractor shall undertake and complete the Gas
Flare Station Relocation at the Landfill based on Geosyntec' s Project # FL1863A drawings
and specifications dated October 2011 . The Contractor is authorized to use the services of
Golder Associates , Inc . as a subcontractor on the project .

2 . The existing Article 2 — TERM OF CONTRACT is modified to include the following :
iii ) The Contractor shall be substantially completed with the Gas Flare Station
Relocation at the Landfill within the following time frame :
a . Within 30 calendar days from effective date of Notice to Proceed , the
Contractor shall complete the following tasks, in each case assuming the
cooperation of the District :
1 . Obtain all necessary permits .
2 . Receive approved shop drawings for all materials and equipment to be
utilized in the job .
3 . Perform all photographic recording and documentation of conditions prior
to construction .
4 . Locate all existing utilities in the area of work .
5 . Submit and secure approval of shop drawings .
6 . Mobilize all labor, equipment, and materials .
7 . Deliver and store all equipment and materials to the job site .
8 . Notify all utilities and other affected parties prior to initiating construction .
b . From 30 calendar days to 60 calendar days from the effective date of Notice to
Proceed , the Contractor shall complete the following tasks :
1 . Construction of concrete pad and relocation of the gas flare station ;
2 . Complete all components of the flare relocation including installation of the
gas header, condensate sump , header access riser, underground valves and
appurtenant structures .
3 . The existing Article 3 — COMPENSATION of the Contract is modified to include the
following :
xiii ) Payment for the Gas Flare Station Relocation at the Landfill will be $ 319 , 557 . 00 as
provided in the proposal by Golder Associates , Inc . in Exhibit # 1 plus the
contingency fee and the management fee outlined below . The price does not
include the following :
• Costs for items, which are the subject of, approved change orders, per the
20 % contingency .
• Contract Management costs/fees of 10 % as agreed by the parties pursuant to
the Contract . Such contract management costs/fees shall be paid to
Contractor together with progress payments for the project .
• The total payment to Contractor shall not exceed $ 421, 815 . 24 .
4 . The background recitals are true and correct and form a material part of the Amendment .
5 . All terms and provisions of the Contract not amended by this Amendment shall be and
remain in full force and effect .
IN WITNESS WHEREOF, the parties have caused this Amendment to be executed by their

INTRODUCTION
Geosyntec Consultants (Geosyntec) has prepared this memorandum to provide an evaluation of
the proposal from Golder Associates Inc . (Golder) through Republic Services , Inc . ( Republic) for
the relocation of the landfill gas ( LFG ) flare station at the Indian River County Landfill (IRCL )
facility , Vero Beach , Florida . Golder is the current LFG operation and maintenance (O& M )
subcontractor to Republic under the landfill operations contract with SWDD . This memorandum
was prepared in response to a January 26, 2012 e - mail request from Mr. Himanshu Mehta, P . E . ,
Managing Director of the Solid Waste Disposal District ( SWDD) of Indian River County ( IRC )
to Dr . Kwasi Badu -Tweneboah , P . E . of Geosyntec .
PROJECT BACKGROUND
On May 17 , 2011 the SWDD Board authorized Geosyntec through Amendment 1 to Work Order
No . 28 for engineering services for the procurement of a construction contract and development
of Engineer ' s Estimate of construction cost for Phase 2 of the Cell 1 of Segment 3 Expansion of
the IRCL facility ( i . e . , Phase 2 Project) . The Phase 2 project consists of the construction of the
Cell 1 liner and leachate control systems, improvements to the stormwater management system
and perimeter access roads , and relocation of the gas flare to be performed by a contractor
selected through the procurement process .
Geosyntec subsequently completed the preparation of the bid documents for the procurement
process and the advertisement for the bids is scheduled to be published in the Vero Beach Press
Journal on February 1 , 2012 . Geosyntec also prepared an Engineer ' s Construction Cost Estimate

for the overall Phase 2 project which was approved as part of the project budget by the SWDD
Board on January 24 , 2012 .
During the performance of the original scope of work approved under Amendment 1 to Work
Order 1 , SWDD requested that Geosyntec prepare a separate bid document for the relocation of
the gas flare . It is our understanding that SWDD wanted to expedite gas flare relocation project
so as to meet the schedule requirements of the INEOS New Planet BioEnergy ( INPB ) project.
Therefore , in October 2011 , SWDD requested a proposal from Shaw Environmental Services
( Shaw) , through Republic for the relocation of the LFG gas flare station ahead of the overall
Phase 2 project . It should be noted that Shaw was the LFG O& M subcontractor to Republic in
2011 . The total cost from Shaw ' s proposal , including a 20 percent contingency , was
$467 , 684 . 70 . Based on an extrapolation of the costs for the LFG flare station relocation from
the overall Engineer ' s Construction Cost Estimate for the Phase 2 project, Geosyntec evaluated
Shaw ' s bid price to be too high and suggested that SWDD rejects that and pursue other options .
In January 2012 SWDD requested Geosyntec to forward the Bid Documents for LFG flare
station relocation project to Golder through Republic for another proposal , and again with the
goal of expedite construction of this component prior to award of contract for the other parts of
the Phase 2 project . Golder ' s proposal is attached herein and SWDD has requested Geosyntec to
review and provide a recommendation to SWDD on the qualifications and cost proposal .
PROPOSAL EVALUATION
Geosyntec recognizes Golder as a company providing consulting , design , and construction
services in earth , environment, and related areas of energy . A review of Golder ' s proposal
indicates that they have provided LFG construction related services in Florida, Georgia,
Louisiana, Texas , Colorado , California, including a LFG flare relocation project in Broward
County , Florida and flare modifications in Nassau County , Florida . Golder included project
descriptions of these two projects and other landfill projects in Florida and Georgia. One of the
landfills is owned by Republic . Even though Geosyntec did not check any of the landfills for
specific reference , we believe that Golder is qualified to provide these services through Republic .
The total cost from Golder ' s proposal , including a 20 percent contingency , is $ 383 , 468 . 40 . It
should be noted that this cost has been revised from the cost that was submitted with Golder Is
initial proposal . Based on suggestions from Geosyntec , a teleconference was held on January 30 ,
2012 with Golder, SWDD, and Republic during which Golder was asked to revisit some of their
prices on the Bid Form .
Geosyntec has also revisited its Engineer ' s Cost Estimate for the LFG flare relocation project
and has come up with a total cost , including 20 percent contingency , of $ 368 , 698 . 00 . It should
be noted that this cost estimate is intended to represent a reasonable estimate of the cost
to
construct the LFG flare station relocation project and is subject to the inherent uncertainties

discussed in our January 17 , 2012 memorandum on the Engineer ' s Construction Cost Estimate
for the overall Phase 2 project . Based on a comparison of the two cost estimates , Golder ' s total
cost exceeds Geosyntec ' s estimate by approximately 4 percent.
RECOMMENDATION
Based on the review and evaluation presented above , Geosyntec recommends that SWDD enters
into an agreement with Golder through Republic for the LFG flare station relocation . This
recommendation is also based on consideration of the time constraints facing SWDD in order to
have the LFG ready for the INPB project and the fact that Golder ' s total cost is less than Shaw ' s .
CLOSING
Geosyntec appreciates this opportunity to provide services to the Indian River County Solid
Waste Disposal District on this project.

Golder Associates Inc . ( Golder ) is please to present this proposal to provide construction services
to
Republic ( Republic ) related relocation of the flare station at the Indian River County Solid Waste Landfill .
PROJECT UNDERSTANDING
Golder' s understanding of the project is based on drawings and technical specifications dated
October, 2011 , prepared by Geosyntec Consultants ( Geosyntec ) , the scope of work as detailed on the
Engineer' s Estimate Form , information gathered during the conference call conducted on January 19 ,
2012 , and direction from Geosyntec in response to several questions submitted via email after that call .
In summary, the work consists of relocation of the existing skid -mounted flare system to the new location
north of the paved access road . Related work required to accomplish the project includes demolition , site
work , structural concrete slab , HDPE piping and related appurtenances , and installation of a new HDPE
condensate sump , all as described in the drawings and specifications .
PERTINENT EXPERIENCE
Golder's solid waste construction experience includes both municipal and commercial projects from a
flare relocation in Broward County to flare modifications in Nassau County. In addition to the construction
experience described below, Golder has extensive engineering and field operations experience in Florida ,
Georgia , Louisiana , Texas , Colorado and California . Attached to this proposal are project descriptions for
2-3 relevant projects completed in Florida .
PROJECT STAFF
Golder's will use only those staff familiar with landfill projects and the precautions associated with working
on an active facility . Those key staff include Mike Dickey ( site superintendent/manager) , Gabriel Brendel
( lead technician ) , and Royce Keul ( senior technician ) . Summaries of their experience are provided below .
w Mike Dickey is a senior construction manager/engineer with Golder Associates , and he is
a licensed Professional Engineer in the State of Florida . His experience includes landfill
gas flare relocation/startup/operation/ monitoring/repair, demolition and decommissioning ,
construction management , field operations management , and condensate collection
system modifications and repair. He has also been directly responsible for client
interaction , contract management , permitting activities , and regulatory support . He was
the project manager for a gas flare relocation project completed in 2011 at the Broward
County Interim Contingency Landfill in Broward County , as well as GCCS

field operations management , landfill gas collection and control system
repairlinstallation/operation , landfill field services , leachate/condensate collection
systems O &M , and equipment decommissioning/demolition work . He has also been
directly responsible for client interaction , contract management , and regulatory support
on certain projects. He was the lead technician for a gas flare relocation project
completed in 2011 at the Broward County Interim Contingency Landfill in Broward
County , GCCS decommissioning and removal activities completed in 2011 at the Davie
Landfill in Davie , Florida , and operation and maintenance activities for the flare and
GCCS at the West Nassau County landfill located in Nassau County, Florida . Project
profiles for these projects are provided as attachments to this letter .
■ Royce Keul is a senior technician with Golder Associates . His experience includes
landfill gas flare relocation/startup/operation/monitoring/repair, demolition and
decommissioning , construction management , field operations management , and
condensate collection system modifications and repair. He was the senior field
technician for a gas flare relocation project completed in 2011 at the Broward County
Interim Contingency Landfill in Broward County, GCCS decommissioning and removal
activities completed in 2011 at the Davie Landfill in Davie , Florida , and gas system repair
work at the Nassau County Landfill located in Nassau County, Florida . Project profiles
for these projects are provided as attachments to this letter .
In addition to the above we will supplement our staff with associated craft and skilled laborers ,
as
needed to complete the project on time .
PROJECT PRICING
Golder' s proposed pricing for the project is presented on the attached Engineer's Estimate form .
CLARIFICATIONS AND ASSUMPTIONS
Golder' s proposed pricing for the project is based on the requirements in the project documents
and
several issues were either clarified of modified during the bid process . To ensure that these modifications
are understood , our proposal is submitted subject to the following :
■ Clearing , grubbing , and demolition debris will be disposed of at the landfill at no charge to
the Contractor. The contractor will weigh these materials on the landfill before disposal
and disposed of at the location ( s) designated by the County;
■ The "Construction Manager" described in the documents will be designated by and
assumed employed by Indian River County;
n Geosyntec will act as the County's construction quality assurance ( CQA) and quality
control consultant . Quality control will be performed by Geosyntec at no charge to the
Contractor.
■ The only plans required will be a Health and Safety plan and an Earthwork plan ;
■ The only permits required by the contractor are permits for the concrete pad and
installation of the fence . The County will be responsible for all other permits ;
n Payment and performance bonds are not required for this project .
Soil excavated for pipe trenches can be re-used for pipe bedding and backfill .

■ The existing pneumatic pump in the existing sump will be re-used and installed in the
proposed new condensate sump . Where references and details on the drawings refer to
electrical components , those items will be converted to pneumatic .
■ The standby electrical generator will be furnished and delivered to the site by the County.
If the generator is delivered while the contractor is onsite then the contractor will offload
the generator at the County' s direction . No foundation or electrical connection to support
this generator has been included ;
t The new condensate sump is a single wall structure and is not a dual contained system ;
■ The dual contained HDPE condensate pipes will be installed using the slip lining method ;
■ The electrical control panel at the existing flare station will be reinstalled and reused at
the new flare station location .

off the condensate drain from knock out pot at
flare to condensate sump near flare; (vii) securing loose equipment on the flare skid ; and (viii) miscellaneous preparations as necessary for relocation
of the skid.
Demolition activities shall include demolition/removal of ( i) concrete pad; ( ii ) gravel bed and fence; (iii) — 200 ft. of I -in. HDPE condensate
force main ; (iv) —330 ft. of 14-in . HDPE header

pipe; (v ) 18-in. to 14-in . reducer; (vi ) — 230 ft. of 2 -in . I IDPH air main ; (vii) CMP casing for an main under roadway near Flare;
(viii) backfill after all pipe removal .
The flare start-up shall include (i ) installing electric wiring, (ii) providing header reconnection ; (iii ) repositioning all the units/components on
the flare station after relocation; ( iv) raising the
V flare stack; (v) ensuring operation of all components including blowers, compressor, dryer, knock-out pot, condensate sump and pumps ; and (vi) ensuring
the entire utility flare system
functions smoothly.
Item 8A shall incude cost associated with (i) 48-in . dia. HDPE 10' condensate sump ; (ii) two 24 -in , flanged connections for the header inlet
and outlet; and (iii )
VI components and fittings required for the installation of the sump.
Contractor to use the type of pump (pneumatic pump or electric pump) only after discussion with and approval from the Engineer and/or Owner. If existing
pneumatic pump is used this item
II may not be required .
VIII County purchased generator set shall be offloaded on-site and installed by the contractor on the flare pad.
IN Item IOC may not be required if a pneumatic pump is used in the condensate sump.
