This Temporary Equipment Lease is entered into as of the 21 day of
December , 2010 , by and between Indian River County Solid Waste Disposal District , a
dependent district of Indian River County, a political subdivision of the State of Florida , 1801
27 `h Street , Florida 32960 ( "Lessor" ) and Republic Services of Florida, Limited Partnership ,
doing business as Treasure Coast Refuse , 18500 North Allied Way, Phoenix , Arizona 85054
( "Lessee " ) , as follows :
1 . Lease , Term and Rent . Lessor hereby leases to Lessee and Lessee hereby leases
from Lessor the equipment set forth on Exhibit 1 attached hereto ( " equipment" ) . The term of
such lease shall commence on January 1 , 2011 , on a month to month basis , and , except as set
forth in paragraph 7 below , shall terminate on :March 31 , 2011 . Lessee shall pay as rent for such
equipment the sum of $ 20 , 000 . 00 per month . Said amount shall be paid in advance , without
notice or demand ; provided , however, that that if this lease terminates prior to the end of a month
for which rent has been paid in full in advance , Lessor shall refund the pro-rated unused portion
of said rent .
2 . Title, Use and Location of Equipment . Title to the equipment shall remain
always in the Lessor . Lessee shall use the equipment solely in connection with its operation and
maintenance of the Lessor ' s Class I Landfill and Customer Convenience Centers in Indian River
County, Florida . Such use shall at all times comply with ( i) applicable local , state and federal
laws , ( ii) manufacturer warranties and maintenance agreements , and ( iii) usual and customary
industry standards ; provided , however , that Lessee shall not have liability to Lessor under this
section 2 for any damage or loss to the extent caused by the negligence or willful misconduct of
Lessor, or its employees or agents . The equipment shall remain at all times at the Class I Landfill
or the Customer Convenience Centers , or at related locations or facilities . Lessee shall not
permit any person to drive or operate any motor vehicle included within the equipment over any
public road , if such person has been found guilty of, entered a plea of nolo contendere to , or has
charges pending for, driving under the influence of alcohol or a controlled substance , reckless
driving , or similar charges reflecting reckless or irresponsible operation of a motor vehicle in the
past five ( 5 ) years . Lessee shall not use any motor vehicle to transport any hazardous material ,
as defined under the Hazardous Materials Transportation Act of 1994 , as amended , 49 USC S
5101 , et seq.
3. Maintenance , Repairs and Risk of Loss . Lessee shall maintain and repair the
equipment and shall return the equipment to Lessor at the end of the lease (unless Lessee
purchases the equipment as described in paragraph 7 below) in the same condition that it was in
at the beginning of the lease , reasonable wear and tear excepted ; provided , however , that if the
reasonable cost of a repair exceeds $ 5 ,000 and if the repair arises out of the usual and customary
use of the equipment ( i . e . , the repair does not arise out of Lessee ' s violation of this
lease ,
improper operation, failure to maintain , neglect , abuse , vandalism , theft , etc of the equipment) ,
then Lessor shall , at Lessor ' s option , either ( a) pay the cost of repair, or (b ) remove the item from.
this Lease , in which case , the parties shall negotiate in good faith to determine an appropriate
rent reduction . The risk of all other loss shall be upon the Lessee .

4 . Insurance . Lessee shall at all times maintain the following insurances with
respect to the equipment : $ 1 million combined single limit for bodily injury and property
damage, including coverage for hired and non- owned vehicles , subject to the following : (i) each
policy shall list Indian River County and Lessor as additional insured parties , ( ii) each policy
shall be primary to any insurance carried by Indian River County or Lessor, ( iii ) each policy
shall require that no less than thirty ( 30) days prior to expiration , cancellation , nonrenewal or any
material change in coverage or limits , the insurance company shall provide notice to Lessor by
certified mail , as confirmed in a certificate of insurance delivered to Lessor prior to the
commencement of this lease . Lessee shall also notify Lessor within five ( 5 ) days after receipt of
any notices of expiration , cancellation, nonrenewal or material change in coverage received from
its insurance company, and (iv) each policy shall be issued by an insurance company licensed in
the State of Florida and acceptable to Lessor. Drivers and passengers of any equipment who are
employees of Lessee shall be covered by Lessee ' s workers ' compensation insurance .
5e Indemnification . Lessee shall defend , hold harmless and indemnify Lessor from
any and all claims , causes of action , liabilities , damages and expenses of any kind whatsoever
( including , without limitation , reasonable attorney ' s fees ) arising out of or relating to Lessee ' s
use and possession of the equipment pursuant to this lease ( "Claims " ) ; provided , however , that
the foregoing indemnity obligation shall not apply to any Claims , to the extent caused by the
negligence or willful misconduct of Lessor, or its employees or agents .
6. Disclaimer of Warranties and Limitation of Liability . LESSOR MAKES NO
WARRANTY OR REPRESENTATION , EXPRESS OR IMPLIED , RELATING TO THE
QUALITY , CAPACITY , FITNESS OR WORKMANSHIP OF THE EQUIPMENT ,
INCLUDING , WITHOUT LIMITATION , ANY WARRANTY OR REPRESENTATION OF
MERCHANTABILITY , FITNESS FOR A PARTICULAR PURPOSE , FITNESS FOR ANY
SPECIFIC USE , DESIGN OR CONDITION , OR FITNESS TO SATISFY THE
REQUIREMENTS OF ANY LAW, RULE, SPECIFICATION OR CONTRACT . LESSEE
ACCEPTS THE RISK OF ALL SUCH MATTERS AND ACCEPTS THE EQUIPMENT "AS —
WHERE IS . " LESSOR SHALL NOT BE RESPONSIBLE FOR ANY INDIRECT ,
INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF LESSEE ' S USE AND
POSSESSION OF THE EQUIPMENT PURSUANT TO THIS LEASE ,
7 . Early Termination of Lease ; Cooperation with Respect to Sale . Either party
may terminate the lease on thirty (30 ) days notice . In addition, Lessee acknowledges that its use
and possession of the equipment is intended to be temporary and of limited duration, until Lessor
is able to sell the equipment pursuant to applicable law ( which Lessor expects to complete by the
end of January 2011 ) . Lessee shall cooperate with Lessor in Lessor ' s efforts to sell
the
equipment, including , without limitation, making the equipment available for inspection at
reasonable times prior to the bid or auction date , and , if requested by Lessor, delivering the
equipment to a site in Indian River County on the auction date . This lease shall terminate as of
the date that the equipment is sold , whether to Lessee or a third party ; provided , however, that all
provisions of this lease not fully and completely performed as of the date of termination (for
example , indemnification) shall survive such termination until fully and completely performed .
If for any reason a sale of some or all of the equipment does not occur, then this lease shall
terminate with respect to such unsold equipment as of the date set forth in paragraph 1 above .

Notwithstanding anything to the contrary herein , if Lessor is permitted by applicable law , and if
Lessor determines that it is in Lessor ' s best interests to do so , Lessor shall require in any auction
of the rolling stock (motor vehicles which are operated on public roads ) included in the
equipment, that title to any third party (other than Lessee) shall not transfer until at least five (5 )
days after the auction date .
8 . Remedies in the Event of Default . Each party reserves all remedies , in equity or
law , arising out of a default by the other party .
9 . Miscellaneous .
a . Taxes . Lessee shall pay any sales or use tax applicable with
respect to the rent payments .
b . Right of Inspection . Lessor shall have the right to inspect the
equipment at any reasonable time upon reasonable notice to Lessee .
C , Governing Law . This lease shall be governed by the laws of the
State of Florida .
d . Jurisdiction and Venue . Jurisdiction for any proceedings relating
to this lease shall be in the appropriate state court located in the Nineteenth
Judicial Circuit of the State of Florida . Venue for such proceedings shall be in
Indian River County , Florida .
e . Attorney ' s Fees and Costs . In any proceedings hereunder, the
prevailing party shall recover from the non- prevailing party reasonable attorney ' s
fees and costs of such proceeding .
f. Waiver of Jury Trial . EACH PARTY KNOWINGLY AND
VOLUNTARILY WAIVES ITS RIGHT TO A JURY TRIAL IN
PROCEEDINGS RELATING TO THIS LEASE , AND AGREES THAT SUCH
PROCEEDINGS SHALL BE DECIDED ON A NON-JURY BASIS .
g . Assignment . This lease shall not be assignable by either party .
IN WITNESS WHEREOF, Lessor and Lessee have caused this lease to be executed as
of the date first written above by their respective duly authorized officers .
