HomeMy WebLinkAbout2014-0870t#/i-7/o14 $,T a.o I4•o87 CONTRACT FOR SERVICES This CONTRACT for services entered into by and between Indian River County, a political subdivision of the State of Florida 1801 27th Street, Vero Beach, FI 32960- 3365, hereinafter called Indian River County, and Voltedge, Inc., dba Ady Voltedge 613 Williamson Street, Suite 201 Madison, WI 53703, hereinafter called Consultant; WITNESSETH THAT: WHEREAS, Indian River County desires to engage Consultant to provide professional services for an Economic Development Positioning Analysis and Action Plan; and, WHEREAS, Indian River County finds that the proposed Scope of Services (Attachment A) and terms of this Contract for Phase I activities totaling $80,000 are acceptable, and, WHEREAS, Consultant desires to provide said services and agrees to do so for the compensation and upon the terms and conditions as hereinafter set forth, NOW, THEREFORE, the parties hereto do mutually agree as follows: 1. Employment of Consultant. Indian River County hereby engages Consultant and Consultant hereby agrees to perform the professional services hereinafter set forth. The intent of this Contract is to set out the general terms by which the Scope of Services (Attachment A) is agreed to. 2. Scope of Services. Consultant shall perform, in a professional manner, the services set forth in Attachments to this Contract (Attachment A — Scope of Services) which outline the scope of services, schedule, and fee. 3. Extra Services. Consultant shall provide extra services, not specifically called for in the Scope of Services (Attachment A), only upon written authorization from Indian River County. 4. Time of Performance. Consultant will commence work on or as soon as practicable after the date of execution of this contract and all work as set forth in the Scope of Services (Attachment A) shall be completed within the time specified in the Scope of Services (Attachment A) assuming the timely submission of all required data and the scheduling of all meetings and reviews by Indian River County. The attached time -line in the Scope of Services (Attachment A) reflects commencement of work beginning at the time of the kickoff meeting However, preliminary data gathering will begin before the kickoff meeting. t If Indian River County requests modifications to the Scope of Services (Attachment A), the time of performance of Consultant shall be adjusted appropriately. Consultant's services under this Contract shall be considered complete at the date when the submissions for those phases have been accepted by Indian River County. 5. Meetings. This Contract includes attendance by Consultant at meetings, as identified in the Scope of Services (Attachment A), to make presentations or to otherwise review the progress of the work. 6. Reports. Consultant shall prepare and submit to Indian River County reports as called for in the Scope of Services (Attachment A), attached hereto. 7 Compensation. Consultant agrees to perform the services provided for in the S cope of Services (Attachment A) and Indian River County agrees to compensate Consultant for such services as set forth in the Scope of Services (Attachment A). P ayment to Consultant will be made in accordance with the Florida Prompt P ayment Act, Florida Statutes 218.70 et. seq.. 8. Personnel. Consultant represents that it has, or will secure at its own expense, all personnel required to perform the services under this Contract and that such personnel will be fully qualified to perform such services. 9. Responsibilities of Indian River County It is agreed that Indian River County will have the following responsibilities under this Contract: a. The providing of all available information, data, reports, records, and maps to which Indian River County has access and which are needed by Consultant for the performance of the services provided for herein. Indian River County represents that no information or material it furnishes to Voltedge for incorporation into the Work Products infringes on any third party's patent, copyright, or trademark/trade name rights or constitutes a misappropnation of trade secrets and agrees to indemnify to the extent allowed by law, and hold Voltedge harmless against claim, loss or damage resulting from any breach of this representation. b. Providing assistance and cooperation for Consultant in obtaining any other needed material that Indian River County does not have in its possession to complete the Scope of Services (Attachment A). 2 c. Making available the services of Indian River County as may be necessary to obtain information as needed to perform the work program set forth in the Scope of Services (Attachment A). d. The designation of a single representative who will be authorized to make necessary decisions required on behalf of Indian River County and will serve to provide the necessary direction and coordination for the project. All such responsibilities shall be conducted in a timely manner and without undue delay so as not to delay Consultant in the performance of its services. 10. Delays Beyond the Control of Consultant. It is agreed that events that are beyond the control of Consultant or Indian River County may occur which may delay the performance of the Scope of Services (Attachment A). In the event that the performance of the Scope of Services (Attachment A) by Consultant is delayed beyond its control, Consultant shall notify Indian River County of such delay and the reasons therefore, and Indian River County shall extend the time of performance appropriately. 11. Dispute Resolution. The parties will attempt in good faith to resolve any controversy or claim arising out of or relating to this contract promptly by negotiation between appropriate parties who have authority to settle the controversy. The disputing party shall give the other party written notice of the dispute. Within ten (10) days after receipt of said notice the receiving party shall submit to the other a written response. The notice and response shall include: (a) a statement of each party's position and a summary of the evidence and arguments supporting its position, and (b) the name and title of the designated representative who will represent that party. The executive shall meet at a mutually acceptable time and place within twenty (20) days of the date of the disputing party's notice and thereafter as often as they reasonably deem necessary to exchange relevant information and to attempt to resolve the dispute. If the controversy or claim has not been resolved within thirty (30) days of the meeting of the appropriate parties, the parties shall endeavor to settle the dispute by standard mediation practices under Florida law. This Agreement and all matters ansing hereunder shall be governed by and construed in accordance with the laws of the State of Florida. Venue hereunder shall lie in Indian River County, Florida 3 In any action to enforce or interpret this Agreement, the prevailing party shall be entitled to recover, as part of its judgment, reasonable attorney's fees and costs from the other party. 12. Changes. Indian River County or Consultant may, from time to time, request modifications or changes in the Scope of Services (Attachment A). Such changes, including any increase or decrease in the amount of Consultant's compensation, which are mutually agreed upon by and between Indian River County and Consultant, shall be incorporated in written amendments. 13. Termination of Contract. This Contract may be terminated by either Indian River County or Consultant with fourteen (14) days written notice. In the event of such termination, all finished or unfinished documents, data, studies, surveys, drawings, maps, models photographs, and reports prepared by Consultant shall, at the option of Indian River County, become Indian River County's property. Consultant shall be entitled to receive just and equitable compensation for work accomplished prior to the termination. 14. Assignability This Contract shall not be assigned or transferred by either Consultant or Indian River County without the prior written consent of the other. 15. Liability and Standard of Care. Consultant shall perform services for Indian River County in a professional manner, using that degree of care and skill ordinarily exercised by consultants practicing in the same or similar locality as the project. NO OTHER WARRANTY OR GUARANTEE, EXPRESSED OR IMPLIED IS MADE WITH RESPECT TO CONSULTANT'S SERVICES AND ALL IMPLIED WARRANTIES ARE DISCLAIMED. Indian River County acknowledges that Consultant is a Corporation and agrees that any claim made by Indian River County arising out of any act or omission of any director officer or employee of Consultant in the execution or performance of this contract shall be made against Consultant and not against such director, officer, or employee. Consultant will maintain the following minimum limits of insurance during the term of this agreement and shall provide evidence of said coverage being in effect by providing the County with a Certificate of Insurance listing Indian River County as an additional insured: 1. General Liability Each Occurrence: $1,000,000 Fire Damage (Any one fire) $50,000 Medical Expenses (Any one person) $5,000 Personal & Adv Injury $1 000,000 General Aggregate $2,000,000 4 Coverage shall include contractual liability, products and completed operations, independent contractors, broad form general liability extensions, and per contract aggregate. 2. Automobile Liability — Combined Single Limit $1,000,000 3. Worker's Compensation Statutory — as required by the State of Florida E ach Accident $100,000 E ach Disease — Each Employee$100,000 E ach Disease — Policy Limit $500,000 4. Professional Liability insurance on an occurrence or claims made basis with limits of liability not less than $1,000,000 per occurrence and $2,000 000 aggregate combined single limit. This policy shall cover Consultant, all employees, and/or volunteers and all independent contractors, subcontractors and professional contractual persons hired or retained by Consultant. 5. There shall be no more than $5,000 deductible per claim amount unless approved by the County Risk Manager. Any deductibles or self-insured retentions greater than $5,000 must be approved by the Risk Manager for Indian River County with the ultimate responsibility for same going to the Consultant. 6. Consultant insurance coverage shall be primary. 7 All above insurance policies shall be placed with insurers with a Best's rating of no less than AV. The insurer chosen shall also be licensed to do business in Florida. 8. The insurance companies selected shall send written verification to the Indian River County Risk Management Department that they will provide 30 days written notice to the Indian River County Department of Risk Management of its intent to cancel or terminate said policies of insurance. Further, Consultant will sign a confidentiality agreement and a hold harmless agreement in connection with this Contract. 16. Payments. Indian River County will make payments to Consultant not to exceed $80,000 as stated in the request for proposal dated May 13, 2014 and as outlined in the Scope of Services (Attachment A). Consultant will not exceed this amount without prior written authorization from Indian River County. 17. Contractor acknowledges that the County is a governmental entity, and the contract validity is based upon the availability of public funding under its authority. In the event that public funds are unavailable and not appropriated for 5 the performance of County's obligations under this contract, then this contract shall automatically expire without penalty to County after written notice to Contractor of the unavailability and non -appropriation of public funds. It is expressly agreed that County shall not activate this non -appropriation provision for its convenience or to circumvent the requirements of this contract, but only as an emergency fiscal measure. 18. Miscellaneous. Any notices requiring or permitted to be given under this Agreement shall be delivered to the parties by personal delivery, or by registered o r certified mail, return receipt requested, at the addresses set forth in the Proposal. 19. Independent Contractor. The Agreement is between Consultant and Indian River County. Any other persons shown as part of the Consultant team in the Proposal are Consultant subcontractors who will assist Consultant in providing the Services to Indian River County. Consultant is an independent contractor and is n ot an employee of Indian River County. Services performed by Consultant u nder this Agreement are solely for the benefit of Indian River County unless specified otherwise. 20. Limitation of Liability; Consequential Damages. TO THE EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF CONSULTANT TO INDIAN RIVER COUNTY FOR ANY AND ALL CLAIMS ARISING OUT OF THIS AGREEMENT WHETHER CAUSED BY NEGLIGENCE, ERRORS, OMISSIONS, STRICT LIABILITY, BREACH OF CONTRACT OR CONTRIBUTION SHALL NOT EXCEED THE COMPENSATION PAID TO CONSULTANT UNDER THIS AGREEMENT. In no event and under no circumstances shall Consultant be liable to Indian River County for any interest, loss of anticipated revenues, e arnings, profits, increased expense of operations, Toss by reason of shutdown or n on -operation due to late completion or for any consequential, indirect or special damages. 21. Reuse of Work Products. The work products resulting from Consultant's services shall not be changed or used for purposes other than those set forth in this Agreement without the prior written approval of Consultant. If Indian River County releases such work products to a third party without Consultant's prior written consent, or changes or uses the work products other than as intended hereunder, Indian River County does so at its sole risk and discretion and to the extent allowed by law, agrees to indemnify and hold Consultant harmless for any claims (including Consultant's claims to reasonable compensation for such third party use) or damages resulting from or connected with the release or any third party's use of the Work Products. This paragraph shall not apply to documents considered public records pursuant to Chapter 119, Florida Statutes. 6 IN WITNESS WHEREOF, Consultant and Indian River County have executed this Contract as of the date written below and under the laws of the State of Florida. This shall be accomplished through one on one interviews, focus groups, and undercover interviews (unbiased feedback). At least 70 interviews to include local government officials (including municipal officials), residents, business leaders, company executives, workforce and educational partners, visitors, prospective businesses, and other internal and external stakeholders. Conduct communication and media audits (newspapers, Internet, etc.) Product Report #1: Report summarizing findings, including identification of positive and negative perceptions and ideas from surveyed people/groups for strengthening positives and reversing negatives. Conduct Competitive Positioning Assessment (How IRC Compares to Competing Communities) Items To Include Review the 'Historical, Comparative Economic Analysis: January 2007" report prepared by Policom Corporation to identify trends previously determined for Indian River County and adjacent counties. Benchmark the County s competitive advantages and disadvantages (strengths and weaknesses) in relation to the region from Melbourne and Palm Bay south to and including Martin County (includes Florida s Research Coast), the state, and comparable communities both inside and outside of Florida Consultant would not suggest including these quality of life factors at this point. Investment decisions will be driven primarily by operating costs and operating conditions. Therefore, consultant has removed these from the scope Benchmark community amenities/assets that attract and retain visitors and residents (i.e. potential new hires) such as parks, trails, educational facilities, libraries, recreational centers, restaurants, and hotels. Product Report #2: Summary Comparison report. Report due: October 17Th Consultant routinely conducts an analysis of location criteria for each project consultant undertakes. This is the same process a site selector would take when evaluating a county and/or region. It is an analysis of 50-60 locational criteria where consultant reviews all local material and conduct additional research (e.g., population, labor force, growth, cost of living, wages, crime etc.) ranking the county against the surrounding MSAs, regions, and states. Consultant can include the Policom factors as well as the competitive counties you noted. Following this analysis consultant develops what are called asset maps for business costs and business conditions. Asset maps are a 4 -box table which rates your county on key locational criteria. Importantly, this step also includes input consultant gained from consultant s field research in the previous step. Once the asset maps are completed consultant creates a competitive positioning for your region based on the criteria your county excels at. Other important criteria the county does not excel at is used to identify gaps. Report items resulting from this step include business costs and conditions assets maps, a written community assets analysis (based on 40-50 site selector criteria), and county wide positioning statement and talking points. The report from this task will be completed and provided to the County by October 17th, 2014 Gap Analysis: This analysis focuses on organizational capacity infrastructure, ED programs, and related items and is designed to identify areas for improvement to be incorporated into final ED recommendations. Identify industry clusters that have developed/ expanded in Indian River County over the past ten years Identify industry clusters developing in adjacent counties. Identify new target industries that the County may want to consider pursuing more aggressively Provide the associated business case for each recommended change. Product Report #3: Summary report with recommended changes to Target Industry List Report due: November 14th Due Date November 14, 2014* (Approx. 3 to 4 months after contract execution Consultant will review your current target industries and look at the research completed to date (e.g , on-site visit, business and community interviews, asset mapping, positioning, etc.) along with recent expansions and relocations in the county to determine if the current industries still make sense and if there might be additional industries that would be a good fit. Report item resulting from this step will be a written assessment of the County's target industries, which will be completed and provided to the County by November 14th, 2014 $4,000 New Target Industry/Cluster Analysis: Starting from scratch (no bias on specific target industries) consultant reviews all of the research conducted to date (quantitative and qualitative) and also perform an economic base analysis to understand which industries are most prevalent in the county. This analysis takes the 2 -digit NAICS code level and looks at the size and growth of the industries over a 5 -year period and compares specific criteria with that of the region, state and U.S. From there, consultant dives deeper into key industries and also look at industry trends and assets of the county to determine the best fit. Present report on December 16th, 2014. $5,000 Goal Setting: This can help align key stakeholders ideas/views for the future and help determine where you would like the organization and county to be in 5 to 10 years The goals are usually based off of the identified gaps and also look at key performance measures that are important and necessary to achieve the stated goals Consultant likes to conduct a goals meeting to discuss what the key goals (2-4) should be and how they would be achieved and measured (this would be completed on-site following our presentation for the community stakeholders/community leader's summit #2 and include a small group of key personnel; roughly 8-10 individuals). Research websites and media outlets for regional economic development marketing and branding efforts (Le., Florida's Research Coast) and the same for adjacent counties (Brevard and St. Lucie Counties). Research websites and media outlets for marketing and branding efforts for businesses and organizations within Indian River County. Identify common and unifying marketing and branding themes within Indian River County. Recommend a unified branding and marketing theme. Report Summarizing Common branding/positionin g themes. An18-month Marketing Plan. Indian River County will be competing against more than just the surrounding area (and competitive markets will be different depending on the target industry) and therefore needs to have a broader scope than simply regional marketing opportunities. Within the marketing plan, consultant will identify the key audiences that should be targeted as well as research and recommend the most appropriate way to reach each audience. This will require working directly with your organization to understand what your budget is or should be as well as having a good understanding of your capacity to undertake some of the recommended marketing strategies and/or tactics.
