(Geosyntec) prepared this letter to provide Indian River County (IRC) Solid Waste Disposal District (SWDD) with our review and recommendation regarding payment of the final invoice (Payment Application No. 7), including release of the retainage, submitted by Waste Management, Inc. of Florida (WMIF) for the construction of the vertical expansion and partial closure project at the IRC Landfill (IRCL) facility. The letter also addresses Geosyntec's evaluation of the overall construction project, including the borrow pond development, in relation to the approved construction budget. The letter was prepared in response to a request by Mr. Himanshu Mchta, P.E., Managing Director of SWDD. The remainder of this letter presents: (i) project background; (ii) summary of construction activities; (iii) review of final invoice; and (iv) Gcosyntec's recommendations. PROJECT BACKGROUND On 14 April 2009, the SWDD Board approved the Second Amendment to the Contract Agreement between IRC SWDD and WMIF, the IRC Class I Landfill operator, to function as the Construction Manager for the following construction activities at the IRCL facility: • vertical expansion of the Class I Landfill by constructing a liner and leachate collection system (LCS) over the top deck of the previously closed Segment 1 of the Class I Landfill, which would provide the County with approximately four additional years of disposal capacity; FL1537-0111.9023O.docx Mr. Himanshu Mehta, P.E. 1 December 2009 Page 2 • expansion and upgrade of the landfill gas collection and control system (GCCS) to enhance odor control at the IRCL site and potentially increase the extraction of landfill gas (LFG) for energy recovery and carbon offset credits; • partial closure of the North and South slopes of Segment 2 and Infill Area of the Class I Landfill to an approximate elevation of 105 ft National Geodetic Vertical Datum (NGVD) in order to control leachate seepage, minimize leachate generation and associated disposal and treatment, and also to comply with the Florida Department of Environmental (FDEP) permit requirements; • construction of storm water management system over the closed portions of the Class I Landfill to minimize the potential for leachate generation and convey clean storm water runoff to the on-site sedimentation pond for ultimate disposition; and • preparation of the borrow area located immediately north of the C-5 canal for excavation and stockpiling of soils for use as construction material for the vertical expansion and partial closure constriction project. Two construction contracts were awarded through WMIF, as the Construction Manager, to: (i) Environmental Specialties, Inc. (ESI), Baton Rouge, LA for the vertical expansion, GCCS, partial closure and storm water management construction; and (ii) Sawmill Ridge Trucking (Sawmill), Vero Beach, Florida for the preparation of the borrow pond area to facilitate excavation and stockpiling by the SWDD staff. The total contract price approved by the SWDD Board for the vertical expansion and partial closure construction component was $4,157,622.64. This amount is comprised of: (i) a lump sum bid price of $3,299,700.51 to ESI for the actual construction work; (ii) a 5% management fee to WMIF in the amount of $164,985.03; and (iii) a 20% contingency fee to account for potential change orders and changes in site conditions in the amount of $6929937.11. The contingency amount also included WMIF's management fee of 5 percent for any change order. It should, however, be noted that the lump sum contract to ESI included a unit cost/not-to-exceed (NTE) component for ten (10) work items that had to be paid based on actual quantities measured and surveyed. Depending on the measured and surveyed quantities for those items, the total contract amount could be less or more than, by a NTE amount of $11,120. Furthermore, the total construction cost was less than the Engineer's cost estimate range of $5,378,880 to $5,707,440, including the 20% contingency. The total contract price approved by the SWDD Board for the preparation of the borrow pond area to facilitate excavation and stockpiling by the SWDD staff was $298,864.53. (i) a NTE bid price of $226,412.52 to Sawmill for the actual construction work; (ii) a 10% management fee to WMIF in the amount of $22,641.52; and (iii) a 20% contingency fee to account for potential change orders and changes in site conditions in the amount of $49,810.75. The total construction cost for the borrow pond development project was within the Engineer's cost estimate range of $269,805 and 773,805, including the 20% contingency. It should be noted that the upper end of the Engineer's cost estimate assumed that the Contractor would also perform the excavation and stockpiling of the soil in lieu of SWDD staff. SUMMARY OF CONSTRUCTION ACTIVITIES Vertical Expansion and Partial Closure Project Construction of the vertical expansion and partial closure construction project started on 1 June 2009 and was estimated, based on the schedule provided by the Contractor, to be completed by 1 October 2009. Because of significant changes in actual field conditions than originally anticipated in the construction project and multiple delays caused by excessive rainfall, multiple change orders were submitted by the Contractor that resulted in a longer than anticipated construction schedule for completion of the project. A total of 15 days was added to the construction schedule: (i) eleven (11) days were for change order work; and (ii) four (4) days for delays due to excessive rainfall, as documented in the Construction Schedule Extension letter by WMIF presented in Attachment A. Construction, however, was determined to be substantially complete, including demobilization by the Contractor, by 16 October 2009, as indicated in Attachments A and B. As noted in Attachment B, the Construction Certification Report for the Vertical Expansion component was completed and submitted to FDEP on 15 October 2009. The FDEP subsequently conducted an inspection of the constructed cell and issued a final approval for waste placement on 24 November 2009. The Construction Certification Report for the partial closure, GCCS and stormwater management components of the project will be submitted to FDEP on 4 December 2009. Geosyntec does not anticipate any problems with obtaining FDEP approval of this report. Because of significant changes in actual field conditions than originally anticipated in the construction project, 22 change orders were submitted by the Contractor that extended the construction schedule and increased the original contract price. The change orders are summarized in the Final Application No. 7 presented in Attachment C; some of these change orders pertain to: (i) encountering significant leachate seeps on the surface of the North and South slopes that required remedial measures prior to deployment of the geomembrane cap; (ii) regrading and recontouring the North and South sideslopes to the permitted 3 horizontal to 1 vertical (3 H:1 V) sideslopes, including placement of the 12 -in. thick intermediate cover layer to facilitate construction of the cover system; (iii) accumulation of liquids in the gas extraction wells which FL1537-01/JL90230.docx Mr. Himanshu Mchta, P.E. 1 December 2009 Page 4 prevented obtaining enough vacuum to allow construction of the cap system on the North Slopes; (iv) increase in the actual quantities of the 10 unit price/NTE work items; and (v) problems of obtaining readily available and suitable (relatively dry) material from the borrow area for use by the Contractor. Because SWDD was responsible for excavation and stockpiling of borrow area soils for use by the Contractor, it was necessary to coordinate access to the borrow material so that the Contractor could directly excavate and haul borrow areas soils. This coordination effort by Geosyntec was needed in order to avoid delays and resulting claims by the Contractor. Significant leachate seepage outbreaks were encountered during the final regrading and recontouring of the waste surface than what was anticipated during the design and preparation of the Construction Drawings. It should be noted that the presence of leachate seeps was of a major concern to the FDEP Central District that they welcomed the planned closure of the sideslopes under this project. The leachate seeps and/or build-up of liquids within the landfill also impacted the vertical extraction gas wells to the extent that dedicated pumps had to be installed to evacuate accumulated liquids within in each well. These change orders were approved and authorized through the use of the contingency funds within the approved total contract amount. These change orders were first reviewed by WMIF, as the General Contractor, then followed by a review and a recommendation regarding approval by Geosyntec, with a final approval and authorization by SWDD management. As subsequently explained below, this approach was necessary to continue without interruption of the construction and thereby avoid delays and standby claims by the Contractor. Geosyntec worked interactively with the Contractor and WMIF to come up with the necessary design changes and recommended approval by SWDD for the construction project to continue as planned. Therefore, using the contingency funds allowed construction to proceed as intended and thereby resulted in an overall cost savings and benefits to SWDD and the County. The use of contingency funds to account for Contractor change orders is commonly used in landfill construction projects, especially municipal and county -owned facilities that cannot provide immediate approval of change order requests without going through a formal Board review. It is worth noting that such approach was successfully used during the remediation of the Gifford Road Landfill project in 2004 and that project was completed under budget. Borrow Pond Development Project The borrow pond preparation work by Sawmill Ridge Trucking started on I I May 2009 and was estimated, based on the schedule provided by the Contractor, to be completed by 31 August 2009. However, due to problems controlling the level of water in the adjacent borrow pond, following the severe rain storms during the period, dewatering activities by the Contractor had to be extended to FL 1537-01 /JL90230.docx Mr. Himanshu Mehta, P.E. 1 December 2009 Page 5 30 September 2009. This extension was necessary to enable SWDD staff (and also the other Contractor through change orders) to excavate and stockpile material for construction of the vertical expansion and partial closure. Borrow pond preparation work was determined to be substantially complete, including demobilization by the Contractor, by 30 September 2009, REVIEW OF FINAL INVOICE Vertical Expansion and Partial Closure Construction Project Geosyntec has reviewed Payment Application No. 7, dated October 20, 2009, submitted by WMIF as the final invoice for the vertical expansion and partial closure construction project. A copy of this invoice is included in Attachment C. As a final invoice, it includes work performed within the period 1-16 October, including demobilization, and a request to release the retainage on Payment Application Nos. 1 through 6. In addition, Attachment C includes surveyed quantities on the 10 unit price/NTE work items described above; these surveyed quantities are certified by a professional licensed surveyor. The total invoice amount is $605,392.54 and consists of the final payment of $217,706.20 and the release of retainage in the amount of $387,686.34. Geosyntec has reviewed work completed during this period, and consistent with our letter in Attachment B, is in agreement with the work items submitted for payment which are also in accordance with the Bid Form for the vertical expansion and partial closure construction project. Also, since the Contractor has completed its work under the contract, Geosyntec is in agreement with its request to release the retainage amount of $387,686.34. With the submission of this final invoice, the total invoiced amount for the vertical expansion and partial closure construction project is $4,144,623.13. This is less than the total budget amount of $4,157,622.64 approved by the SWDD Board on 14 April 2009. Borrow Pond Development Project Geosyntec has reviewed Payment Application No. 5, dated September 30, 2009, submitted by WMIF as the final invoice for the borrow pond development project. A copy of this invoice is included in Attachment D. As a final invoice, it includes work performed during the period 1-30 September, including demobilization, and a request to release the retainage on Payment Application Nos. 1 through 4. The total invoice amount is $76,688.60 and consists of the final payment of $54,219.72 and the release of retainage in the amount of $22,468.88. 11..15:37-0 1 /J1,90230.docx Mr. Himanshu Mehta, P.E. 1 December 2009 Page 6 Geosyntec has reviewed work completed during the period, and consistent with our 9 October 2009 email (see Attachment D), is in agreement with the work items submitted for payment which are also in accordance with the Bid Form for the borrow pond construction project. Also, since the Contractor has completed its work under the contractor, Geosyntec is in agreement with its request to release the retainage amount of $22,468.88. With the submission of this final invoice, the total invoiced amount for the borrow pond construction project is $278,908.50. This is less than the total budget amount of $298,864.52 approved by the SWDD Board on 14 April 2009, RECOMMENDATIONS Based on the review and evaluation presented above, including the engineering and construction support services provided during construction, Geosyntec recommends payment of the final invoices in the amounts of $605,392.54 and $76,688.60 to WMIF for the vertical expansion and partial closure and borrow pond development projects, respectively. Both projects were completed below the respective budgets approved by the SWDD Board on 14 April 2009. It is noted that there are several minor final walk through items that will be addressed this week as provided by Rick I lastie of Geosyntee Construction Quality Assurance Site Manager. I lowever, per contract terms, the project was complete on October 16, 2009 and equipment demobilization was complete. The remaining small items will be addressed by labor or subcontractor vendor, it'necessary. The attached summary indicates that eleven work days were added to the contract schedule to complete the approved change order work. Furthermore, four work days were added to the contract schedule to compensate for the unfinished work due to excessive rain events during the contract period (June -September 2009). Although other factors such as excessively moist soil provided from on site borrow also contributed to work schedule challenges, added days to the schedule were not quantified. The last sentence on the same page reads "Upon completion of the above projects, a separate CQA certification report will be prepared for submittal to FDEP'. An asbuilt drawing related to construction of expansion of gas collection control system titled "Expansion of Gas Collection and Control System" signed and sealed by Gregory S.
