A RESOLUTION OF THE BOARD OF COUNTY COMMISSIONERS OF INDIAN RIVER
COUNTY, FLORIDA, CANCELING TAXES UPON PUBLICLY OWNED LANDS,
PURSUANT TO SECTION 196.289 FLORIDA STATUTES,
WHEREAS, Section 196.28, Florida Statutes, allows the Board of County Commissioners of each
County to cancel and discharge any and all liens for taxes, delinquent or current, held or owned by the county
or the state, upon lands heretofore or hereafter conveyed to or acquired by any agency, governmental
subdivision, or municipality of the state, or the United States, for road purposes, defense purposes,
recreation, reforestation, or other public use; and
WHEREAS, such cancellation must be by resolution of the Board of County Commissioners, duly
adopted and entered upon its minutes properly describing such lands and setting forth the public use to which
the same are or will be devoted; and
WHEREAS, upon receipt of a certified copy of such resolution, proper officials of the county and of
the state are authorized, empowered, and directed to make proper entries upon the records to accomplish
such cancellation and to do all things necessary to carry out the provisions of Section 196.28, Florida
Statutes;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF
INDIAN RIVER COUNTY, FLORIDA, that:
• Pursuant to the authority of Section 196.28, Florida Statutes, any and all liens for taxes, delinquent or
current held or owned by Indian River County, against the property described in the Warranty Deed
recorded in OR Book 2263, Page 2079 (the "Deed"), attached hereto and incorporated herein by this
reference, are hereby canceled.
• The property set forth on the Deed was recently acquired by Indian River County to attain the
dedication of a scrub jay parcel at Park Place in Sebastian.
• The Clerk to the Board of County Commissioners is hereby directed to send a certified copy of this
resolution to the Tax Collector and the Property Appraiser with copies to Fixed Assets, Budget, and
the County Attorney's Office.
The resolution was moved for adoption by Commissioner Wesley S. Davis , and the motion was
seconded by Commissioner Joseph E. Flescher , and, upon being put to a vote, the vote was as follows:

SPECIAL WARRANTY DEED
THIS SPECIAL WARRANTY DEED is made to be effective as of the ooM day of April, 2008,
by and between PARK PLACE COMMUNITY, L.L.C., a Florida limited liability company, with
an address of c/o American Land Lease, Inc., 29399 U.S. Highway 19 North, Suite 320, Clearwater,
Florida 33761 (hereinafter referred to as the "Grantor"), and INDIAN RIVER COUNTY, a
political subdivision of the State of Florida, with an address of 1840 25* Street, Vero Beach, Florida
32960 (hereinafter referred to as the "Grantee"),

The Grantor, for and in consideration of the sum of Ten and No/100ths Dollars ($10.00) and
other good and valuable considerations, the receipt and sufficiency of which are hereby acknowl-
edged, hereby grants, bargains, sells, conveys, remises, releases and transfers unto the Grantee, its
successors and assigns, all that certain land situate in Indian County, Florida (the "Property"), more
fully described as follows:
See Exhibit "A" attached hereto and incorporated herein by reference, which
Property is subject taxes and assessments for 2008 and all subsequent years, matters
of survey, zoning ordinances and governmental regulations, easements, restrictions
and reservations of record, if any. .
TOGETHER with all the tenements, hereditaments and appurtenances thereto belonging or
in anywise appertaining.
TO HAVE AND TO HOLD the same in fee simple forever.
The Grantor does hereby covenant with the Grantee that the Grantor is lawfully seized ofthe
Property in fee simple; that it has good, right and lawful authority to sell and convey the Property;
and that it warrants the title to the Property, subject to the matters set forth herein, and will defend
the same against the lawful claims of all persons whomsoever claiming by, through or under the
Grantor but against none other. Except for the special warranty of title made in this deed of
conveyance, the Grantor makes no other representations, warranties or covenants herein and hereby
expressly disclaims any and all implied representations, warranties and covenants, whether arising
by operation of law, by statute or otherwise.
