THE CHAIRMAN CALLED THE MEETING TO ORDER AND INFORMED THOSE PRESENT THAT THIS MEETING IS AN EMERGENCY MEETING WITH FARMERS HOME AD- MINISTRATION IN REGARD TO THE PROPOSAL MADE BY THE BOARD TO URBAN DEVELOP- MENT UTILITIES AND FHA. CHAIRMAN WODTKE ASKED WILLIAM*WEATHERS OF THE GAINESVILLE OFFICE OF THE FHA TO REPORT ON WHAT HAS TRANSPIRED SINCE THE MEETING OF SEPTEMBER 2ND. MR. WEATHERS STATED THAT THEY HAVE RECEIVED PERMISSION TO SELL THE ASSETS OF URBAN DEVELOPMENT UTILITIES TO THE BOARD FOR PRICE OF $75,000 AND ALSO HAVE AUTHORITY TO PROCESS A GRANT OF $427,500 TO BE USED WITH LOAN FUNDS PREVIOUSLYABLIGATED IN THE AMOUNT OF $402,500. HE THEN SUBMITTED TO THE BOARD A PACKET OF DOCUMENTS CONTAINING, AMONG OTHER THINGS, A LETTER OF CONDITION, WHICH HE ASKED THAT THE CHAIRMAN BE AUTHORIZED TO SIGN. CHAIRMAN WODTKE STATED THAT HE AND ATTORNEY COLLINS MET WITH FARMERS HOME ADMINISTRATION REPRESENTATIVES LAST NIGHT AND WENT OVER THIS PACKET OF DOCUMENTS. HE FELT THAT SOME TIME SHOULD BE SPENT REVIEWING THE LETTER OF CONDITION, WHICH IS A SUMMARY OF THE PROCESS THAT WE NEED TO GO THROUGH AS FAR AS ACQUIRING THE LOAN AND THE GRANT AND PROCEEDING ON • TO CONSTRUCTION, ETC, THE CHAIRMAN NOTED THAT THE DOLLAR FIGURES ARE EXACTLY WHAT WE DISCUSSED AT THE COMMISSION MEETING A WEEK AGO. CHAIRMAN WODTKE THEN REVIEWED THE TERMS SET OUT IN THE LETTER OF CONDITION AND NOTED THAT THE NEW WATER RATES WILL HAVE TO BE ADOPTED BY THE BOARD AND WILL NOT BECOME EFFECTIVE UNTIL THE NEW WATER IS AVAILABLET HE INFORMED THOSE PRESENT THAT MR. WEATHERS FEELS WE CAN GET APPROVAL SEP 13 1977 ROOK 31 PA -F 01 OF THE LOAN AND GRANT WITHIN TEN DAYS AND ANNOUNCED THAT WE DID GET OUR ECONOMIC DEVELOPMENT ADMINISTRATION COMMITMENT APPROVAL YESTERDAY. THE CHAIRMAN CONTINUED REVIEWING THE DOCUMENTS IN THE PACKET AND NOTED THAT THERE IS A SUGGESTED OUTLINE FOR A WATER AND SEWER ORDI- NANCE. HE ALSO POINTED OUT THAT WE ARE TALKING ABOUT 498 WATER CUSTOMERS AND 183 SEWER CUSTOMERS, AND ALTHOUGH WE HOPE AND BELIEVE THESE FIGURES WILL BE MUCH HIGHER, THESE ARE THE FIGURES THAT WE MUST USE TO FIGURE THE INITIAL RATE STRUCTURE. HE THEN WENT OVER THE INITIAL OPERATING BUDGETo WHICH TAKES IN 1978, 1979 AND 1980. THE CHAIRMAN NOTED THAT THE DEBT REPAYMENT THE FIRST TWO YEARS IS INTEREST ONLY. CHAIRMAN WODTKE INFORMED THOSE PRESENT THAT THESE DOCUMENTS NEED TO BE SIGNED TODAY SO THEY CAN BE TAKEN TO WASHINGTON TO SECURE THE GRANT AND LOAN IN THIS YEAR S FUNDS AND ALLOCATIONS. HE STATED THAT ATTORNEY COLLINS HAS PREPARED A RESOLUTION IN THIS REGARD AND RECOMMENDED THAT WE PROCEED AND AUTHORIZE THE ATTORNEY TO WORK UP ANY FURTHER NEEDED DOCUMENTS, INCLUDING THE NECESSARY ORDINANCE.. ON MOTION BY COMMISSIONER SIEBERT, SECONDED BY COMMISSIONER Loy, THE BOARD UNANIMOUSLY ADOPTED RESOLUTION No. 77-92. 4 6 ROOK 31 PAGE 02 0 SEP 13 1977 RESOLUTION NO. 77-92 WHEREAS, through the cooperation of the United States Department of Agriculture Farmers Home Administration (FmHA) the people of Indian River County, Urban Development Utilities, Inc., the Board of County Commissioners and other elected officials, an offer has been made to Indian River County from the FmHA embodied in a Letter of Conditions -Public Body dated September 13, 1977, to cure the deplorable sewer and water conditions in the Gifford Area; and WHEREAS, Indian River County desires to accept the offer as published in the September 13, 1977 Letter from FmHA; NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF INDIAN RIVER COUNTY, FLORIDA, That the Letter of Conditions -Public Body dated September 13, 1977, as issued by the United States Department of Agriculture Farmers Home Administration, is hereby accepted, and for the purposes of implementation the Board of County Commissioners authorizes the Chairman and other appropriate County Officials to sign the following documents in order to consummate the loan and grant as embodied in the Letter of Conditions -Public Body dated September 13, 1977: 1. Wodtke � Date: September 13, 1977 Chairman, Board of County Commissioners Indian River County Vero Beach, Florida From: County Supervisor, FmHA Fort Pierce, Florida This letter supersedes the letter of conditions issued May 23, 1973. This letter establishes conditions which must be understood and agreed to by you before further consideration may be given to the application. Any changes in project cost, source of funds, scope of services or any other significant changes in the project or applicant must be reported to and approved by FmHA by written amendment to this letter. Any changes not approved by FmHA shall be cause for discontinuing processing of the applica- tion. This letter is not to be considered as loan and grant approval or as a representation as to the availability of funds. The docket may be com- pleted on the basis of a loan not to exceed $402,500 and a grant not to exceed $427,500. If FmHA makes the loan, the interest rate will be that charged by FmHA at the time of loan approval. This loan will be a portion of the $20,639,000 loan approved for the County on June 19, 1973. Please complete and return the attached Form FmHA 442-46 if you desire further consideration be given your application. If the conditions set forth in this letter are not met within four months from the date hereof, FmHA reserves the right to discontinue the processing of the application. Repayment Schedule: The loan will be repayable over a period not exceeding forty years from the date of loan closing. The first. and second payments will be due September 1 following loan closing and will consist of interest only. The third payment and all succeeding installments except the last installment will be due on September 1, and will consist of bond maturities plus accrued interest, according to the bond resolution or ordinance. Number of Users and Verification Required: Prior to beginning construction or prior to closing of the FmHA loan, which- ever occurs first, the County will furnish evidence that 498 water users and Fanners Nene Administration is an Eltial Opportunity Lender. The County will adopt a ... hook-up water ordinance and all families in the service area will be relwasted to connect to the water system. A mem- - ber of the State Director's staff will audit and authenticate the number of users. Organization: ' The loan docket will include evidence that the County is legally organized under state statutes such as a copy of the Charter or other acts of enabling legislation. The attorney is to provide an opinion that the applicant has authority to carry out the planned method of construction, operation and ° maintenance and repayment in connection with the planned facility. Title to Property: The County will provide evidence of title satisfactory to the FmHA for all assets which will constitute security for the loan. Security Requirements: Security will consist of revenue bonds and a first lien on revenue from the water and sewer facilities. Use of Recognized Bond Counsel: The County's attorney will obtain the assistance of recognized bond counsel. All documents necessary to close the interim financing loan and the FmHA loan must be prepared by bond counsel. Appendix C of FmHA Instruction 1933-A will be followed by the County's attorney and bond counsel. Two bound copies of the complete bond transcript will be furnished to FmHA by bond counsel at loan closing. Interim Financing: The County will borrow funds from commercial sources in the amount of the - FmHA loan for the construction period only. Attached are copies of FmHA Guide 1, Guide Letter for Use in Informing Private Lender of FmHA's Commit- meet. r : a; The County Supervisor will approve Form FmHA 424-18, Partial Pay Estimate, to insure that funds are used for authorized purposes during the construc- tion period. f 31 PA-F 07 SEP 13 1977 3 W. If interim financing is used, although a binding commitment has been made by the Government, only those funds advanced to pay for construction and l other authorized and legally eligible expenses incurred by the County will be deemed by the Government to be interim commercial Lidebtedness and retired by FmHA with permanent instruments. The FmHA must bu sure that the construction loan is properly administered and that when the FmHA loan is ` closed there is no doubt that the FmHA is fully secured. The FmIIA must • insist on the following at loan closing: 1. An affidavit by the general contractor that he has been paid in full, in accordance with the terms of the contract, and that he has,paid all sub -contractors, materialmen, and laborers with respect to the construction of the project. _ 2. A certificate by the consulting engineer that the system has been con- structed.in accordance with applicable law and according to the plans and specifications approved by the Government. 3. A statement from the attorney that he has been paid to date in accor- dance with his agreement. An unqualified opinion from bond counsel will be required. It will be the responsibility of the County and its commercial lender to be certain that bond counsel eidployed will issue an unqualified opinion. Alco, bond counsel will be required to furnish evidence that the interim financing has been paid in full. When interim financing funds have been expended, the FmHA loin will be closed and permanent instruments will be issued to evidence the FmNA indebtedness. Business Operations: The bond ordinance will require that the. County establish as soon as the system tem beco e y becomes revenueroduc n i p i g a depositary in the State of Florida which is a member of the FDIC and which is eligible under the laws of Florida to receive municipal funds and maintain n for the term of the loin a special fund known as "Board of County Commissioners Indian River County 'Uater and Sewer System Revenue Fund." ' basically t The County will adopt an ordinance/in accordance with Guide 9 of Florida Instruction 1933-A outlining operation procedures for the facility. The County will furnish an outline of the management 4` g procedures for the facility to include the name of the person(s) who will operate the facility along with a brief agreement between the person(s) and the County showing services to be performed and wages to be paid. i Accounts, Records, and Audit Reports Required: The County will be required to keep accounts and records on the operation of the facility separate and apart from other records in accordance with the bond ordinance. We suggest that the County's auditing firm develop a set of records for this particular purpose unless adequate records are already in use. The person responsible for maintaining such records of accounts will ` be selected prior to loan closing. It is imperative that the County establish and maintain adequate business management practices through a system of records,.reports and`'audits which will assist the governing body in making effective decisions and thus help to insure a successful operation. FmHA will.be furnished management reports as outlined in Appendix A of FmHA Instruction 1933-A, Paragraph 1933.17. A copy of this appendix is attached along with copies of our forms to be used for periodic and annual reports. Prior to loan closing the County will enter into a contract with a qualified auditor to conduct the annual audit. Requirements pertaining to audit reports are contained in a booklet, "FmiiA Instructions to Independent Certified Public Accountants and Licensed Public Accountants." Two copies of this booklet are attached. Please refer to page 10 of the booklet for an example of an auditor - borrower written agreement. FmHA will approve the County's accounting financial reporting system prior to loan closing or commencing construction whichever occurs first. All forms needed for required FmHA reports will be furnished by this office. Construction Contract Documents and Bidding:-= Appendix B of FmHA Instruction 1933-A and Contract Documents for Construc- tion of Federally assisted Water and Sewer Projects will be followed by the County and engineer for all construction. Two copies each of these documents are attached and one copy is to be delivered to your engineer and attorney. A pre -construction conference will be held after bid opening at a convenient time to be scheduled by FmHA. In attendance will be the designated repre- sentatives of the County, the consulting engineer, contractors' representatives > and FmHA personnel. - p ' ? Insurance and Bonding: Property insurance, fire and extended coverage and flood plain insurance, F' if applicable, will be required on all above -ground structures including equipment and machinery in an amount equal to the replacement value as e project engineer and approved b the FmHA. Workmen's compensation will be maintained as required by State law. Public liability and property damage insurance will be maintained as recom- mended by the applicant's attorney and approved by the FmHA. If the County will own trucks, tractors, or other vehicles that frequently will be driven over public highways, public liability and property damage insurance will be required. Fidelity bond coverage is required in the amount of $25,000 on the position of the treasurer and/or others who handle collections and disbursements in an amount at least equal to the total amount of funds that will be on hand at any one time exclusive of loan funds. This bond will be obtained prior to loan closing. Form FmHA 440-24, Position Fidelity Bond, will be used and copies are attached. The United States will be named as co -obligee in the bond. Closing Instructions: The loan will not be closed until the Regional Attorney has been furnished all the documents required and has issued closing instructions. The County's attorney will carry out the Regional Attorney's closing instructions and will certify that the loan has been closed in accordance with the Regional Attorney's closing instructions. Other Requirements which must be Met and Forms to be Completed:_ A rate schedule will be adopted by the County providing for the following residential user rates: Water Rate First 2,000 gallons $6.60 per month - minimum All over 2,000 gallons $1.50 per 1,000 gallons Commercial rates will be the same as residential. Sewer Rates: Residential $7.00 per month flat rate The above rates will be in effect before the new facilities are placed in operation. All residents located in the service area regardless of race, color, creed, or level of income must be afforded an opportunity to become users of the facility. s 4JOK 31 PA,F 10 The County must agree to comply with the requirements of Form FmHA 400-1, Equal Opportunity Agreement, and Form FmI1A 400-4, Nondiscrimination Agree- ment. These agreements must be approved by the governing body and executed before loan is closed. The County must provide for review and approval by the FmHA, before con- struction begins, a positive program to encourage connections by all users as soon as service is available. The program shall include: 1. An agressive information program to be carried out during the construc- tion period. 2. Positive steps to assure.that commercial installation services for water users will be available. If the County employs a private utility servicing company to operate and maintain the facilities, FmHA must approve the contract for this service before construction begins. FmHA acknowledges prior approval of the water purchase contract between the County and the City of Vero Beach. FmHA grant funds will be used after FmHA loan funds have been expended. The County will purchase all of the utility related assets of Urban Develop- ment Utilities, Inc. for $75,000.00, which assets will be conveyed free and clear of all encumbrances, mortgages, security agreements, liens, claims and other obligations. The purchase shall take place prior to the FmHA loan and grant being consummated but after satisfactory commitments have been issued to the County from FmHA. The County agrees to use County funds to purchase the utility related assets of Urban Development Utilities, Inc. The assets shall include but not be limited to land, distribution collection lines, pumps, plants and all other appurtenances and improvements related to Urban Development Utilities, Inc. sewer and water system. The County must execute Form FmHA 442-31, Association Water and Sewer Grant Agreement.
