HomeMy WebLinkAbout2008-440SECOND AMENDMENT AND EXTENSION TO WETLANDS MAINTENANCE SERVICES AGREEMENT This SECOND AMENDMENT AND EXTENSION TO WETLANDS MAINTENANCE SERVICES AGREEMENT ("Second Amendment") is entered into as of this. Iy of December, k" -e 2008 ("Effective Date"), by and between INDIAN RIVER COUNTY, a political subdivision of the State of Florida ("County") and ECOTECH CONSULTANTS, INC. ("Consultant"). BACKGROUND RECITALS A. Effective May 1, 2005, the County and the Consultant entered into the WETLANDS MAINTENANCE SERVICES AGREEMENT for the provision of wetlands maintenance services as set forth therein, as amended effective February 19, 2008 ("First Amendment") to add additional services and to extend the term for the first of three (3) allowable renewals of one (1) year each (as so amended, herein referenced as the "Agreement"). B. Pursuant to paragraph 3 of the Agreement, the County may request that the Consultant perform additional services under the Agreement. C. Further, the County and the Consultant desire to extend the term of the Agreement as set forth in paragraph 6.1 for the second of the three (3) allowable renewals of one (1) year each. NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows: 1. The background recitals are true and correct, and form a material part of this Agreement. 2. From and after the Effective Date of this Second Amendment, paragraph 3 of the Agreement is amended to include the Services as more specifically set forth in Exhibit 1, for the price set forth in Exhibit 1. 3. From and after the Effective Date of this Second Amendment, the term of this Agreement is extended though April 30, 2010. 4. All remaining terms of the Agreement, not herein amended, shall remain in full force and effect. FELL SISTANT COUNTY ATTORNEY ATTACHMENT I INDIAN RIVER UTILITIES DEPARTMENT NORTH COUNTY BRINE DISPOSAL SCOPE OF SERVICES This amendment provides for implementing the Lost Tree mitigation plan as shown by the Environmental Resource Permit (Permit Number 31-256136-001) issued for the Spoonbill Marsh. The work described by the tasks below is being implemented at this time to provide professional environmental services by Ecotech Consultants, Inc. and the Marine Resource Council. The additional work to be performed as part of this Amendment will generally include removal of non native and nuisance vegetation, site grading including installation of silt fence, and wetland planting services. A description of the scope of services is provided below: Task 1. Site Clearing Services Ecotech Consultants, Inc. and the Marine Resources Council will eliminate 10 acres of non native species by cut stump method with chipping on-site, and will re -grade the site as per the permit drawings (survey to be provided by the County). Task 2. Planting Services Ecotech Consultants, Inc. and the Marine Resources Council will provide and install the plant material (shown in Table 1) on the project site. Task 3. Maintenance Services Ecotech Consultants, Inc. and the Marine Resources Council will control the occurrence of non native plant species, and maintain the plant material for one year (following completion of the construction activities and acceptance of the plant material by the County). Monitoring Services Ecotech Consultants, Inc. and the Marine Resources Council will prepare the first annual monitoring report as required by the Environmental Resource Permit (Permit Number 31-256136-001). One copy of the annual monitoring report will be provided to the County, and one copy of the annual monitoring report will be provided to the Florida Department of Environmental Protection. Team proposes to complete the Scope of Services described in Attachment 1 to this Exhibit for the lump sum amount of $256,202.00. A breakdown of the costs for each task is shown below. The time needed to complete each of the tasks described in Attachment 1 by Ecotech Consultants, Inc. and the County can be reasonably estimated as shown below with the limitation that neither the County nor Ecotech Consultants, Inc. can control the weather or the portion of the permitting process controlled by the Florida Department of Environmental Protection, the St. Johns River Water Management District, and/or the U.S. Army Corps of Engineers.
