LLLP. a Florida limited liability limited padnemhip, having mailing address of 1600 Saw8naas Corporate Padiway, Suite 400, Sunrise, Florida 83323 (the "Grantor"), to and in favor of INDIAN RIVER COUNTY, a political subdivision of the State of Florida, having e mailing eddnoua of 1801 27^^ Street, Vern Beavh, Florida 32060 (the "Grantee"). Grantor and Grantee are sometimes referred to herein individually as a "Party' and collectively as the "Parties". WITNESSETH VVHEREAS. Grantor is the owner ofcertain mam| property located in Indian River County, Florida more particularly described onExhibit "A"attached hereto and made aport hereof (the "Easement Anea'); and WHEREAS, Grantee desires tmobtain from Grantor atemporary, non-exclusive easement over and upon the Easement Area for the "Easement Purposes" (as hereinafter defined); and VVHEREA8. Grantor agrees togrant (o Grantee atempouary. non-exclusive easement over and upon the Easement Area for the Easement Purposes onthe terms, but subject tothe conditions, set forth herein, NOW, THEREFQRE, in consideration of the premises, the agreements and covenants set forth hereimmMer, and for other good and valuable onneidenaUon, the receipt and sufficiency of which are hereby acknowledged, the Parties, intending to be legally bound, do hereby agree as follows: The foregoing recitals are true and correct and incorporated herein by this reference. 2. Grantor hereby grants unto Grantee atemporary, non-exclusive easement over and upon the Easement Area for the Easement Purposes on the tomns, but subject to the conditions, set forth herein. 8. A) The easement granted herein shall be solely for and limited tnthe following uses and purposes (oo|mo0ve|% the "Easement Purposes"): (a) to construct such ditches, |gkme and other water conveyance systems and/or retention areas within the Easement Area necessary tocapture, carry and retain drainage for storm water runoff for the western half of 2»m 4��num SW from 251h Street SW to 215t Street SW (the drainage provided by this Easement is referred to heroin as the "Drainage Cmpaniiy^); and (b) to instaU, nnaintein, oporoto, repair and rw9|ann such pipes, equipment and other facilities within the Easement Area for the purposes of capturing, carrying and retaining the storm water runoff drainage referred to in (a) above within and throughout the Easement Area. Any construction, installation, main{enanne, operatiVn, repair or replacements undertaken by Grantee pursuant to or inconnection with this Easement and the rights granted herein must comply with all n(atuten, rules, rmgu|aUono, ordinances, codes and permits (ino|uding.without limitation, the '^Pmrmit"(as hereinafter defined))and mhoU beotthe sole cost and expense nfGrantee. (i i) Grantee hereby acknowledges that Grantor has, as of the date of this Easement, partially constructed permanent drainage facilities (md|mntive|y.the "Grantor Facilities") omproperty owned by Grantor adjacent to and/or in the general vicinity of the Easement Area pursuant to St Johns River VVotar Management District Pmmnd Numbmr4-081-8O717-5 (the "Permit"). Grantor shall have the right to connect the ditches, |mhea and other water conveyance systems and/or retention mnmaa and the pipes, oqu[pnnmn\ and other facilities constructed and luptaUad by Grantee pursuant to paragraph 3(i) above (collectively, the "Grantee Feni|ities') to the Grantor Facilities to achieve positive legal outfall subject to the following conditions and limitations: ka\ All Grantee Facilities (and all construction, in$teUation, mainbenanoo, opensUon, repair or replacements of the same) must comply with all ahatutes, rw|es, regulations,, ordinancem.codemendpormitn(ino|uding,vvithoutUmitaUnn,thmPemnit);ond (b) Grantee shall be responsible, at its sole cost and expense, for cleaning, maintaining and repairing any of the Grantor Facilities used, impacted and/or connected to by the Grantee Facilities. 4. Grantee hereby acknowledges and e8nnex that this Easement and the rights granted to Grantee herein: (i) are non'exdooive. Grantor hereby nemorvao all rights of ownership in and to the Easement Area, including, without limitation, the right to use and enjoy the Easement Area for all its own use, benefit and enjoyment, and to grant further easements in, on, under, over, through and/or across the Easement Area to other third peraon, provided such use, bonsfit, enjoyment and/or further easements granted by Grantor are not wholly inconsistent with the uses permitted herein nor interfere with the rights granted herein toGrantee. (i i) are temporary. This Easement and the rights granted toGrantee herein shall automatically terminate upon the recordation, of one or more permanent drainage easements and/or plats that include a permanent water management system that, individually or cnUecNve|y, provides for the aomo Drainage Capacity provided for in paragraph 3(i) above (the "Triggering Event"), Notwithstanding such automatic termination, hovvevmr. Grantee hereby covenants and agrees to execute and deliver to Grenbur, promptly upon request after the occurrence of the Triggering Event, a termination of this Easement, in recordable form, terminating this Easement and the rights granted to Grantee herein. Neither the existence of this Easement, nor Grantee's delay in executing or refusal to execute m termination of this Easement, shall delay Grantee's approval or Grantor's recording of any permanent drainage easement and/or plat contemplated herein. (iii) do not include any right to the use, benefit or enjoyment of any fill generated from the Easement Area by Grantee's comstruc§on, innbaUation, mointenamne, npera§on, repair or replacements nfany ditches, lakes, water conveyance systems and/or retention nnaaa, pipeu, equipment and/or other facilities with under this Easement; Grantor hereby expressly reserving the axo|ua|vm use, benefit and enjoyment ofall such 0| unto itself. Grantee shall p|moo all fill generated from it exercising any rights under this Easement a\mdesignated area onother property owned byGrantor adjacent tothe Easement Area. (iv) does not give Grantee any right b) use any property owned byGrantee adjacent to the Easement Area; Grantee hereby expressly acknowledging and mgnmoin8 that the rights granted herein are exclusive limited tothe Easement Area. 5. Grantee shall keep the Easement Area free and clear of and from all claims, |ienm, rheryaa, judgmgnt$, liabilities and other encumbrances for |obor, aemiueu, mupp|ies, materials and/or equipment performed, purchased orprocured, directly nrindirectly, by, through nrunder Grantee (any such claim, lien, charge, judgment, liability or other encumbrance is referred to herein as a "Claim"). If any Claim is filed against the Easement Area (and/or any other real property owned byGrantor adjacent thereto) in connection with any |ubur, oervioms, supplies, materials and/or equipment performed, purchased or proou/gd, directly or imdiroct|y, by, through or under Grantee at any time while this Easement is or was in effect (regardless of when any such Claim is filed against the Easement Area), 2 then Grantee shall immediately bond off or satisfy and discharge such Claim within 10 days after learning ofthe same, This paragraph shall survive the termination ofthis Easement. 6. To the extent permitted by law, Grantee shall indemnify, defend and save Grantor (together with its aMi|iahao, pertnmm, officmru, d|vmctoru, agents and employees) and the Easement Area harmless from and against any and all causes of enUVn, c|aimm, damogeo, personal injuries and/or deaths. liabilities, fines, |[enx, mmcumhnanco*, penalties, judgments, |uaaoo, haao, costs and expenses (including reasonable attorneys fees and ousts atall trial and appellate levels and proceedings) incurred by Grantor (or any of its effi|ioieo, partners, ofOcero, d|nmohnrm, a8ents, and employees) arising out of, caused by, resulting from or in connection with any of the following that occur or occurred (or the cause of which occurs or occurred) at any time while this Easement is in effect (regardless of when any such cause nfaction, claim, damago, personal injury and/or death, liability, fine. |ien, encumbrance, penalty, judgment, |oea, fea, cost and/or expense is actually incurred byGrantor o/any of its affiliates, partnere, o0Dnans, dinec(oro, agents, and/or employees): U> the use of the Easement Area and/or Grantor Facilities by Grantee (or any of its employees, agents or contractors); (U) the exercise by Grantee (or any of its emp|oyeea, agents or nontnoobzrp) of any right granted to it herein; (iii) any improvement made to or installed within the Easement Area by Grantee (or any ofits nmp|nyoea, agents or contractors); (iv) any Claim made or filed against the Easement Area (including bond premiums for transferring any Claim to bond); and (v) any violation of this Easement be Grantee (or any of its employees, agents or contractors). This paragraph shall survive the termination ofthis Easement. 7. All notices to be given under this Easement shall be in vvr|t|nq and sent to the Pad|me as hereinafter provided, by hand delivery; facsimile; certified mail (return receipt requeahed), postage prepaid; or by moUVmaUy namzQmized overnight courier service, Any such notice shall be deemed given upon the earlier of receipt by the addressees if hand delivered (or attempted delivery if refused by the intended recipient thereof); at the time of transmission if delivered by facsimile; on the date of deposit thereof in the United States mail; or on the next business day after deposit with a recognized overnight courier service. The place to which any Party is entitled to receive any noUoc, and the pmrmon(s)designated to receive any notice on behalf ofany Party, may be changed by such Party by giving notice thereof in accordance with the foregoing provisions. 8. This Easement shall be governed by, construed and enforced under the laws of the, State of Florida. U any action, litigation or other proceeding arising out of this Easement is commenced by one Party against the other, then the prevailing Party in such action, litigation or proceeding shall recover reasonable all fmeo, costs and expenses incurred thereby (including, without |imitoUon, reasonable attorneys' fees through and including all appellate |mvn|e and proceedings) from the non -prevailing Party. This paragraph shall survive the termination ofthis Easement. 9, This Easement contains the entire agreement and understanding between the Parties relating to the matters contemplated hereby, and all prior or contemporaneous aQnewmanta, underatandinQn, tarme, oondiNons, representations, vvarmanNes, covenants and statements, whether oral orwritten, are merged herein. This Easement may bmamended nrmodified only byewritten instrument executed by the Party against whom, enforcement is sought that is recorded in the Public Floonrda of Indian River County, Florida, M The section headings contained in this Easement are for reference purposes only and shall not affect the meaning or interpretation hermof. All of the Parties have participated fully in the 3 negotiation of this Easement, and accordingly, this Easement shall not be more strictly construed against any one of the Parties. The waiver mfa Party ofany, term, oonditiun, covenant, agreement or other provision of this Agreement must be in writing signed by the Party waiving such term, condition, covenant, agreement nrother provision. 11. if any provision of this Easement is for any reason held to be invalid, illegal or unenforceable in any respect by m court of competent juhadluUon, then such invaiidih/. illegality or unenforceability shall not affect any other provision of this Easement (all of which shall remain in full force and effect) and this Easement shall be construed by giving such provision its nearest legal meaning or construed as if such provision had never been contained herein, whichever such court determines. 12. This Easement shall inure to the benefit of and shall be binding upon the Parties and their respective heirs, personal representatives, successors and/or assigns. 13.
