INDIAN RIVER COUNTY, STONEYBROOK FARMS GROUP, L.L.C.
and PREMIER CITRUS,L.L.C.

This Agreement is entered into this 1 6tYday of fetbruz/- fig,between Indian River
County, a political subdivision of the State of Florida (the "County") 1801 27`h Street, Vero
Beach, FL 32960; Stoneybrook Farms Group, L.L.C., a Florida limited liability company, whose
principal address is 625 66`h Avenue SW, Vero Beach, FL 32968; and Premier Citrus, L.L.C.,
whose principal address is 625 66`h Avenue SW,Vero Beach, FL 32968 ("Premier").
WHEREAS, Stoneybrook Farms Group, L.L.C. ("Stoneybrook") caused certain lands to
be platted and surveyed as Stoney Brook Farm, as recorded in Plat Book 19, Page 41, Public
Records of Indian River County, Florida; and
WHEREAS, the eastern boundary of the plat of Stoney Brook Farm overlapped right-of-
way on 82nd Avenue which is owned by Indian River County ("County"); and
WHEREAS, the western boundary of the plat of Stoney Brook Farm left a gap or hiatus
between the plat boundary and other property owned by the County; and
WHEREAS, the County desires to acquire from Premier additional property on the
southwest corner of 82nd Avenue and 4`h Street for right-of-way purposes; and
WHEREAS, Stoneybrook, the County, and Premier have agreed and do hereby agree to
exchange certain portions of their respective properties as described herein; and
WHEREAS, this Exchange Agreement is subject to final approval by the Indian River
County Board of County Commissioners (`BCC") through the adoption of a resolution, and this
exchange is allowed and authorized under Section 125.37, Florida Statutes, following notice as
required to be published once a week for two weeks before consideration by the BCC;
NOW, THEREFORE, for and in consideration of the mutual terms, conditions, promises,
and covenants contained herein, Stoneybrook, the County, and Premier hereby agree as follows:
1. The foregoing recitals are true and correct and are incorporated as if fully restated
herein.
2. The County shall convey to Stoneybrook,by county deed, the real property shown
and described on Exhibit"A" attached hereto and made a part hereof.
3. Stoneybrook shall convey to the County, by quit claim deed, the real property
shown and described on Exhibit"B" attached hereto and made a part hereof.
4. Premier shall convey to the County, by quit claim deed, the real property shown
and described on Exhibit"C" attached hereto and made a part hereof.
5. Each of the conveyances described herein shall occur simultaneously with each
other.
6. The parties acknowledge that this Agreement shall be of no force or effect until
and unless approved by the BCC through the adoption of a Resolution. Closing
shall occur within thirty (30) days after the adoption of the subject Resolution by

7. Each party shall convey title to their respective parcels free of claims, liens,
easements, and encumbrances, and property taxes shall be prorated for the year of
closing through the date of closing.
8. At closing, County shall pay the cost of recording the deeds to the County.
9. At closing, Stoneybrook shall pay the cost of recording the deed to Stoneybrook,
as well as any costs necessary to cure title defects or encumbrances, other than
permitted exceptions, with respect to the conveyance of property from
Stoneybrook to the County.
10. At closing, Premier shall pay the cost of recording the deed to Premier, as well as
any costs necessary to cure title defects or encumbrances, other than permitted
exceptions, with respect to the conveyance of property from Premier to the
County.
11. Notices. All notices or requests required or authorized hereunder shall be in
writing and shall be delivered or mailed, (including overnight carrier), to the
respective parties hereto as follows:

12. In the event of a dispute arising from or out of this Agreement, each party shall
pay its own attorney's fees and costs.
12. This Agreement constitutes the entire agreement between the parties with respect
to this transaction and supersedes all prior agreements, written or oral.

A strip of land being a portion of Tracts 1 and 8, Section 14, Township 33 South, Range
38 East, according to the last general plat of lands of the Indian River Farms Company,
as recorded in Plat Book 2, Page 25, of the Public Records of St. Lucie County, Florida,
said lands now lying and being in Indian River County, Florida, said strip also lying within
the plat of STONEYBROOK FARM, as recorded in Plat Book 19, Pages 41 through 44, of the
Public Records of Indian River County, Florida, said strip more particularly described as follows:
COMMENCING at the Northeast corner of said Section 14, proceed South 00' 31' 22" West
along the East line of the Northeast 1/4 of said Section 14 a distance of 60.36 feet; thence
North 89' 28' 38" West a distance of 68.00 feet to a point on the Northeasterly line of said
Plat of Stoneybrook Farm, said point being the POINT OF BEGINNING; thence along said Northeasterly
plat line, South 44' 57' 25" East a distance of 0.69 feet to a point of intersection with the East
