INDIAN RIVER COUNTY AND VERO BEACH HOTEL AND SPA, INC.
THIS EXTENSION OF AGREEMENT (Extension) entered into this 12th day of
April , 2016 by and between the SENIOR RESOURCE ASSOCIATION, INC., a
Florida non-profit corporation (SRA) whose address is 694 14th Street, Vero Beach, FL
32960, and INDIAN RIVER COUNTY, a political subdivision of the State of Florida
(County) whose address is 1801 27th Street, Vero Beach, FL 32960, and the VERO
HOTEL, LLC d/b/a Vero Beach Hotel and Spa, a Florida limited liability company (Vero
Hotel) whose address is 3500 Ocean Drive, Vero Beach, FL 32963.
WITNESSETH:
WHEREAS, On May 17, 2015, the SRA, County and Vero Hotel (the Parties)
entered into an Agreement for bus services and advertising effective July 1, 2015 which
will expire on June 30, 2016; and
WHEREAS, the Parties desire to extend the Agreement for an additional one year
period under substantially the same terms and conditions.
NOW, THEREFORE, in consideration of the mutual terms and promises stated
herein, and other good and valuable consideration, the receipt and sufficiency of which is
hereby acknowledged, the SRA, County and Vero Hotel agree as follows:
1. The foregoing recitals are incorporated as if fully restated herein.
2. Paragraph 3 of that certain Agreement dated May 17, 2015 is hereby amended as
follows: The term of this Extension of Agreement shall be effective from July 1, 2016
through June 30, 2017.
3. The Parties agree that a motorized trolley type vehicle would be a suitable substitute
for the current bus. Should a trolley become available for use, SRA agrees to
substitute the trolley for the bus and shall have the trolley wrapped with display graphic
advertising selected by the Vero Hotel and approved by the SRA. The SRA shall be
responsible for installation and "wrapping" of the trolley at the SRA's cost.
4. Except as amended herein, the terms and conditions of the Agreement shall remain in
full force and effect. To the extent of any conflict between the terms of this Extension
of Agreement and the terms of the original Agreement, the terms of this Extension of
Agreement shall control.
