CONTINUING CONTRACT AGREEMENT 's
for
PROFESSIONAL SERVICES
THIS EXTENSION to CONTINUING CONTRACT AGREEMENT for PROFESSIONAL SERVICES
("Amendment") is entered into as of this 24th day of October, 2017, by and between INDIAN
RIVER COUNTY, a political subdivision of the State of Florida, ("COUNTY"), and CDM Smith Inc.,
("Consultant"):
RECITALS
WHEREAS,on November 4, 2014, County and CDM Smith Inc. entered into a second and
final extension of the Continuing Contract Agreement for Professional Services to provide certain
professional services relating to Public Works, Solid Waste Disposal District (SWDD) Utilities-
Major and Utilities-Minor systems (the "Agreement"); and
WHEREAS,the 2011 Agreement was for an initial term of three years,with the option of
another three additional years; and
WHEREAS, the initial term and the additional three-year renewal periods will expire
November 16, 2017; and
WHEREAS, the County and CDM Smith Inc. wish to renew the Agreement for one
additional three-month period, commencing on the date of the expiration of the Agreement;
NOW THEREFORE, in consideration of the mutual undertakings herein and other good and
valuable consideration, the receipt and adequacy of which is hereby acknowledged,the parties
agree, as follows:
1. Recitals. The above recitals are true and correct and are incorporated herein.
2. Renewal of Agreement. The Agreement is hereby renewed and extended and shall
terminate on February 15, 2018.
3. All other provisions of the Agreement shall remain in full force and effect.
