PROFESSIONAL CIVIL ENGINEERING AGREEMENT

THIS AGREEMENT, entered into this / day of \- /, 199w, by and between INDIAN RIVER COUNTY, a
political subdivision of the State of Florida, hereinafter
referred to as the COUNTY, and KEITH AND SCHNARS, INC. , Stuart,
Florida, hereinafter referred to as the ENGINEER,
WITNESSETH
The COUNTY and the ENGINEER, in consideration of their
mutual covenants, herein agree with respect to the performance of
professional engineering services by the ENGINEER and the payment
for those services by the COUNTY as set forth below. This
agreement shall be referred to as the "MASTER AGREEMENT" under
which future work orders may apply.
The ENGINEER shall provide professional engineering and
related services for the COUNTY in all phases of the project
described as 4th Street Road Widening, Drainage Improvements, and
Intersection Improvements at 4th Street and Old Dixie, from just
west of U.S. Highway 1 to West of Old Dixie Highway; serve as the
COUNTY' S professional representative for the project as set forth
herein; and shall giveprofessional engineering advice to the
COUNTY during the performance of the services to be rendered.
SECTION I - PROJECT LIMITS
The project limits shall be 4th Street right-of-way from
west of US Highway 1 to approximately 500' west of Old Dixie
Highway, U.S. 1 right-of-way in the vicinity of 4th Street and
adjacent areas needed for stormwater management and related work.
SECTION II - COUNTY OBLIGATIONS
The COUNTY agrees to provide the following material, data,
or services as required in connection with the work to be per-
formed under this Agreement:
A. Provide the ENGINEER with a copy of any preliminary
data or reports available.
B. Provide the ENGINEER with all available drawings,
surveys, right-of-way maps, and other documents in the
possession of the COUNTY pertinent to -the project.
C. The COUNTY shall be responsible for acquiring all
right-of-ways, easements and other rights in land as
necessary to complete the project.
D. The COUNTY shall make provisions for the ENGINEER to
enter upon public or private property as required for
the ENGINEER to perform his services.
E. The COUNTY will promptly execute all permit applica-

tion: iecessary to expedite t acquisition of any
• local, state or federal permits made necessary by the
project.
SECTION III - SCOPE OF SERVICES
The ENGINEER agrees to perform professional engineering and
related services in connection with the project as required and
as set forth in the following:
A. General
1 . The ENGINEER will endeavor not to duplicate any
previous work done on the project. After written authorization
to proceed, the ENGINEER shall consult with the COUNTY to clarify
and define the COUNTY' S requirements for the project and review
all available data.
2 . The ENGINEER will attend conferences with the
COUNTY and its representatives upon the request of COUNTY.
3 . In order to accomplish the work described under
this Agreement in the time frames and conditions set forth in
this Agreement, the ENGINEER will observe the following require-
ments:
a. The ENGINEER will complete his work on the
project within the time allowed by maintaining an adequate staff
of registered engineers, designers draftsmen, and other - .
employees on the work at all times.
b. The ENGINEER will comply with all federal,
state, and local laws applicable to this project. The ENGINEER
will design the project in such a manner as to be in conformance
with all applicable federal, state and local laws. All work
shall conform to Florida Department of Transportation Roadway and
Traffic Design Standards.
c. The ENGINEER will prepare all necessary
sketches and completed application forms to accompany the
COUNTY' S applications for any required federal, state, or local
permits. The ENGINEER shall conduct meetings with permitting
agencies and obtain guidelines and approval as necessary.
d. The ENGINEER will cooperate fully with the
COUNTY inorder that all phases of the work may be properly
scheduled and coordinated.

e. The ENGINEER will submit a preliminary set of
construction plans to any city, district, county, state or
federal regulatory agency from which a permit or other approval
is required prior to final approval of the design by the Director
of the Public Works Department.
f. The ENGINEER will contact - all utility
companies having installations in the vicinity of the proposed
work and notify said companies of the time schedule for
construction of the project and relocation of utilities, if any.
The ENGINEER will provide the COUNTY with necessary information
relative to required utility adjustments or relocations and will
show the relocated utilities on thefinal design plans.
g. The ENGINEER shall report the status of this

request and hola all drawings, calculations and related work open
to the inspection of the Director or his authorized agent at any
time, upon reasonable request.
4. The ENGINEER will furnish additional copies of the
drawing, specifications and contract documents as required by
the COUNTY for prospective bidders, materials suppliers, federal,
state and local agencies from whom approval of the project must
be obtained, and other interestedart'
p ies, but may charge only
for the actual cost of providing such copies. Upon award of the
contract, the ENGINEER will furnish to the COUNTY five ( 5) sets
' of the drawings, specifications and reports. The cost of these
sets of documents are not included in the basic compensation paid
to the ENGINEER, but will be paid as a direct expense. All
original documents, survey notes, field books, tracings, and the
like including all items furnished to the ENGINEER by the COUNTY
pursuant to this Agreement, are and shall remain the property of
the COUNTY, and shall be delivered to the COUNTY upon completion
of the work.
5. The ENGINEER shall prepare right-of-way maps of
sufficient detail for acquisition of new right-of-way.
Negotiation for all land rights shall be accomplished by the
COUNTY, unless the COUNTY requests the ENGINEER to perform -these
services in a subsequent work order to this AGREEMENT. In this
event, the ENGINEER shall be compensated for such additional
services.
6 . The ENGINEER acknowledges that preparation of
applicable permits for the COUNTY' S submittal through
governmental regulatory agencies, including St. Johns River Water
Management District, Florida Department of Transportation
roadway alteration, Department of Transportation drainage
connection, FEC Railroad, Indian River Farms Water Control
District, Florida Department of Environmental Protection, U.S.
Army Corp of Engineers, Environmental Protection Agency, and all
other necessary permit applications are included within the scope

of basic compensation as provided, herein. Any additional work
required by regulatory agencies pursuant to regulations
established after the date of this Agreement shall be an addi-
tional the service and n COUNTY shall compensate the ENGINEER in
accordance with SECTION VI - Additional Work, of this Agreement .
7 . County will provide all existing survey data to
the Engineer. The ENGINEER shall perform field surveys as
determined to be necessary by the ENGINEER and the COUNTY' S
Public Works Director for final design and preparation of
construction plans for the project and acquisition of new right-
of-way. Anticipated land surveying information includes, but may
not be limited to: a location survey which will establish the
physical location of all visible, aboveground, permanent
structures located within the existing and proposed right-of-way
and limits of construction; Controlled aerial photography will
also be available from the Florida Department of Transportation.

• 9. The Indian River Boulevard typical section east of
U.S. 1 shall be available from 4the Florida Department of
Transportation. The 4th Street typical section west of U.S. 1
shall be at least a five-lane urban typical with center lane to
be a bi-directional left turn lane and closed drainage system and
sidewalks.
10 . The intersection improvements are required for
4th Street at Old Dixie Highway. These improvements shall
consist of, but not be limited to, turn lanes, drainage,
structures, signalization, and signing and marking. The
Consultant , shall coordinate the improvements on 4th Street at US
1 with Florida Department of Transportation' s design Consultant
for the intersection improvements as required.
11. As a minimum, the Construction Drawings will
include cross sections of the right-of-way at 100' intervals,
based on field survey information provided by the COUNTY.
12. The survey information provided by the COUNTY will
be in the form of AutoCad drawing files (AutoCad Release 12.0) .
Additional controlled aerial photography as prepared by FDOT will
also be provided by the COUNTY.
13 . Technical specifications are required and will be
included on the construction drawings or supplied with contract
documents as approved by the Public Works Director. However, the
ENGINEER shall show on his Construction Drawings, all technical
information and details required to construct non-standard or
unusual items not covered by the technical specificationsor by
• Florida Department of Transportation (FDOT) specifications.

14. Scope of Services P
a. The ENGINEER recognizes that the COUNTY may
have data which may be used with respect to this project. The
ENGINEER will endeavor to utilize . the COUNTY' S data to the most
practical extent possible on this project.
b. The ENGINEER will attend up to three ( 3)
conferences with the COUNTY and its representatives and other
interested parties upon request of the COUNTY. Additional
conferences will be billable as Additional Services. These
meetings are in addition to COUNTY review meetings identified in
paragraph h, below.
c. The ENGINEER shall arrange for and obtain for
the COUNTY, soil survey investigations, including percolation
testing. In addition, borings and soil tests and the like shall
be performed by an approved soils testing laboratory, to
determine dewatering operations, drainage conditions, foundation
conditions, suitable subgrade conditions, etc. The County must
approve the testing lab being used, based on quotations from
three ( 3) established firms. The ENGINEER will arrange for all
such explorations and tests as part of his basic service.
However, the actual costs of the explorations and soil tests
shall be treated as a direct cost to the ENGINEER and paid for by
the COUNTY.

The ENGINEER shall spare good standard
practice designs for the project and shall prepare detailed
Construction Drawings for the roadway and drainage structures
contained within the project limits. FDOT design standards shall
be used for the project. A summary of quantities shall be
included. The summary of quantities shall be provided on the
Construction Drawings and also provided in an 8-1"x 11" format,
similar to a standard bid tab sheet.
e. A minimum of 100 ' right-of-way is required
from west of US 1 to west of Old Dixie Highway. Right-of-way
maps, legal description, title search, and updates are required
for this project. Additional right-of-way may be required on US
1 on the northwest quadrant to construct a southbound right turn
lane.
The Construction Drawings for this project
will consist of the following sheets:
1. Cover Sheet.
2 . General Notes and Summary of Quantities
Sheet.
3 . Drainage plan.
4. Plan & Profile sheets. A horizontal
scale of 1'=20" and double plan and
profile - sheets shall be used:
5. Cross Section Sheets.
6. Detail Sheet.
7. Intersection Detail Sheets.
8. Signalization Plans.
9. Signing and Marking Plans.
10. Maintenance of Traffic Plans.

f. The ENGINEER shall prepare an "Opinion of
Probable Construction Cost" for the project.
g. The ENGINEER shall prepare the necessary
local, state and federal permit applications for signature by the
COUNTY and provide the necessary Construction Drawings and
calculations for the permit applications. The COUNTY shall
provide aerials, tax maps, etc. as required for the various
permit application submittals. Anticipated permits for this
project are from St. Johns River Water Management District
(SJRWMD) , Florida Department of Transportation, US Army Corps of
Engineers Dredge & Fill Permits, Indian River Farms Water Control
District and FEC Railroad. The COUNTY shall submit the permit
applications to the appropriate authorities. The ENGINEER shall
be reimbursed for the cost of all documents.
h. Fifty percent, ninety percent and final
review meetings shall be held between the ENGINEER and the
COUNTY. For each meeting, the Engineer shall provide the COUNTY
with three ( 3 ) sets of review documents for the project. The
ENGINEER shall be reimbursed for the cost of the documents. The
. COUNTY shall expeditiously review the check documents and
indicate thereon any revisions requested. The ENGINEER shall
make revisions as directed by the COUNTY. •

SECTION IVB- T? ' FOR COMPLETION
The time for completion of 90% design drawings, permit
applications and cost estimate shall be two hundred forty ( 240)
days and the final plans shall be complete 30 days thereafter.
Work shall not commence until the County issues a Notice-to-
Proceed.
SECTION V - COMPENSATION
The COUNTY agrees to pay and the ENGINEER agrees to accept
for services rendered pursuant, to this Agreement fees in
accordance with the following:

1 . Professional Services Fee
•
a. Keith and Schnars, Inc. agrees to perform the
services as delineated herein at a Lump Sum with "Not-to-Exceed"
fee amount of Fifty-One Thousand Nine Hundred Fourteen Dollars
( $51,914. 00) . Actual billings will be based on hourly rates, per
Schedule of Rates and Fees as contained herein. The total man-
hour fee for the project will not surpass the "Not-to-Exceed" fee
stipulated above. Reimbursable expenses such as blueprints,
postage, photocopies, etc. shall be reimbursed as provided for in
the previously mentioned rate schedule. Travel will not be
reimbursed to attend meetings with -Indian River County staff or
permit agencies within 100 miles of Indian River County. Exhibit
A, attached, provide the detail break-down of the contract man-
hours and fee for the entire project.
Any and all work performed other than that
specifically listed in Section B, "Scope of Services" , unless
agreed upon at the signing of the Engineering Contract, shall be
considered Additional Services. Compensation for Additional
Service work shall be at a lump sum price to be negotiated
between Keith and Schnars, Inc. and the COUNTY, or at the
COUNTY'S option, Additional Service work may P be performed on an
hourly basis,. plus reimbursable expenses, per the Schedule of
Rates and Fees as contained herein.
SCHEDULE OF RATES AND FEES
FOR PROJECTS REQUIRING PROFESSIONAL LIABILITY

Project Designer $60. 00/hour
Project Surveyor (PLS) $75. 00/hour
Survey Field Crew $75.00/hour
Construction Observer/Inspector $40. 00/hour
Project Designer/CADD Draftsperson $40. 00/hour
Administrative $21. 00/hour
Reimbursable expenses are invoiced based on actual costs times a
factor of 1.10. All other direct costs such as permit
application fees, etc. are charged without markup.

rye, 2 . Dire( Payment for Additional Se ices
The COUNTY agrees to pay on a direct basis for services
or goods provided by others working in conjunction with the
ENGINEER, as follows:
a. Soil Survey
The COUNTY shall make direct payment ,to the
approved soil laboratory for soil survey work requested by the
ENGINEER which is necessary in designing the project, and
approved by the COUNTY in writing.
b. Printing and Reproduction and Travel
The COUNTY shall make direct payment to the
ENGINEER for the cost of printing project plan sheets required
for utility coordination. The maximum cost allowed per blueprint
for sheets utilized for this purpose shall be $1. 00. The maximum
cost per mylar or sepia for sheets utilized for this purpose
shall be $4.00 .
c. The Consultant shall be reimbursed for the mileage
at the latest State approved rates per mile, except for travel to
and from the County within a radius of 100 miles.
SECTION VI — ADDITIONAL WORK
In the event changes are requested by the COUNTY to the
contract plans after said plans have been approved and accepted
by the COUNTY and upon the issuance of a work order for said
additional work by the Director of the Public Works Department,
said additional work may commence in accordance with the fee
schedule included in the work order.
SECTION VII - PARTIAL PAYMENTS
The COUNTY shall make monthly partial payments to the
ENGINEER.
The ENGINEER shall submit duly certified invoices in tripli-

• cate to the Director of the Public Works Department.
The Contract shall be divided into units of deliverables,
which shall include, but not be limited to, reports, findings,
and drafts, that must be received and accepted in writing by the
Director of Public Wo.r-ks_prior to payment. A 10% retainage wrt'i

SECTION VIII - EXTRA WORK
In the event extra work is necessary by the ENGINEERS due to
a change in scope of the project, such work shall be the subject
of a supplemental work order approved by the Board of County
Commissioners.
SECTION IX - RIGHT OF DECISIONS
All services shall be performed by the ENGINEER to the
satisfaction of the Director of the Public Works Department who
shall decide all questions, difficulties, and disputes of whatev-
er nature which may arise under or by reason of this Agreement
and according to the prosecution and fulfillment of the service

hereunder, and 'le character, quality, am it and value thereof,
and the Director' s decision upon all claims questions and
disputes shall be final, conclusive and binding upon the parties
hereto unless such determination is clearly arbitrary or
unreasonable.
Adjustments of compensation and contract time because of any
major changes in the work that might become necessary or be
deemed desirable as the work progresses shall be reviewed by the
Director of the Public Works Department. In the event that the
ENGINEER does not concur in the judgment of the Director of the
Public Works Department as to any decisions made by him he shall
present his written objections to the County Administrator; and
the Public Works Director and the ENGINEER shall abide by the
decision of the County Administrator of Indian River County,
unless the decision is clearly arbitrary or unreasonable.
SECTION X - OWNERSHIP AND REUSE OF DOCUMENTS
A. Ownership
All reports, tracings, plans, specifications, field
books, survey information, maps, contract documents, and other
data developed by the ENGINEER for the purpose of this Agreement
shall become the property of the COUNTY and shall be made
available by the ENGINEER at any time Upon request of -the COUNTY.
When all work contemplated under this Agreement is complete, all
of the above data shall be delivered to the Director of the
Public Works Department.
B. Reuse of Documents
All documents, including but not limited to drawings
and specifications, prepared by the ENGINEER pursuant to this
Agreement are related exclusively to the services described
herein. They are not intended or represented to be suitable for
reuse by the COUNTY or others on extensions of this project or on
any other project. Any such utilization or adaptation will
entitle the ENGINEER to further compensation at rates to be
agreed upon by the COUNTY and the ENGINEER. The ENGINEER shall
not be held liable for any reuse of the Documents and shall not
be held liable for any modifications made to the documents by
others.
SECTION XI - NOTICES
Any notices, reports or other written communications _from
the ENGINEER to the COUNTY shall be considered delivered when
posted by certified mail or delivered in person to the Director
of the Public Works, Department. Any notices, reports or other
communications from the COUNTY to the ENGINEER shall be consider-
ed delivered when posted by certified mail to the ENGINEER at the
last address left on file with the COUNTY or delivered in person
to said ENGINEER or his authorized representative. Such in
person deliveries shall be evidencedbysigned receipts.

SECTION XII - MINATION
The obligation to provide . further services under this
Agreement may be terminated by either party upon seven (7) days
written notice in the event of substantial failure by the other
party to perform in accordance withthe terms hereof through no
fault of the terminating party. In the event of any termina-
tions, the ENGINEER will be paid for all services rendered to the
date of termination, all expenses subject to reimbursement
hereunder, and other reasonable expenses incurred by the ENGINEER
as a result of such termination.
SECTION XIII - AUDIT RIGHTS
The COUNTY reserves the right to audit the records of the
ENGINEER related to this Agreement at any time during the
prosecution of' the work included herein and for a period of one
year after final payment is made.
SECTION XIV - SUBLETTING
The ENGINEER shall not sublet, assign, or transfer any work
under this Agreement without the written consent of the COUNTY.
When applicable and upon receipt of such consent in writing, the
ENGINEER shall cause the names of the engineering and surveying
firms responsible for the major portions of each separate spe-
cialty of the work to be inserted on the reports or other data.
SECTION XV - WARRANTY
The ENGINEER warrants that he has not employed or retained
any company or person other than bona fide employee working
solely for the ENGINEER to solicit or secure this contract and
that he has not paid or agreed to pay any company or person other
than a bona fide employee working solely for the ENGINEER any
fee, commission, percentage fee, gifts or any other considera-
tions, contingent upon or resulting from the award or making of
this contract. For breach violation of this warranty, the COUNTY
shall have the right to annul this contract without liability.
SECTION XVI - DURATION OF AGREEMENT'
This Agreement shall remain in full force and effect for a
period of two years after the date of execution thereof or until
completion of all project phases as specified by the Public Works
Director, whichever occurs first, or unless otherwise terminated
by mutual consent of the parties hereto or pursuant to Section
XII of this contract.
SECTION XVII - INSURANCE AND INDEMNIFICATION
During the performance of the °work covered by this Agree-
ment, the ENGINEER shall provide the COUNTY with evidence that
the ENGINEER has obtained and maintains the insurance listed in
the Agreement.
1. ENGINEER shall procure and maintain for the duration of
the contract, insurance against claims for injuries to
persons or damages to property which may arise from or

in inection with the perf mance of the work
hereunder by the ENGINEER, his agents, representatives,
employees or sub-contractors. The cost of such
insurance shall be included in the ENGINEER' S bid.
2 . Minimum Scope of Insurance
A. Worker' s Compensation as required by the State of
Florida. Employers Liability of $100,000 each
accident, $500,000 disease policy limit, and
$100,000 disease each employee.
B. General Liability $1,000,000 combined single limit
per accident for bodily injury and property
damage. County shall be an additional insured.
C. Auto Liability $1,000 ,000 combined single limit
per accident for bodily injury and property damage
for owned and non-owned vehicles. County shall
be an additional insured.
D. Professional Liability Insurance providing
coverage for negligent acts, errors, or omissions
committed or alleged to have been committed by
ENGINEER with a limit of $500,000 per claim/annual
aggregate. There shall be no more than $5,000
deductible per claim amount unless the Engineer
provides a Certified Copy of a financial report
which has been approved by the County Risk
Manager. This insuraride.. shall extend coverage to
loss of interest, earning, __profit, use and
business interruption, cost of replacement power,
and other special, indirect and consequential
damages.
3 . Any deductibles or self insured retentions greater than
$5,000 must be approved by the Risk Manager for Indian
River County with the ultimate responsibility for same
going to the ENGINEER. •
4. ENGINEER' S insurance coverage shall be primary.
5. All above insurance policies shall be placed with
insurers with a Best' s rating of no less that A + VII .
The insurer chosen shall also be licensed to do
business in Florida.
6. The insurance policies procured shall be "Claims Made"
policies or as generally available on the open
insurance market.
7 . The Insurance Carriers shall supply Certificates of
Insurance evidencing such coverage to the Indian River
County Risk Management Department prior to the
execution of this Contract.
8. The insurance companies selected shall send written
verification to the Indian River County Risk Management
Department that they will provide 30 days written
notice to the Indian River County Department of Risk
Management of its intent to cancel or terminate said
policies of insurance.
9. A written safety inspection plan must be submitted to
the Indian River County Risk Management Department for
approval prior to the signing of the contract.

NOTE 2: Survey data to be furnished by Indian River County. If Consultant's survey services
are required, they will be provided at the rates indicated above.
10. ENGINEER shall include all sub-contractors as insured
under its policies or shall furnish separate
certificates and endorsements for each sub-contractor.
All coverages for sub-contractors shall. be subject to
all of the requirements stated herein.
11. ENGINEER hereby agrees to indemnify Indian River County
and Representatives thereof from all claims arising
solely from negligent acts, errors or omissions of the
ENGINEER or ENGINEERS' REPRESENTATIVES. in the
performance of Professional Services under this
agreement and for which ENGINEER is legally liable.
SECTION XVIII - ENTIRETY OF AGREEMENT
This writingembodies the entire Agreement and g
under-
standing between the parties hereto, and there are no other
agreements and understandings, oral or written, with reference to
the subject matter hereof that are not merged herein and super-
seded hereby.
No alteration, change, or modification of the terms of this
Agreement shall be valid unless made in writing and signed by
both �
parties hereto.
This Agreement, regardless of where executed, shall be
governed by and construed according to the laws of the State of
Florida.
IN WITNESS WHEREOF the parties hereto have executed these
