SOUTHEAST EMPLOYEES' CREDIT UNION ("ATM OWNER") AND BETWEEN INDIAN RIVER COUNTY
("COUNTY")
THIS FIRST EXTENSION to the Agreement for Automated Teller Machine Services is entered into this 17th day
of September, 2019, by and between ATM OWNER and COUNTY.
BACKGROUND RECITALS
A. On July 12, 2016, OCULINA BANK and COUNTY entered into the Agreement for Automated Teller Machine
Services (the "Agreement").
B. Effective April 1, 2019, Oculina Bank merged with IBM Southeast Employees' Credit Union, and now
operates as "IBM Southeast Employees' Credit Union."
C. Paragraph 6 of the Agreement contains the term and renewal provisions.
D. Pursuant to the Agreement, the parties desire to renew the Agreement by this First Extension and include
the mandatory termination clause relating to F.S. 215.4725.
NOW, THEREFORE, in consideration of the mutual undertakings herein, and other good and valuable
consideration, the parties agree as follows:
1. The background recitals are true and correct and form a material part of this First Extension.
2. The Agreement for Automated Teller Machine Services is hereby extended from August 16, 2019 until
August 15, 2020.
3. The following is added as a supplement to Paragraph 8 of the agreement:
8a. ATM OWNER certifies that it and those related entities of ATM OWNER as defined by Florida law are not
on the Scrutinized Companies that Boycott Israel List, created pursuant to s. 215.4725 of the Florida Statutes,
and are not engaged in a boycott of Israel. COUNTY may terminate this Contract if ATM OWNER, including all
wholly owned subsidiaries, majority-owned subsidiaries, and parent companies that exist for the purpose of
making profit, is found to have been placed on the Scrutinized Companies that Boycott Israel List or is
engaged in a boycott of Israel as set forth in section 215.4725, Florida Statutes.
4. All other provisions of the Agreement remain in full force and effect.
IN WITNESS WHEREOF, the parties have caused this Extension to be executed effective the day and year in which
set forth above.
