THIS AGREEMENT made this 14th day of January , 2020, by and between Indian
River County ("IRC"), whose point of contact is IRC, Parks and Conservation Resources Division,
550077 1h Street, Vero Beach, FL 32967, and Bike Walk Indian River County, Inc. (BWIRC) a
nonprofit 501(c)(3), whose contact address is Post Office Box 1792, Vero Beach, FL 32961.
IT IS THEREFORE, AGREED as follows:
1. BWIRC hereby donates to IRC a bicycle repair station for the use and enjoyment of the
citizens of, and visitors to, Indian River County. Such donation shall include installation
of the bicycle repair station by BWIRC.
2. IRC retains the sole discretion on any sponsorships or material wraps that are placed on
the bicycle repair station by BWIRC. BWIRC must submit requests to IRC for approval of
these items before placing them on the repair station.
3. For as long as the bicycle repair station remains serviceable, BWIRC agrees to maintain
and/or repair the bicycle repair station to IRC on an as -needed basis per the best practices
for this type of equipment. BWIRC shall include contact information for the public to
report any issues with the machine directly to BWIRC.
4. BWIRC agrees to maintain and/or replace the sponsorship wrap on the bicycle repair
station as—needed.
5. If at any time IRC determines that the bicycle repair station needs to be removed or
replaced, IRC reserves the right to take this action.
IN WITNESS WHEREOF, the Board has executed this Donation Agreement as of the date
approved below.
