CARES ACT AGREEMENT
THIS FIRST AMENDMENT TO INDIAN RIVER COU TY CARES ACT
AGREEMENT ("Amendment") is entered into as of the%qday ofIV4 t'yrt , 2020 by
and between Indian River County, a political subdivision of the State of Florida, whose address is
1801 27th Street, Vero Beach, Florida, 32960 ("Recipient"), and Town of Orchid, a municipality,
whose address is 7707 US Highway 1, Suite 1, Vero Beach, Florida 32967 (the "Subrecipient").
RECITALS
WHEREAS, Recipient and Subrecipient entered into the Indian River County CARES Act
Agreement, which set forth a scope of work for the use of CARES Act funds by the Subrecipient
(the "Agreement"); and
WHEREAS, the Recipient and Subrecipient wish to amend the Agreement to increase the
funding in the Agreement from $15,871 to $63,471 and revise the initial scope of work to reflect
the uses of the additional funding; and
NOW THEREFORE, in consideration of the mutual undertakings herein and other good and
valuable consideration, the receipt and adequacy of which is hereby acknowledged, the parties
agree, as follows:
I. Recitals. The above recitals are true and correct and are incorporated herein.
2. Amendment of Section 18 (Payments). Section 18 of the Agreement is amended to read
as follows:
"18 (PAYMENTS,)
a. The Recipient will make reimbursements to Subrecipient in the maximum amount of
$63,471."
3. Amendment of Section 31 (Scope of Work). Section 31 of the Agreement is amended to
read as follows:
"(31) SCOPE OF WORK
The Sub recipient shall perform the tasks as identified and set forth in the Revised
Scope of Work, which is Revised Attachment A."
4. Attachment "A" to the Agreement shall be removed and replaced with Revised Attachment
"A", which is attached to this Amendment.
5. All other provisions of the Agreement shall remain in full force and effect.

TOWN OF ORCHID
CARES Act Funding - $ 16,871.00
Acct. # Expenses
513.52 Operating Supplies - cleaning and safety
supplies including but not limited to; disinfectant
wipes and sprays; glove, face masks that are $ 3,978.50
outside of our normal supplies
513.64 Machinery and Equipment - Purchase and
installation of a needle point bipolar ionization $ 530.00
generator in Town Hall
514.31 Legal Counsel - The Town of Orchid uses
contracted legal services. This expense is for legal
fees directly related to COVID-19 activities such as
but not limited to; Emergency Orders, Resolutions,
Reviewing Advertising for conducting meetings $ 10,000.00
through communication media technology,
researching Chapter 200 budgeting requirement
during the pandemic, etc.
524.31 Protective Inspections - Because of the closure of
Town Hall, the Building Department and the
Town's contracted building official have had to
redesign the paperwork flow now that the building
clerk is working from home and the majority of
the work is done digitally. This has required the
building official to spend time scanning back and
forth documents related to reviewing and $ 2,362.50
processing building permits, plans, inspections,
etc. which has never been necessary before. These
expenses represent the additional cost to the
Town directly related to COVID-19.
Total Projected Expenses $ 16,871.00
In the event that one or more line item categories
have unspend budget allocations, those
allocations will be used in other categories as
necessary to expend the Town of Orchid's total
allocation.
