INDIAN RIVER COUNTY, FLORIDA RESOLUTION NO. 88 -37 A RFSOLUTION PROVIDING FOR THE RETIREMENT OF THE SOLID WASTE DISPOSAL SYSTEM REVENUE BONDS, SERIES 1977 ISSUED BY THIS COUNTY TO PAY THE COSTS OF ACQUIRING AND CONSTRUCTING A SOLID WASTE DISPOSAL SYSTEM; PROVIDING FOR THE DEPOSIT OF MONEY INTO THE SINKING FUND FOR SUCH BONDS TO PROVIDE SUFFICIENT MONEY TO PAY PRINCIPAL AND INTEREST ON SUCH BONDS WHEN DUE; PROVIDING THAT SUCH MONEY SHALL BE HELD IN ESCROW AND APPROVING THE FORM OF AN ESCROW AGREEMENT; APPOINTING AN ESCROW AGENT; PROVIDING FOR THE LEASE OF THE EXISTING SOLID WASTE DISPOSAL SYSTEM OF THIS COUNTY TO THE INDIAN RIVER COUNTY, FLORIDA SOLID WASTE DISPOSAL DISTRICT AND APPROVING THE FORM OF SUCH LEASE; AUTHORIZING THE OFFICERS OF THE BOARD OF COUNTY COMMISSIONERS TO DO, TO TAKE AND TO AUTHORIZE CERTAIN ACTIONS AND THINGS RELATED TO THE FOREGOING; AGREEING NOT TO AMEND THIS RESOLUTION OR ORDINANCE NO. 87-67, EXCEPT AS PROVIDED HEREIN; AND PROVIDING FOR CERTAIN RELATED MATTERS. WHEREAS, Indian River County, Florida (the "County"), pursuant to Resolution No. 77-110 duly adopted in accordance with law on November 2, 1977, as amended (the "1977 Bond Resolution"), and other applicable provisions of law, authorized, issued and delivered a series of revenue bonds designated as "Solid Waste Disposal System Revenue Bonds, Series 1977", in an original aggregate principal amount of $1,815,000 (the "1977 Bonds") for the purpose of providing funds for and toward the costs of acquiring and constructing a solid waste disposal system, including a solid waste landfill and other facilities and equipment to provide for n disposal of solid wastes generated within the County (the "County Solid Waste Disposal System"); and WHEREAS, The County presently owns and operates the County Solid Waste Disposal System; and WHEREAS, To provide an efficient and equitable means of funding the costs of disposal of solid waste generated within the County, the Board of County Commissioners, by enactment of Ordinance No. 87-67 in accordance with law on December 22, 1987 (the "Ordinance"), created a dependent special district known as the "Indian River County, Florida Solid Waste Disposal District" (the "District"); and WHEREAS, The County desires that the County Solid Waste Disposal System be leased to the District for operation and use; and WHEREAS, The District proposes to issue a series of bonds to be known as Indian River County, Florida Solid Waste Disposal District, Solid Waste Disposal System Revenue Bonds, Series 1988, in the aggregate principal amount of $8,240,000 and to be dated as of June 1, 1988 (the "1988 District Bonds"), with the proceeds to be used to acquire and construct additions and improvements to the County Solid Waste Disposal System, to acquire additional land, improvements and equipment in connection therewith and to close the existing landfill, and such 1988 District Bonds are to be secured by the revenues to be derived by the District from operation of the County Solid Waste Disposal System, as added to and improved; and WHEREAS, Section 15 I of the 1977 Bond Resolution provides, inter alia, that the County shall not sell, lease or otherwise dispose of - 2 - q any substantial portion of the County Solid Waste Disposal System until there shall have been set apart in the "Sinking Fund", as defined in and established under the 1977 Bond Resolution, including the "Reserve Account" established therein (the "Sinking Fund"), a sum sufficient to pay when due the entire principal of the 1977 Bonds remaining unpaid, together with interest accrued or to accrue thereon; and WHEREAS, The County desires to provide for payment of the principal of the unpaid 1977 Bonds when due, together with interest accrued or to accrue thereon to the respective dates of maturity thereof, such that the lien on the "Net Revenues", as that term is defined in the 1977 Bond Resolution, shall be satisfied and the County Solid Waste Disposal System may thereupon be leased to the District for operation and use; and WHEREAS, The County desires to make provision for sums deposited in the Sinking Fund created under the 1977 Bond Resolution to pay the 1977 Bonds to be held in escrow for the benefit of the holders of the 1977 Bonds and desires to authorize and approve the form of the lease of the County Solid Waste Disposal System to be entered into with the District; and WHEREAS, The County desires to provide for certain matters related to the foregoing. NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COUNTY COMMISSIONERS OF INDIAN RIVER COUNTY, FLORIDA: - 3 - SECTION 1. This County shall provide for retirement of the 1977 Bonds by depositing to the Sinking Fund created for the 1977 Bonds, from funds of the County presently on hand which have been derived from operation of the County Solid Waste Disposal System, an amount sufficient, together with funds, if any, already on deposit in the Sinking Fund, including such "Reserve Account", and together with the interest to be earned thereon when invested as provided in the Escrow Agreement hereinafter mentioned and approved, to provide for timely payment of the principal of the 1977 Bonds presently remaining unpaid, together with the interest accrued or to accrue thereon, in the manner and at the times provided in such Escrow Agreement. SECTION 2. This County shall enter into an Escrow Agreement to be dated for convenience as of June 1, 1988 (the "Escrow Agreement"), substantially in the form referred to in Section 3 of this Resolution, with Florida National Bank, St. Petersburg, Florida (the "Escrow Agent"), under terms and provisions of which the Escrow Agent shall hold, invest and apply money deposited in or on deposit in the Sinking Fund, as provided in Section 1, for the payment and retirement of the 1977 Bonds. SECTION 3. The Escrow Agreement shall be substantially in the form that is attached to this Resolution, together with such additions, deletions and changes thereto as the officer or officers of this Board of County Commissioners executing the same on behalf of this County may approve, the execution of the Escrow Agreement by such officer or officers, as the case may be, to constitute conclusive evidence of approval thereof. - 4 - SECTION 4. The Chairman or Vice Chairman of the Board of County Commissioners and the Clerk (or ex -officio Clerk) of the Board of County Commissioners of this County are authorized and directed to execute, to attest, to acknowledge and to deliver, as appropriate, the Escrow Agreement, on behalf of this County, in the form approved in Section 3. SECTION 5. This County, upon provision for retirement of the 1977 Bonds having been made as provided in the Escrow Agreement, shall enter into a Lease to be dated for convenience as of June 1, 1988 (the "Lease"), with the District, whereunder this County shall lease the County Solid Waste Disposal System to the District for operation and use, for a term ending not earlier than June 2, 2002. The Lease shall be substantially in the form referred to in Section 6. SECTION 6. The Lease shall be substantially in the form that is attached to this Resolution, together with such additions, deletions and changes thereto as the officer or officers of this Board of County Commissioners executing the same on behalf of this County may approve, the execution of the Lease by such officer or officers, as the case may be, to constitute conclusive evidence of approval thereof. SECTION 7. The Chairman or Vice Chairman of the Board of County Commissioners and the Clerk (or ex -officio Clerk) of the Board of County Commissioners of this County are authorized and directed to execute, to attest, to acknowledge anu to deliver, as appropriate, the Lease on behalf of this County, in the form approved in Section 6. - 5 - SECTION 8. This County shall and does hereby determine to transfer to the District all funds, deposits, receivables, permits and other assets and personal property, tangible and intangible, of the County related to the County Solid Waste Disposal System, other than those which are subject of the Lease, subject to all accounts payable and other liabilities of the County related to the County Solid Waste Disposal System, less, however, the funds and investments required to be deposited with the Escrow Agent under the Escrow Agreement as herein authorized and directed. The Chairman or Vice Chairman of the Board of County Commissioners and the Clerk (or ex -officio Clerk) of the Board of County Commissioners are hereby authorized and directed to execute, to attest, to acknowledge and to deliver, as appropriate, such deeds, bills of sale, and other documents and instruments as are necessary or desirable to effect such transfer. SECTION 9. The proper officers of this County are authorized and directed to proceed promptly with the undertakings herein contemplated, including but not limited to making the deposit to the Sinking Fund contemplated by Section 1, entering into the Lease contemplated by Section 6 and making the transfer to the District contemplated by Section 9. SECTION 10. Proper officers of this County are authorized and directed to execute and deliver such other documents and to do such other things as may be necessary to carry o�tt the Escrow Agreement, the Lease, the transfer contemplated by Section 9, and the intent and purpose of this Resolution, including but not limited to execution and delivery of - 6 - appropriate certificates and other documents as may be required in connection with the issuance of the 1988 District Bonds. SECTION 11. Until the 1988 District Bonds are paid or provision for payment thereof shall have been made in accordance with Section 20 of the District's Resolution No. 88-1, as amended, which authorizes and secures the 1988 District Bonds, this County shall not alter, modify, amend or repeal this Resolution or the Ordinance without the prior written consent of Financial Guaranty Insurance Company, New York, New York, the bond insurer with respect to the 1988 District Bonds; for purposes of this Section, said bond insurer shall be deemed a party in interest. SECTION 12. If any one or more of the covenants, agreements or provisions herein contained shall be held contrary to any express provision of law or contrary to the policy of express law, though not expressly prohibited, or against public policy, or shall for any reason whatsoever be held invalid, then such covenants, agreements or provisions shall be null and void and shall be deemed separable from the remaining covenants, agreements or provisions and shall in no way affect the validity of any of the other provisions hereof. SECTION 13. All resolutions or parts thereof of this County in conflict with the provisions herein contained are, to the extent of such conflict, hereby superseded and repealed. SECTION 14. This Resoli.tion shall take effect in the manner provided by law. - 7 - The foregoing resolution was offered by Commissioner Eggert who moved for its adoption. WITNESSETH: WHEREAS, The District was organized and is existing as a dependent special district of the County under Ordinance No. 87-67, as amended, of the County; and WHEREAS, The County and the District have determined that the County, as lessor, shall lease to the District, as lessee, all land of the County used or useful in connection with the solid waste disposal system of the County, together with the existing landfill, solid waste transfer stations, buildings, structures and improvements and other tenements, hereditaments and appurtenant facilities and property, real, personal or mixed, now or hereafter located thereon or appurtenant thereto, together with all vehicles, machinery and equipment used or useful in connection with the operation thereof (the "Leased Premises"), for a single lease rental payment (hereinafter mentioned and defined as the "Lease Rental") payable upon delivery hereof, in the amount herein specified, for a term beginning the first day of June, 1988, and ending the second day of June, 2002; Subject, however, to extension or termination as herein provided; and WHEREAS, The County and the District have determined that the District shall provide the financing required to provide funds to the District necessary for application for and toward the Project (hereinafter defined) by issuance and sale of $8,240,000 aggregate principal amount of Solid Waste Disposal System Revenue Bonds, Series 1988, to be dated as of June 1, 1988 (the "Series of 1988 Bonds"), to be issued and to be secured under Resolution No. 88-1 of the District, as amended (the "Resolution"); and WHEREAS, The District has determined to issue the Series of 1988 Bonds to provide funds required for the following: (1) to pay a portion of the costs and expenses of the closure of the existing landfill that is a part of the Leased Premises, acquiring and/or constructing additional land, equipment, additions and improvements to the Leased Premises and related real and personal property; (2) to fund a portion of a debt service reserve fund required for the Series of 1988 Bonds; and (3) the costs and expenses of financing and related costs and expenses (collectively, the "Project"). NOW, THEREFORE, in consideration of the agreements, conditions and covenants herein contained and to be observed at all times during the term hereof, the parties hereto, each intending to be legally bound, covenant and agree as follows: 1. The County hereby does lease to the District, upon terms and conditions set forth herein, the Leased Premises, to have and to hold the Leased Premises, as lessee, for a term beginning June 1, 1988, and ending June 2, 2002, unless extended or sooner terminated in accordance with the terms hereof. 2. The District covenants and agrees that it shall pay to the County, as rental for the Leased Premises, a total sum of $1.00 (the "Lease Rental"), payable in a single payment upon delivery hereof, the receipt of which is hereby acknowledged. 3. The District covenants and agrees that it shall issue and sell the Series of 1988 Bonds under the Resolution and shall apply the proceeds thereof, to the extent necessary and available, to payment of the costs and expenses of the Project and related costs and expenses. The County does hereby acknowledge and consent to the District issuing the Series 1988 Bonds. 4. The County hereby assigns to the District the right to receive, collect and enforce payment of any and all rates, charges and fees heretofore levied, fixed or imposed upon, but not yet collected from, users of the solid waste disposal facilities constituting the Leased Premises for the period commencing on the effective date of this Lease; and the County hereby agrees to cooperate with and assist- the District in the receipt, collection and enforcement of the same. 5. The County agrees that it will not transfer or permit the transfer of the Leased Premises or any interest therein or any part thereof to any person or party other than the District during the term of this Lease, as extended from time to time ("transfer", without intending to limit the generality of the foregoing, at any given time, shall include: grant, convey, mortgage, encumber, pledge, hypothecate, lease or sublease, release, quitclaim, assign and sell and shall embrace the creation of an easement, servitude or license, the passage or creation of title, the passage or creation of any interest, the creation of any lien or judgment of record against the Lased Premises, or any disposition thereof or any interest therein or .art thereof, whether voluntary or involuntary or by operation of law). 6. The County and the District, may cause this Lease to be cancelled and terminated only if the District- shall first have paid or made provision for payment of, pursuant to Section 20 of the Resolution, - 2 - all solid waste disposal system revenue bonds of the District at the time outstanding under the Resolution. 7. The District, on the last day of the term hereby granted, as extended, from time to time, or upon prior termination hereof in accordance with express terms hereof, shall surrender to the County the Leased Premises, but without any liability whatsoever on the part of the District for the then existing condition and state of repair of any property at the time constituting part of the Leased Premises. Upon termination hereof, all improvements, additions, renovations, replacements, and alterations to the property, including buildings, vehicles and equipment, constituting the Leased Premises shall be considered property of the County and the County shall have no liability whatsoever to the District for any costs or expenses related thereto. 8. It is agreed that the term of this Lease automatically shall be extended for such time as may be necessary to accomplish any of the following purposes, plus one (1) day: A. To enable the District to comply with any covenant, condition, term or provision of the Resolution, or any other indenture, resolution, agreement- or contract entered into by the District with respect to the Leased Premises and with the approval and consent of the County; or B. To enable the District to receive sufficient net revenues from the Leased Premises to pay, when due, the principal and interest upon all solid waste disposal system revenue bonds of the District at any time outstanding under the Resolution, as amended or supplemented, from time to time, and all bonds or other obligations of the District at any time outstanding under any indenture or resolution of the District, as amended and supplemented, from time to time, under which any or all of the rents, profits, receipts, revenues or money of the District derived or to be derived, in any manner, with respect to the Leased Premises are assigned, pledged or encumbered. The County, at the request of the District, shall enter into such written instrument or instruments which is or are necessary to memorialize and carry out the effect and intent of this Section 8. 9. The parties hereto, frcm time to time, may enter into any amendments hereto (which thereafter shall form a part hereof) as shall not affect adversely the rights of or the security of holders of solid waste disposal system revenue bonds or other obligations, as appropriate, of the District, for any of the following purposes: - 3 - A. To cure any ambiguity, defect or omission herein or in any amendment hereto; or B. To grant to or to confer upon the District any additional rights, remedies, powers, authority or security that lawfully may be granted to or conferred upon it; or C. To add to the covenants and agreements of the County herein contained, other covenants and agreements of the County thereafter to be observed or to surrender any right or power herein reserved to or conferred upon the County; or D. To reflect a change in applicable law. The foregoing is subject to the proviso that until the Series of 1988 Bonds have been paid or provision for their payment shall have been made pursuant to Section 20 of the Resolution, no amendments, alterations, modifications, or supplements shall be made to this Lease without the written consent of Financial Guaranty Insurance Company, New York, New York, the bond insurer with respect to the Series of 1988 Bonds. 10. The County and the District agree that each shall take such actions and execute and deliver such documents and instruments as are necessary to carry out the intent and purpose of this Lease. 11. In the event any provision hereof shall be held to be invalid, such invalidity shall not affect any other provision hereof, and remaining provisions hereof shall be construed and enforced as if such invalid provision had not been contained herein. 12. Terms and provisions hereof shall be binding upon the parties hereto and their respective successors and assigns. It is the intention of the parties to be legally bound hereby. 13. I992 BONDED THRU AGENTS NOTARY BROKERAGE ESCROW AGREEMENT THIS ESCROW AGREEMENT, dated as of the lst day of June, 1988, but effective as of the date of delivery hereof (the "Agreement", which term sometimes is referred to in this document by use of such terms as "hereof", "herein", "hereby" or "hereunder"), by and between INDIAN RIVER COUNTY, Florida (the "County"), a political subdivision of the State of Florida (the "State"), party of the first part, and FLORIDA NATIONAL BANK (the "Bank"), having its principal office in the City of St. Petersburg, Florida, party of the second part. WITNESSETH: WHEREAS, The Board of County Commissioners (the "Governing Body") of the County, by Resolution No. 77-110 duly adopted, in accordance with law, on November 2, 1977, as amended (the "Resolution"), authorized and directed issuance of Solid Waste Disposal System Revenue Bonds, Series 1977, dated as of September 1, 1977, in the aggregate principal amount of $1,815,000 (the "Series of 1977 Bonds"), to provide funds for and toward proper legal purposes which are set forth, in detail, in the Resolution; and WHEREAS, The Bank, pursuant to provisions of the Resolution and of the Series of 1977 Bonds, is the paying agent with respect to the Series of 1977 Bonds; and WHEREAS, The Resolution provides, inter alfa, that the Series of 1977 Bonds are stated to mature on, or are subject to mandatory redemption on, September 1 of the years 1980 to 1994, both inclusive; and WHEREAS, The Governing Body of the County, by a resolution duly adopted in accordance with law, inter alfa, has determined to provide for full payment of the principal of and interest on the Series of 1977 Bonds that remain outstanding as the same shall become due for payment at maturity in accordance with the terms of the Series of 1977 Bonds and the Resolution, by making a deposit in the Sinking Fund created in the Resolution sufficient in amount such that the aggregate amount of money in the Sinking Fund and in the Reserve Account created under the Resolution shall be sufficient to pay all principal of the Series of 1977 Bonds and the interest to become due and payable thereon through and including the respective maturity dates; and WHEREAS, The County and the Bank desire to enter into this Agreement so that funds deposited in the Sinking Fund by the County shall be held in escrow by the Bank and applied by the Bank, in its capacity as paying agent for the Series of 1977 Bonds, to the payment of the Series of 1977 Bonds in accordance with the provisions hereof; and WHEREAS, The County and the Bank desire to agree with respect to disposition of money which shall represent income derived and/or profits realized from such investment and/or deposit of money so held by the Bank. NOW, THEREFORE, the County and the Bank, each intending to be bound legally, covenant and agree as follows: 1. The Bank acknowledges to the County that the County, simultaneously with the execution and delivery of this Agreement, has deposited or caused to be deposited with the Bank the United States of America Certificates of Indebtedness, Notes and/or Bonds, State and Local Government Series or other direct obligations of the United States of - 2 - America (the "Obligations") that are described in detail'in Exhibit "A", which is attached hereto and is made part hereof. 2. The Bank acknowledges to the County that the Obligations referred to in Paragraph 1 are in the name of the County and shall be subject to withdrawal and/or collection only by the Bank, for application for proper purposes provided for in this Agreement. 3. The County represents to the Bank that the Obligations referred to in Paragraph 1, together with the interest to be earned thereon, will be sufficient for the following purposes at the following times: (a) Payment of the interest due on all the outstanding Series of 1977 Bonds that are stated to mature on and after September 1, 1988, in accordance with terms thereof and of the Resolution, beginning on September 1, 1988, to and including September 1, 1994; and (b) Payment on September 1 of each of the years 1988 to 1994, both inclusive, the principal of the Series of 1977 Bonds that are stated to mature on each such September 1. 4. The County and the Bank agree that money required to be applied by the Bank, under provisions of Paragraph 3, with respect to the retirement of the Series of 1977 Bcnds on certain dates shall be the amounts set Forth in Exhibit "B", which is attached hereto and which hereby is made a part hereof. - 3 - 5. The Bank covenants and agrees to apply tKe principal and interest of the Obligations referred to in Paragraph 1, as collected, for the purposes and at the times as set forth in Paragraph 3 and Paragraph 4, respectively, so that obligations of the County for payment of principal and interest to holders and/or registered owners of the Series of 1977 Bonds will be fulfilled. 6. The County authorizes and directs the Bank, in behalf of the County, to do all acts and things that shall be necessary or desirable, from time to time, to effectuate the withdrawal and/or collection of the principal and interest of the Obligations referred to in Paragraph 1, as such shall become due and payable; and, in connection therewith, the County covenants and agrees to execute and to deliver any additional documents and/or to perform any other acts that may be required from time to time. 7. The County covenants and agrees to pay to the Bank, from time to time, the agreed compensation for services performed and duties and responsibilities assumed by the Bank pursuant to this Agreement. 8. Records of the Bank related to this Agreement and the performance of duties and responsibilities assumed by the Bank pursuant to this Agreement shall be open to inspection by the County and/or its duly authorized agents and/or representatives, at reasonable times, upon reasonable request. 9. The County and the Bank agree that the County shall be permitted to substitute other direct obligations of the United States of America for the Obligations, but only upon receipt of the following: - 4 - (a) an Opinion of a nationally recognized bond counsel firm that the obligations so substituted are of the type that are permitted to be held under and pursuant to this Agreement for the purposes contemplated hereby; and (b) a Certificate of an independent certified public accountant verifying that the funds on deposit after such a substitution will be sufficient and available to pay the remaining principal of and interest on the Series of 1977 Bonds that are stated to mature on and after September 1, 1988, as the same become due. To the extent that the Certificate delivered pursuant to subparagraph (b) above demonstrates and verifies that there are excess funds not required to be held by the Bank hereunder to meet scheduled principal and interest payments on the Series of 1977 Bonds, such excess funds shall be paid over to the County. Any surplus or excess funds not paid over to the County may only be invested in direct obligations of the United States of America. 10. Except as provided below, money and balances on hand hereunder from time to time that result from maturing principal and interest on the Obligations or earnings thereon, available for periods pending application as herein requir id shall be invested or deposited by the Bank, in the manner as directed by the County, but only upon receipt of an opinion from a nationally recognized bond counsel firm that the - 5 - additional investment of money and balances on hand hereunder is not in violation of Section 103(b)(2) and Section 148 of the Internal Revenue Code of 1986, as amended. Investment of such funds shall be only in direct obligations of the United States of America which shall mature on or prior to the date when such funds are required to be applied for the purposes required hereunder. Any earnings realized from such investments or deposits or any other funds on hand from time to time that are not required for application hereunder or purposes hereof shall be paid over to the County or its assignee, or shall be applied as directed by the County. 11. This Agreement shall be binding upon the County and the Bank and their respective successors in interest, from time to time. 12. This Agreement, in general, and each part of this Agreement, in particular, immediately upon execution and delivery hereof and at all times thereafter, shall be and shall be construed to be irrevocable. No amendments or modifications of this Agreement shall be made without the written consent of Financial Guaranty Insurance Company of New York, New York, or its successor. 13. Money, if any, that may be in possession of the Bank on or after September 1, 1994, pursuant to provisions hereof, and that shall not be required to meet obligations of the County hereunder, promptly shall be returned to the County or shall be disbursed by the Bank as shall be directed, in writing, by the County. 14.
