'MIS AGRIiI:WNT, made and entered into this day of
19 , by and between the State of F1orid;a Department
of Transportation, an agency of the State of Florida, herein called the
"Department," and INDIAN RIVER COUNTY , Florida, herein called the "Public Body,"
WITNUSSFTi l :
MUMEAS the construction, maintenance, and operation of a traffic s i lma i, Or
signals, are necessary for safe and efficient highway tnuisportat ion at Certain
locations along the State Highway System; and
IWIREAS the Department proposes that certain existing and proposed traffic
signals and signal systems are to be maintained and operated along the State
highway System and shall maintain an approved list of such signals and systems; and
AIDEREAS the Public Body, by Resolution attached hereto and made a part hereof,
and the Department, by this agreement, have determined that it is in the public
interest for the Public Body to maintain and operate signal installations along
the State Highway System;
NOW, 714U iFORE, in consideration of the premises and the mutual covenants
contained herein to be undertaken by the respective parties hereto, the parties
mutually agree and covenant as follows:
1. When the District Traffic Operations Engineer of the Department has served
a request order on the Public Body, and the designated officer of the Public Body
named in the Resolution to accompany this agreement has favorably acknowledged
the order, the Public Body shall undertake the maintenance and operation of such
signalized intersections and interconnected systems of signalized intersections
as are included in the order and in accord with the mutual covenants contained
in this agreement.
2. The traffic signal or signals, as described in the approved and acknowledged
order, will he so desilmed that the signal operation is as energy-efficient as
possible, and, in consideration of a design review by the public MAY, and, when
installation of the traffic signal(s) is to be performed by either the public liody
or under the supervision of the Department, the construction ;uid/or installation
shall not endanger travel along the roadways involved and all operations shall he
conducted in accord with the Manual on Traffic Controls and Safe Practices (]art VI!
as published by the D>eparMent.
3. Ihxm the completion of tile installation and, in the case of constn►ctiort
contracts, its conditional acceptance, the Public Body shall asstmnc continuous
responsibility for the maintenance and continuous operation of said sil"nal
installation(s), and the payment for all costs for electricity cu►d electrical
charges incurred in connection with the operation thereof.
4. The Public Body shall maintain the signal installation in accortL•ince with
Department policies and to a level of maintenance that will provide minimum
hazard to nuvement of traffic. In this regard, the Public Body shall record
maintenance activities relative to said traffic signal installation on a
Mepartment of Transportation Traffic Signal Maintenance Log" or in approved
equivalent log.
5. It is hereby understood and agreed by the parties hereto that the Public
Body may remove any component of the installed equipment for repair; however,
major permanent modifications and equipment replacements shall not be made by
either party without appropriate coordination with the other party.
6. It is expressly understood and agreed by the parties hereto that the
wiring of the cabinets and the timing of the signals will he such that traffic
will be properly handled at the time of the completion of the installation of
the signals. ';ecessary modifications in timing or minor circuitry may he made
by the public Body to accommodate the changing needs of traffic, but the
Ik,partment reserves the right to examine the equipment at any time and, after
consultation with the parties hereto, the Department may specify timing and
phasing that will provide a safe and expeditious traffic flow in the State
Highway S;.stem. If modification in timing and the circuitry or phasing is
specified by the Department, implementation of such modifications shall be
coordinated through the Public Body.
7. The Riblic Body shall not modify the equipment to provide additional
phases or intervals without written permission from the Department, and the
Pepartment shall not modify the equipment without written acknowledgement from
the Public Body.
3. It is tnrderstood mid agreed by the parties hereto that this Agreement
shall remain in force during the life of the original installed equipment
and/or any replacement equipment installed with the muttuil consent of the
parties hereto.
9. 1!ach party does hereby imlena►ify and hold harmless each other I•I.olll
all liability, claims and judp.,e►rn:nt (including attorney's fees) ari.ing out
of work undertaken by any such party purs►4mt to this agreement, M* due to
the negligent acts or omissions of such party, their contractors,
subcontractors, employees, agents or representatives, respectively, except
as otherwise covered by bonds or insurance.
