HomeMy WebLinkAbout1999-04340 s A 9l q 14 r CLORTEC LEASE -PURCHASE AGREEMENT 1. DESCRIPTION OF PARTIES AND PROPERTY LEASED hemical Services Company. of 1077 Dell Avenue Suite & City of Campbell. State of Cal rnia, addressed as lessor in this agreement, leases to Indian River County, Department of Utility Services, of 1840 25th Street City of Vero Beach, State of Florida, addressed as lessee in this agreement, and lessee hires from lessor, the following described personal property: CLORTEC MC-600hypochlorite generating system as described in the attached proposal 2. TERM OF LEASE The term of this lease shall be12 months, such term to commence on 5/12/1999_ (date), and to terminate on 4 12 20 0_ (date), unless otherwise terminated as provided in this lease. 3. RENT In consideration for the leasing of the above-described property, lessee agrees to pay to lessor as rent for such property the sum of _$ix Thousand_ Dollars ($ 6,000.0 ) per month, the first payment of which rent is payable on or before 5/3 99_ (date), and each subsequent payment of which is payable on or before the Last day of each month thereafter, during the entire term of the lease. Such payments shall be made at lessors address as set out in Section One of this lease. 4. MAINTENANCE REPAIR & REPLACEMENT Lessee shall exercise due care in the use and maintenance of the leased property, keeping it in good repair and in a condition equivalent in all respects to that in which it was received by lessee, normal wear and tear excepted. The lessor will be responsible for equipment repair and replacement during the term of the lease except in those circumstances beyond control of the lessor 5. ASSIGNMENT OR SUBLEASE Lessee will not assign this lease or sublet the leased property unless the written consent of lessor to such assignment or sublease is first obtained. 6. DEFAULT If lessee shall be in default of any of the rental payments, when the payments shall become due and payable as provided in this agreement, or shall remove or attempt to remove the leased property from South WWTP without first obtaining the written consent of lessor, lessor shall, at his or her option, terminate this lease and lessees right to possession of the leased property, and lessor shall then without demand on or notice to lessee take possession of such leased property. 7. INSPECTION BY LESSOR Lessor shall at all times during lessees business hours have the right to enter on the premises where the leased property is located for the purpose of inspecting the property. 8. RETURN OF PROPERTY On expiration or earlier termination of this lease, lessee shall return, the leased property to lessor in good repair, ordinary wear and tear resulting from proper use of the property excepted. The lessor will remove property at his own cost if removal is required during term of the lease. 9. PURCHASE AGREMENT Upon lessee's complete satisfaction with equipment operation throughout the twelve month lease period, the lessee agrees to purchase the CLORTEC system. At the end of the lease period all sums paid as rent will be applied towards the purchase price. The lessee may chose to purchase the equipment prior to the end of the lease period. If this option is elected the lessee will pay the difference between the purchase price and the rent already paid. In either case , upon receipt of the balance of the purchase price by the lessor, title for the CLORTEC system will be transferred to the lessee. The purchase price herein is the sum of One Hundred Ninety Seven Thousand Dollars, ($197,000.00). r),...n I 40 CU 10. CANCELLATION If the equipment fails to meet lessee's requirements this agreement may be cancelled upon 30 days written notice, at which time the equipment will be removed by lessor as specified in paragraph 8. 11. APPLICABLE LAW This lease and the construction of the lease will be governed by the laws of the State of Flori _. 12. PROOF OF LICENSE Lessor is a corporation duly organized, validly existing and in good standing under the laws of the State of California and is duly licensed and in good standing and qualified to do business in the State of Florida and will provide Lessee with proof of said good standing prior to executing this agreement. 13. NOTICES Any notices to be given under this lease shall be given by mailing the notices to lessor at: Chemical Services Company 1077 Dell Avenue Suite A Campbell, CA 95008 and to lessee at: Indian River County Department of Utility Services 1840 25th Street Z/1.
