This AGREEMENT, made and entered into thisWday of 1999, by and
between J F Group Inc d.b.a. CleanNet of Central FI rida herein called the
CONTRACTOR, and INDIAN RIVER COUNTY herein called the OWNER.
WITNESSETH: That Whereas, the OWNER and the CONTRACTOR for the
consideration hereinafter named, agree as set forth below:
Article 1. Annual Custodial Services for county owned and operated buildings in
accordance with the specifications contained in IRC Bid #4005 opened on August 27,
1993.
The CONTRACTOR, as an independent contractor and not as an employee, shall furnish
for the lump sum amount of TWO HUNDRED FORTY SIX THOUSAND FOUR
HUNDRED FIFTY TWO DOLLARS AND SIXTY FOUR ONE HUNDREDTHS
($245,452.64). All of the necessary labor, material equipment to provide custodial services
in accordance with the Contract Documents.
Payment shall be made to the CONTRACTOR on a monthly basis in arrears for services
rendered for said month as invoiced. Monthly payment schedule shall be as set forth in the
Invitation to Bid and on the price structure attached as Exhibit B. Note that the List of
Facilities (including area of facilities) as depicted in Part C, Scope of Services is hereby
amended as shown within the price structure depicted in said Exhibit B.
Article 2. Term of Contract:
This contract shall be for one year period until September 30, 2000 with option by the
OWNER to renew for two (2) additional one year periods. Negotiations of Terms
Conditions and shall be completed ninety (90) days prior to each contract period.
Article 3. Termination Clause:
Thu .^,v NEN rese►ves the right to terminate the contract at any time, with or without
cause, upon thirty (30) days advance written notice to the CONTRACTOR.
If the CONTRACTOR is the adjudged bankrupt, either voluntary or involuntary, the
OWNER may terminate the contract effective on the day and time the bankruptcy petition
is filed and may proceed to provide service as previously outlined.
Article 4. General:
The CONTRACTOR hereby certifies that he has read every clause of the Contract
Documents and that he has made such examination of the location of the proposed work

as is necessary to understand fully the nature of the obligation herein made: and shall
complete the same the time limit specified herein in accordance with the scope of services.

Article 5. Disclaimer:
The CONTRACTOR agrees to defend indemnify, and hold Indian River County harmless
from any claim, demand, suit, loss, cost, expense, including death, sustained by any person
whomsoever and which damage, injury or death arises out of is incident to, or in any way
connected with the performance of the agreement.
Article 6. The Contract Documents:
The original (1993 information to companies (part A), Special Provisions (part B),
Insurance Requirements ( Exhibit A), Scope of Services (part C), the Invitation to Bid
form, Performance Bond (part D), together with this Agreement the price structure quotes
for fiscal years 1999-2000, 2000-2001, and 2001-2002 for the Contract, and are herein
acknowledged as though they were set forth at length herein.
IN WITNESS WHEREOF, the parties hereto have executed this AGREEMENT the day
and year first above written.
