AGREEMENT
between
INDIAN RIVER COUNTY, FLORIDA
and the
INDIAN RIVER COUNTY FAIR ASSOCIATION, INC.
THIS AGREEMENT, made this 7th day of December , 1999, by and between
INDIAN RIVER COUNTY, a political subdivision of the State of Florida, the address of which is
1540 25th Street, Vero Beach, FL 32960 ("COUNTY") and the INDIAN RIVER COUNTY FAIR
ASSOCIATION, INC., a Florida not-for-profit corporation, the address of which is:
("ASSOCIATION"),
relating to using part of the County Fairgrounds ("Fairgrounds"), as shown on Exhibit "A"
attached hereto, to put on the 2000 County Fair from March 17 through 25, 2000.
WITNESSETH:
WHEREAS, the ASSOCIATION desires to conduct a public fair or exposition in accordance with
Chapter 616, Florida Statutes, for the benefit and development of the agricultural, horticultural,
livestock, and other resources of the state and of the county; and
WHEREAS, the COUNTY wishes to assist the ASSOCIATION in operating the County Fair by
leasing land to the ASSOCIATION; and
NOW, THEREFORE, for and in consideration of the premises and other good and valuable
consideration, the receipt of which is hereby acknowledged, COUNTY and ASSOCIATION
mutually agree as follows:
1. The ASSOCIATION will apply to the State of Florida, Department of Agriculture and
Consumer Services, Bureau of Fairs and Expositions (STATE) for a fair permit to conduct a
county Fair in calendar year 2000 and be responsible for all matters pertaining to such
permitting.
2. If a permit for the 2000 County Fair is issued by the STATE to the ASSOCIATION, the
COUNTY shall let the ASSOCIATION occupy the Fairgrounds from March 5 through
March 31, 2000.
3. It shall be the responsibility of the ASSOCIATION to arrange for all contracts for
amusements, entertainment, and any commercial exhibits or matters which it feels will
enhance the Fair.
4. It will be the responsibility of the ASSOCIATION to provide temporary structures for
entertainment, agricultural and livestock, and commercial exhibits. Any other organization
contracting with the ASSOCIATION will provide its own temporary structure with approval of
the ASSOCIATION. All such other persons or organizations shall have proof of liability
insurance acceptable to the COUNTY and the ASSOCIATION.
5. The ASSOCIATION will provide volunteer and other help to staff the Fair. The
ASSOCIATION will provide adequate security for the Fair and will provide sufficient
volunteers or paid security guards to maintain crowd control at all times while the Fair is
underway.
6. The ASSOCIATION will provide electricity and pay all electric cost while the Fair is open as
well as for those dates on which the Fair is being set up and removed.
7. The ASSOCIATION will pay all fees and costs necessary to conduct the Fair and will
maintain records in accordance with sound accounting practices Ind procedures showing
ail costs, expenses, as well as all receipts and proceeds from the Fair and will provide a
review audit by a state certified CPA. A coaly of the review audit shall be turned over to the
COUNTY at the end of the fiscal year, which is June 30th or cis close thereafter as possible.
The ASSOCIATION will provide all accounting required by the State to maintain the Fair's
state permit.
$, The ASSOCIATION will provide, In addition to fire insurance, liability insurance coverage in
an amount of not less than $500,000 per individual injury arid $1,000,000 per occurrence
during the term of the FAIR. Can ail insurance policies the COUNTY shall be named as co-
insured on the policy and copies of the policy shall be submitted to the COUNTY at least
two weeks prior to the start of the FAIR. The insurance company should be licensed to do
business in the state of Florida, and should be rated at least A+V11 per Best's Key Rating
Guide. The policy must be occurrence and not claims made, and the certificate of
insurance must provide that the COUNTY be given a 30 -day written notice of insurance
company's intent to cancel or terminate the policy of insurance. in addition the
ASSOCIATION must provide proof of insurance from the amusement/midway company in
the amount of $1,000,000 per occurrence/$5,000,000 aggregate, adding COUNTY as an
additional insured and subject to all above insurance requirements necessary for the
ASSOCIATION.
9. ASSOCIATION shall be responsible for the payment and approval of all lawful and
reasonable expenses arising from and directly related to the promotion and operation of the
Fair. ASSOCIATION shall pledge to COUNTY one-third of the net profits from the Fair for
the leasing of the County Fairgrounds, which the COUNTY shall use for future Fairgrounds
improvements to be mutually agreed upon by both parties.
10. The COUNTY will provide trash containers and garbage collection. The ASSOCIATION will
pay for water service and sewage pickup for the Fair.
11. The ASSOCIATION will provide sanitation and adequate rest -room facilities for persons
attending the Fair.
12. If the ASSOCIATION is unable to reach an acceptable contract to provide a midway or if the
ASSOCIATION cannot adequately staff the Fair, theft ASSOCIATION shall provide notice to
COUNTY at least 60 days before the Fair is to open that they will not manage the Fair.
Otherwise, all the terms of this agreement shall remain in full force and effect.
IN WITNESS WHEREOF, the proper officials of COUNTY and ASSOCIATION have executed
this agreement on the date first written above.
