AGREEMENT
THIS AGREEMENT, made and entered into this 8thday of February, 2000, by and between
Chemical Conservation Coraoration located m Orlando, Florida hereinafter called the
CONTRACTOR and INDIAN RIVER COUNTY herein called the OWNER
WITNESSED That whereas, the OWNER and the CONTRACTOR for the consideration
hereinafter named, agree as set forth below:
Article I SCOPE OF WORK
The purpose is to reduce the amount of hazardous waste in the environment and the
Municipal Solid Waste stream by selecting a contractor and by providing contract services for
the collection, identification, packaging, shipping and proper disposal of Household Hazardous
Waste (HHW) . This waste shall be derived from the County sponsored Household Hazardous
Waste Collection Days program (event) and daily collection from homeowners at the County
HHW building. The County shall provide an advertising campaign to inform residents CESQG's
of the times and dates of the proposed collection events. The County shall be responsible for the
costs associated with the collection of wastes defined in the Request for Proposal 02019 opened
December 1, 1999, at 2:00 P.M. unless otherwise specified.
The Contractor shall also provide hazardous waste collection, identification, transportation,
packaging and proper disposal for the County's Conditionally Exempt Small Quantity
Generators (CESQG) and Small Quantity Generators (SQG). The Cost for these services shall
be passed directly to the CESQG's and SQG's who participate in the program and shall be
collected by the Contractor.
Article 2. Time of Completion:
The County intends to conduct approximately four (4) shed clean outs of household
hazardous waste per each year which shall be conducted on a date to be determined by the
County in the year 2000. The shed clean out shall event shall be conducted in one (1) 8 -hour
day.
The initial term of the agreement between the Contractor and the County shall be from
the date of this agreement until September 30, 2000, and may be renewed by the County for an
additional period of three years provided the County and Contractor are in agreement and the
County has determined that the Contractor has successfully performed services in conformance
with the agreement.
Article 3. Genera:
,The CONTRACTOR hereby certifies that he has read every clause of the Contract
Documents and that he has mao- such examination of the location of the proposed work as is
necessary to understand fully the nature of the obligation herein made; and shall complete the

The OWNER and CONTRACTOR agree to maintain records, invoices, and payments for
the service as set forth in the Request for Proposals 42019
All work under this Contract shall be done to the satisfaction of the OWNER, who shall to
all cases determine the amount, quality, fitness, and acceptability of the several kinds of work
and materials which are to be paid for hereunder, and shall decide all questions which may arise
as to fulfillment of the Contract on the part of the CONTRACTOR, and his decision thereon
shall be final and conclusive-, and such determination and decision, in case any question shall
arise, shall be a condition precedent to the right of the CONTRACTOR to receive any money
hereunder
Any clause or section of this contract or specification which may for any reason be
declared invalid, may be eliminated therefrom; and the intent of this contract and the remaining
portion thereof will remain in full force and effect as though such invalid clause or section has
not been incorporated therein.
Article 4. Quantities and Prices:
CONTRACTOR, as an independent CONTRACTOR and not as an employee of the
OWNER, shall furnish, for the sum not to exceed of Forty Thousand, Dollars and No Cents
($40,000 00) during the contract period_ all of the necessary labor, material, and equipment to
perform the work described above to accordance with the Contract Documents.
The OWNER shall pay the CONTRACTOR for all work included and completed in
accordance with this Agreement, based on the items of work set forth in the CONTRACTOR'S
Cost for Collection Packaging. (Section 8 of RFP #2019)
Article 5 Contract Period
Contract will be for an initial period beginning from date of this agreement through
September 30, 2000, with the option by the OWNER to renew for three (3) additional t -year
periods. Price adjustments will be based on prevailing labor and material costs. The contract
may be adjusted yearly with a maximum of 3% upon approval by the OWNER. Negotiation of
terms and conditions shall be completed ninety (90) days prior to each contract period A

The OWNER reserves the right to terminate the contract at any time, with or without
cause, upon thirty (30) days advance written notice to the CONTRACTOR.

The Information to Bidders , Special Provisions and Insurance Requirements, Scope of Services.
the Bid Form with Cost for Collection Packaging Public Entity Crime Form, Disclosure Form,

together with this Agreement, form the Contract, and are fully a part of this Contract as If
Included herein.
