AGREEMENT
between the
Winter Beach Cemetary Association, Inc.
and the
Indian River County Board of County Commissioners
For: Land Exchange for Additional Burial Sites

This agreement, made and entered into this 22nd day of February , 2000,
by and between Indian River County, a political subdivision of the State of Florida,
1840 25'h Street, Vero Beach, FL 32960 ("COUNTY") , and Winter Beach Cemetary
Association, Inc., a not-for-profit corporation organized under the laws of the State of
Florida, Post Office Box 193, Winter Beach, FL 32971 (ASSOCIATION),
WITNESSSETH THAT:
WHEREAS, ASSOCIATION exists for the purpose of providing low-cost burials
in the Wabasso-Indian River County area; and
WHEREAS, COUNTY is responsible for the burial of indigent people and will
have the need over the next 50 years for approximately 750 indigent burial sites; and
WHEREAS, ASSOCIATION is willing to provide these sites to COUNTY at no
charge provided COUNTY acquires the land described in Exhibit "A" (hereinafter
Property #1); and
WHEREAS, ASSOCIATION owns the land described in Exhibit "B" (hereinafter
Property #2), and as additional inducement to COUNTY to purchase Property #1,
ASSOCIATION will deed its property to COUNTY to be used by COUNTY for parks and
recreation or other governmental functions;
NOW, THEREFORE, for and in consideration of the mutual covenants and other
good and valuable consideration, the receipt of which is hereby acknowledged,
COUNTY and ASSOCIATION agree as follows:
1. COUNTY shall purchase Property #1 and deed it to ASSOCIATION.
2. ASSOCIATION shall deed Property #2 to COUNTY.

3. ASSOCIATION will make available on either Property #1 or on existing cemetery
property not leas than 750 sites for indigent burials, all at no cost to COUNTY, and
agrees to bury that number of indigent bodies in the future on those sites, again at
no cost to COUNTY.
4. COUNTY will pay all costs of closing.
IN WITNESS WHEREOF, the parties have caused this agreement to be duly
executed on the date set forth above.
