HomeMy WebLinkAbout2000-05140 400 40 AGREEMENT THIS AGREEMENT, made and entered into this 22nd day of February, 2000, by and betweenDow Howell Gilmore Associates, Inc. located in West Palm Beach, Florida, hereinafter called the ARCHITECT and INDIAN RIVER COUNTY herein called the OWNER. WITNESSED: That whereas, the OWNER and the ARCHITECT for the consideration hereinafter named, agree as set forth below: Article 1. Scope of Work: The ARCHITECT shall develop a report outlining various considerations relative to the proposed expansion of the Main Library located in Vero Beach, Florida. The report, which will be used by the OWNER to finalize the extent of the expansion, will include the following: 1. Meet with County staff to develop a preliminary Building Program identifying and sizing the spaces to be included in the expansion. 2. Analyze the existing facility's stormwater management, site utility, structural, mechanical electrical systems for permit status, code compliance, maintenance condition and surplus capacity. 3. Analyze the existing roof system relative to maintenance condition. 4. Develop conceptual building plans and elevations illustrating the recommended design solution. 5. Develop a budget analysis of potential construction costs of the conceptual scheme. 6. Meet with permitting and regulatory officials to identify code issues relative to conceptual scheme. Article 2. Time of Completion: The term of this agreement between the ARCHITECT and the OWNER shall be for a period not to exceed Six (6) Weeks from written authorization to proceed from the OWNER. All work shall be completed and presented to the OWNER prior to the end of the defined six weeks period. Article 3. General: The ARCHITECT hereby certifies that he has read every clause of this Agreement and that he has made such examination of the location of the proposed work as is necessary to understand fully the nature of the obligation herein made; and shall complete the same the time limit specified herein. The OWNER and ARCHITECT agree to maintain any records, invoices, and payments for the service as set forth in the Request for Qualifications #2001 All work under this Agreement shall be done to the satisfaction of the OWNER, who shall in all cases determine the amount, quality, and acceptability of the several kinds of work and deliverables which arc to be paid for hereunder, and shall decide all questions which may arise as to fulfillment of the Agreement on the part of the ARCHITECT, and his decision thereon shall be final and conclusive; and such determination and decision, in case any question shall arise, shall be a condition precedent to the right of the.. ARCHITECT to receive any i,itmey hercundcr. Any clause or section of this contract or specification which may for any reason be declared invalid, may be eliminated therefrom; and the intent of this contract and the remaining portion thereof will remain in full force and effect as though such invalid clause or section has not been incorporated therein. Article 4. Quantities and Prices: ARCHITECT, as an independent contractor and not as an employee of the OWNER, shall furnish, for the fixed sum not to exceed Thirteen Thousand Seven Hundred Fifty, Dollars and No Cents ($13,750.00) during the 40 d s Page 2 RFQ2001 Phace 1 Agreement Article 4 Continued: contract period for all of the necessary labor, material, and equipment and expenses to perform the work described above in accordance within this Agreement. The OWNER shall pay the ARCHITECT for all work included and completed in accordance with this Agreement upon satisfactory completion and submittal of finished product. Article 5. Agreement Period: The term of this agreement between the ARCHITECT and the OWNER shall be for a period of Six (6) Weeks from written authorization to proceed from the OWNER. The OWNER reserves the right to terminate the contract at any time, with or without cause, upon thirty (30) days advance written notice to the ARCHITECT. Article 6. The Contract Documents: The Insurance Requirements, Public Entity Crime Form, Disclosure Form, together with this document, form the Agreement, and are fully a part of this Agreement as if included herein.
