FOR INGRESS AND EGRESS
THIS TEMPORARY CONTRUCTION EASEMENT is made, granted and entered into this 5 th

, by INDIAN RIVER COUNTY SOLID WASTE DISPOSAL
DISTRICT, a dependent special district of Indian River County, Florida, (hereinafter referred to as
"Grantor"), to NOPETRO ECO DISTRICT, LLC, a Florida Limited Liability Company, its successors and
assigns, whose real property is adjacent to the real property of the Grantor, (hereinafter referred to as
"Grantee):
WITNESSETH
The Grantor is the owner of certain land lying, situate and being in Indian River County, Florida,
and being more particularly described as shown and depicted in the attached Exhibit A, which is
incorporated by reference as if fully depicted herein and is subject to such exhibit (hereinafter the "Easement
Property"), a portion of which is described as follows:
A 50.00 FEET WIDE TEMPORARY CONSTRUCTION EASEMENT SITUATED, LYING, AND BEING IN PART OF THOSE CERTAIN PARCELS OF LAND DESCRIBED AS
TRACTS 2, 7, AND 10, SECTION 25, TOWNSHIP 33 SOUTH, RANGE 38 EAST, ACCORDING TO THE LAST GENERAL PLAT OF LANDS OF THE INDIAN RIVER FARMS
COMPANY'S SUBDIVISION AS RECORDED IN PLAT BOOK 2, PAGE 25, FILED IN THE OFFICE OF THE CLERK OF THE CIRCUIT COURT OF ST. LUCIE COUNTY,
FLORIDA, SAID LAND NOW LYING AND BEING IN INDIAN RIVER COUNTY, FLORIDA, SAID EASEMENT BEING 50.00 FEET WIDE IN TOTAL WITH THE SPECIFIC
WIDTHS AS DESCRIBED ON EACH SIDE OF THE FOLLOWING DESCRIBED BASELINES:
COMMENCING AT THE NORTHEAST CORNER OF TRACT 9, SECTION 25, TOWNSHIP 33 SOUTH, RANGE 38 EAST, ACCORDING TO THE AFORESAID PLAT OF
INDIAN RIVER FARMS COMPANY'S SUBDIVISION, RUN NORTH 89' 42' 20" WEST ALONG THE NORTH LINE OF SAID TRACTS 9 AND 10, SAID NORTH LINE ALSO

PERPENDICULAR TO SAID NORTH LINE, A DISTANCE OF 15.00 FEET TO A POINT OF CURVATURE OF A CURVE CONCAVE TO THE NORTHWEST. THENCE RUN
SOUTHWESTERLY ALONG THE ARC OF SAID CURVE, HAVING A RADIUS OF 25.00 FEET, THROUGH A CENTRAL ANGLE OF 36'52'12", A DISTANCE OF 16.09 FEET
TO THE SOUTH LINE OF THE AFORESAID 60 FEET WIDE ROAD AND CANAL RESERVATION AND THE POINT OF BEGINNING OF A 50.00 FEET WIDE TEMPORARY
CONSTRUCTION EASEMENT "SOUTH". SAID EASEMENT BEING 10.00 FEET NORTH OF AND 40.00 FEET SOUTH OF THE FOLLOWING DESCRIBED BASELINE:
That Grantor, for and in consideration of the sum of Ten Dollars ($10.00) in hand paid by the
Grantee and other good and valuable consideration, the receipt of which is hereby acknowledged, does
hereby grant to the Grantee, its successors and assigns, a non-exclusive, temporary construction easement
over the Easement Property, subject to all the terms and conditions herein:
The Grantee shall have the right and privilege to utilize the Easement Property for ingress and
egress of construction equipment and material purposes, and with all rights and privileges necessary or
convenient for the full enjoyment or use thereof for the herein -described purposes, including, but not limited
to the right to cut and keep clear all trees and undergrowth and other obstructions within said area that may
interfere with the proper use of the Easement Property, and the right of ingress and egress for personnel and
equipment of Grantee, its contractors, agents, successors or assigns, for the purpose of exercising and
enjoying the rights granted by this temporary construction easement and any or all of the rights granted
hereunder.
The Grantor shall permit Grantee authority to enter upon the Easement Property of the Grantor at
any time during the Grantor's normal business hours and at other times upon receiving the Grantor's prior
consent, for ingress and egress to the Grantee's Landfill Gas Assets located on Grantor's property, to install,
operate, maintain, service, construct, reconstruct, remove, relocate, repair, replace, improve, and inspect the
Grantee's Landfill Gas Assets and other improvements that are located in, on, over, under, and across the
Easement Property.
The Grantee's Landfill Gas Assets include, but are not limited to, the Grantee's pipelines, wires,
compressors, coolers, metering equipment, valves, controls and other related equipment for the
measurement, transmission, connection, handling, monitoring and management of landfill gas (collectively,
the "Facilities").
In exercising any of the rights and privileges upon the Easement Property granted herein, the
Grantee will properly flag all section corners, quarter corners, and other survey monuments lying within the
Easement Property. The Grantee shall bear any survey costs for resetting these monuments if they are
disturbed by Grantee in any way.
The Grantee is hereby cautioned that other permitted utilities and/or improvements may exist in the
general area of the Easement Property. The Grantee shall be solely liable for damages to any existing
permitted structures, or utilities resulting from the installation of the proposed landfill gas equipment
pipeline.
An as -built certification of all pipeline/utility installations within the easement to include material
type, size, depth and pressures (if a pressurized utility) shall be performed by a Florida Registered
Professional Surveyor and provided to the Grantor in a digital ACAD and PDF format withing thirty (30)
days following completion of installation. If as -built is not received within thirty days of installation, the
Grantor will either have certification completed at Grantee's expense or order removal of the utility
installation.
The Grantee shall not discharge any pollutants, contaminants, or hazardous or deleterious materials
onto the Easement Property or property owned or maintained by, or subject to the jurisdiction of the Grantor,
and shall save and hold the Grantor harmless from any cause of action, expense, cost, loss or damage to
Grantor or others by any such discharge or obstruction, whether resulting from an accident or negligence,
remedying or removing the same immediately upon learning of such discharge or upon request of Grantor.
The Grantee shall indemnify and hold harmless the Grantor from and against any and all claims,
liabilities, losses, damage, or causes of action to both persons and property, which may arise from any
misconduct, negligent act, or omissions of either the Grantee or its successors or assigns, or any of its
respective agents, officers, or employees in connection with the performance of this non-exclusive
easement.
Upon completion of the installation the Grantee and/or its contractors, agents, successors or assigns,
shall restore the portion of the Easement Property disturbed by the installation to its pre -installation
condition, which includes removing the temporary construction facilities and debris, leveling off -the area,
and restoration with native grasses.
The Grantor, however, reserves the right and privilege to use the above-described property for any
such purposes suitable to the Grantor except as might interfere or be inconsistent with the use, occupation,
maintenance or enjoyment thereof by the Grantee or its successors or assigns, or as might cause a hazardous
condition.
It is understood and agreed that this easement will continue in effect for the benefit of Grantee, its
successors and assigns until the occurrence of the first of the following events: (a) the easement is no longer
used by Grantee, its successors and assigns, for the purpose for which this grant is provided; (b) construction is
completed as indicated in writing to the Grantor for which the easement was purposed; or (c) the Landfill Gas
Agreement between the Grantor and the Grantee is terminated or expires and is not replaced by another
agreement requiring the same easement. At such time any one of these three (3) events occur, the rights herein
granted shall terminate and full use of the Easement Property shall be enjoyed by the Grantor, its successors or
assigns, and the Grantee shall execute a release of all rights under this grant of easement.

The Grantor hereby covenants with the Grantee that it is lawfully seized and in possession of the
real property herein described and that it has good and lawful right to grant the aforesaid easement free and
clear of mortgages and other encumbrances unless specifically stated to the contrary.

I have confirmed with Nopetro that the third easement document is no longer applicable as the Indian River
Farms Water Control District will not recognize the easement. They are working together for an alternative
solution.
I have some questions:
1) Are we able to provide one executed original to Nopetro so that they can go to the courthouse to record it
today?If so, Heather do you have the original? y ES / \(e<
2) Or is the recording something we have to do? If so, who is doing the recording on our behalf?

Good afternoon
I just wanted to touch base with you on one of the SWDD/Nopetro items from 12/12/23 (btw Kim gave me originals of
the docs we looked at yesterday).
On Item 15.6.3. (23-1130)from the 12/12/23 BCC meeting, "Authorization to provide LFG Easements on the Landfill
Property",there are three easements. I have received two of them: "50-Foot Wide Temporary Easement" and "20-Foot
Wide Sub-Lateral LFG Easement".
I have not seen" 20-Foot Wide Sub-Lateral C-5 Canal Easement" & Kim has not received it. I just want to make sure it's
still out there and didn't fall through. I have attached staff's memo &the C-5 easement draft from the backup for
reference.
Please let me know.
