State or Florida, and 5andab Communications L.P. 11 (the "License"')

it is our understanding; that upon the closing of the transactions contempiated by that
certain Asset Purchase Agreement by and between Sandab Communications L.P. 11 („Seller"),
and Vera Beach Broadcasters, LLC ("Buyer"), dated April 25, 2000, Buyer will assume. the
I.icense (the "Assignment"), and that Buyer is requiring; this certificate as a condition of its
assumption of the License.
Tltc undersigned, tis the grantor of the License (the "County"), hereby approves of the
Assignment in accordance with Section 9 of the License, anti certifies the fiillowillg:
I . The License, attached hereto and made a hart hereol'as s! xliibit A, is in full force
and effect and has not been assigned, modified, supplemented, or amended in any Way,

3. The l ,icense's term expires oil March 17, 2012 and no rent is payabic under the

4. 1'ltc County is the owner in fee simple of the property described it, the License,
sub}cc( only to covenants, casements, restrictions of record, liens, any state of facts that an
accurate survey would show, and the License. 'i'lle undersigned is duly authorized and
empowered to execute this certificate oil the County's behalf.
S. The County hereby consents to the Assignment, accepts the Buyer as "Licensee"
under the License, and acknowledges and agrees that From and after the effective (late of the
Assignment, the Buyer Shull be entitled to the rights, beilerits, and privileges of, and shall be
siilIiect to all the (tutics and obligations imposed on, the Licensee Under the License.
