INDIAN RIVER COUNTY SOLID WASTE DISPOSAL DISTRICT
This Professional Services Agreement ("Agreement") is made effective Ills*-%A
of 1999
by and between ]eoSyntec Consultants, Inc. (OwSymcc'"),located at 621 NW 53' Street, Suite 65-a.Boca Raton,
Florida 33489, it Indian River County Solid Waste Disposal District ("SWDD"),located at 1840 25'" Street, Vero
Beach, Florida. This Agreement was developed for the scope ofservices to be performed by GwSyntec in response
to Indian River County's Request For Proposal (RFP) No -9040: Closed Landfill Invesslgelian — Professional
Engineering Services. The scope of work that may be performed by GwSyntec under this Agreement includes, but
is not limited to, 'he following:
• Groundwater Monitoring Plans for all closed landfll sites, including all data gathering activities, data
analyses, and reports related thereto;
• Contamination Assessment Report as deemed necessaryfor cenain closed landfll sites, including all
data gathering activities. data analyses, and report doeumenmtien related thereto;
• geophysical surveys, borings, piezometers, monitoring wells and other subsurface investigations,
including all necessary permits related thereto;
• environmental surveys and audits required ibr property transactions involving County facilities of
Property;
• sampling and testing services for various media (e.g.,groundwater, surface water, soil, and air);
• groundwater flow and containment ransport modeling as needed to develop groundwater monitoring
plans and/or remedial systems;
• risk assessments as needed tp develop risk-based cleanup goals;
• Remedial Investigation and Feasibility Studies (RIPS) for landfll aims that have been adversely
Implied;
• Remedial Action Plans slid designs, including all necessary permits related thereto, immediately for the
Gifford Road Lara fll site and far other sites if remediation is necessary;
• design, bidding, and construction -phase services in the implementation ofremediatime requirements
that may be necessary; and
• expert witness testimony and consultation.
NOW, THEREFORE, in consideration of the promises set forth below, the parties hereby agree as follows:
WORK AUTHORIZATIONS
The Scope of Services (hereinafter "Services") and the schedule and charges forthe Services are to be set fonh in a
wriaen Work Authorisation or Work Authorizations to this Agreement. Each Work Authorisation shall be prepared
by GeoSymcc, in coordination with SWDD. Each Work Authorisation shall be approved by the SWDD prior to
initiation orwork. The terms and conditions oflher Agreement shall apply to each Work Authorization. except to
the extent expressly modified by the Work Authorization. Unless otherwixe stated in the Work Authorization.the
method of charging for the Services shall be based on time and materials in accordance with the following:
• Labor Costs. The SWDD shall pay an amount equal to GeoSymec's Direct Labor Costs plus overhead,
calculated at 2.19 times Direct Labor Costs, far all basic services rendered by GeoSym. personnel
(sec Exhibit A), GeoSyntec's Direct Labor Costs shall equal the average hourly rate by class of
employee. For salaried employees, the hourly average .to shall equal salary divided by 2080(1.,.,40
houredweek times 52 weekslyear).
• Reimbursable Extremes. SWDD shall pay the cost times a factor of 1. 1 (excluding professional
subconsultants).
• Professional Subconsuhanm. For services performed by'ndelmndent professional subconsulmnm
empleyed by G.Syntec, rhe SWDD shall pay ao markup.

The rates shown in Exhibit A shall be subject to annual adjustment based on the mutual consent of the panics.
Where charges are "not to exceed" a specified sum, GeoSyntec shall notify SWDD before such sum is exceeded and
shall not continue to provide the Services beyond such sum unless SWDD authorizes an increase in the sum. Ifa
"not to exceed" sum is broken down into budgets for specife tusks, the task budget may be exceeded without SWDD
authorization as long res the total sum is not exceeded.
2. PAYMENT CONDITIONS
GeoSyntec periodically shall submit invoices to SWDD. SWDD shall pay each invoice in accordance with
the requirements set forth in the Florida Prompt Payment Act.
3. CONSTRUCTION PROCEDURES
GeoSyntec shall not be responsible for the was or omissions of other parties chipped by SWDD, and shall
not have cantml or charge of and shall not be responsible for their construction means, methods, techniques,
sequences, or procedures, or for their safety precautions and programs.
RECOGNITION OF RISK
SWDD recognizes that opinions relating to enviramnental, geologic and gmuchnical conditions are based
on limited data and that actual conditions may vary from those encountered at the times and locations where data are
obtained, and that the limited data results in uncertainty with respect to the interpretation of these conditions, despite
the use of due professional care. It Is further recognized that the state of potence, particularly with respect to
contaminated site and waste conditions, is changing and evolving (for example, the long-term effect ofchemicals on
soils or manufactured or constructed liner systems is not well-established or known at this time), and, further, that
certain of the gove ental regulations relating to hazardous waste sites purport to require achievement of results
which cannot beaccomplished in an absolute sense (e.g., the construction of entirely impermeable liners).
GeoSyntec shall be obligated to comply with applicable professional standards of care in the perronnance of the
Services but does not guarantee results.
RISK ALLOCATION
The liability of GeoSynmc, its employees, agents and subcontractors (hereinaficr far purposes or this
paragraph 5 referred to collectively as "GeoSyntec"), for SWDD's claims of loss, injury, death, damage, or expense,
including, without limitation. SWDD'S claims of contribution and indemnification with respect to third -parry claims
relating to services rendered or obligations Imposed under this Agreement, including ell Work Ai dmrizations, shall
not exceed in the aggregate under this Agreement the limits ofGeoSyntec's insurance coverage.
INSURANCE
During the term of this agreement. Gonsymuc shall maintain the in coverage set forth in

GeoSymm's insurance certificate dated 5 April 1999, which is snatched hereto and incorporated herein by this
reference, with limits not less then Nose stated. The Commercial General and Automobile Liability policies will be
endorsed to add SWDD as an additional. The issuing company on all policies shall endeavor to provide SWDD with
thirty (30) days written notice of cancellation or material change in any ofthe coverage.
INDEMNIFICATION
If any claim is brought against SWDD and/or GeoSyntec, its employees, agents and subeonmctars, by a
third party, relating in any way to services under this Agreement, including all Work Authorizations, the contribution
and indemnification rights and obligations of SWDD and OwSymec, subject to the allocation of risk under

Paragraph 5 above, shall be determined on a comparative responsibility basis under comparative negligence
principles (SWDD responsibility to include that of its agents, cmPloyces and other contactors).
S. RIGHT OF ENTRY
SWDD grants to GeoSyntec, and, if the project site is not owned by SWDD, warrants that permission has
been granted for, a right of entry from rime to time by GmSynme, its employee,. .,oil and subcontractors, upon the
project site for the purpose ofproviding the Services.
HAZARDOUS SUBSTANCES
All noMamrdous samples and by-products from sampling processes in connection with the Services shall
be disposed of by GeoSyntec m accordance with applicable law; provided, however, that any and all such materials,
including wastes, that cannot be introduced back into the environment under existing law without additional
moment, and all hazardous wastes, radioactive wastes, havardous materials or hazardous substances("Hazardous
Substances")related to the Services, shall be packaged in accordance with applicable law by GeoSyntec and tamed
over to SWDD for appropriate shipping and disposal. GeoSyntec shall not arrange Or otherwise dispose of
Haeardous Substances under this Agreement. GeoSyntec, at SWDD'S request, may assist SWDD in identifying
appropriate alternatives for off- site treatment, storage or disposal ofthe Hazardous Substances, but GeoSyntec shall
not make any independent determination relating to the selection of a treatment, storage, or disposal facility nor
subcontract such activities through transporters or others. SWDD shall sign all necessary manifests for the disposal
of Hazardous Substances. If SWDD insists upon the signingofsuch manifests by GmSyntec'S agentsor employees,
such signing shall be as SWDD's agent so that GeoSyntec will not be considered to be a generator, mu sponer, or
disposer ofsuch Hazardous Substances, and SWDD shall indemnify GraSymec against any claim or loss resulting
from such signing and from GeoSyn,,% nomnegligent handling of Hazardous Substances. If unanticipated
Hamrdous Substances or conditions are encountered, GeoSyntec may suspend work for safety reasons until mutually
agreeable arrangements are made, which may involve amendments to this Agreement
10. CONFIDENTIALITY
GeoSyntec will maintain as confidential any documents or information provided by SWDD and will not
release, distribute or publish same or GeoSyntee's test results to any third pars, without prior permission from
SWDD, unless compelled by law or order ofa coon or regulatory bo%of compemnt jurisdiwion. Suchrdwwwill
occur only after prior notice to SWDD.
11. USEOFDOCUMENTS
Provided that GeoSyntec has been fully paid for the Services, SWDD shall have the right to use the
documents, maps, photographs, drawings and specifications resulting from Gmsyntec's efforts oa the project.
Reuse of any such materiels by SWDD on any extension of this project or my other project without GmSymec's
wines authorization shall be at SWDD's sole risk. GeoS,mec shall have the right to retain copies of all such
materials. GeoSyntec retains the right of ownership with respect to any patentable concepts or copyrightable
materials arising from its Services.
12. SWDD RESPONSIBILITY
SWDD shall: (1) provide GeoSyntec, in writing. all information relating to SWDD's requirements for the
project; (2) to the best of SW DD'S knowledge, provide information regarding the location of subsurface SWciou s,
such es pipes, tanks, cables, and utilities;(]) notify GeoSyntec of any potential ha ordous substances or other health
and safety hazard or condition known to SWDD exiting on or nem the project site; (4) give GeoSyntec prompt
written notice of any suspected deficiency in the Services; and (5) with reasonable promptness, provide required
approvals and decisions. GeoSyntec shall he responsible for contacting local utility[More service(s).

ll. DELAYS AND FORCE MAJEVRE
Neither parry shall hold the other responsible for damages or delays in performance caused by force
majcure, acts of God, or other events beyond the reasonable control of the other party. Delays within the scope of
this Paragraph which cumulatively exceed forty-five (45) days shall, at the option of either parry, make the
applicable Work Authorization subject o termination for convenience or to renegotiation.
14. TERMINATION
The more ofthis agreement is five (5) years from the date first wrinen above. Either parry may terminate all
or any portion of the Services for convenience, at its option, by sending a wrinen Notice to the other parry.
Termination shall be effective twenty (20) days after receipt of a Notice of Termination, unless a later date is
specified in the Notice. SWDD shall pay GeoSyntec upon invoice for services performed and charges incurred prior
to termination. In the event of lamination for cause, the paries shall have their remedies at law as to other rights
end obligations between them, subject to the other terms and conditions of this Agreement.
I5. ASSIGNMENTS
Neither parry to this Agreement shall assign its duties and obligations hereunder without the prior written
consent ofthe other party.
16. VALIDITY
The provisions of this Agreement shall be enforced to the fullest extent pemnined by law. if any provision
ofthisAgreement is found to be invalid or unenforceable, the provision shall be construed and applied in a way that
comes as close as passible to expressing the intention of the parties with regard to the provisions and that saves the
validity and enforceability of the provision.
17, NO THIRD -PARTY RIGHTS
This Agreement shall not create any rights or benefits to parties cher then SWDD and GeoSyntec. No third
party shall have the right to rely on GeoSymec opinions rendered in ounnection with the Services without
GeoSymec's wrinen consent which may be conditioned on the third pony's agreement to be bound to acceptable
conditions and limitations similar to this Agreement.
is. INTEGRATED WRITING
This Agreement constitutes a final and complete repository of the agreements between SWDD and
GeoSyntec. R supersedes all prior or contemporaneous communications, representations, or agreements, whether
oral or written, relating to the subject matter of this Agreement. Modifications of this Agreement shall not be
binding unless made in writing and sipped by an Amhorized Representative of each parry.
19. NOTICES. SIGNATURES AND AUTHORIZED REPRESENTATIVES
The following signatories ofthis Agreement are the Amhmized Representatives ofSWDD and GeoSyntec
for the execution of this Agreement. Each Work Authorisation shall set tomb the name and address of the respective
Authorized Representatives Of the panics for the administration of that Work Authorisation. Any information or
notices required or permitted under this Agreement or Work Authorisation shall be deemed to have been sufficiently
given if in writing and delivered either personally or by mail to the undersigned representative or any other
Authmised Representative identified in she applicable Work AuNoriertion. Notice given by mail shall also be
maintained by facsimile at the time ofmailing

Subject: Cost Estimate and Proposal for Preparation of a
Preliminary Remedial Action Plan
South Gifford Road Landfill
Indian River County, Florida
Dear Mr. Brooks:
As a result of our telephone conversation on Friday, 4 lune 1999, GeoSyntec
Consultants (GeoSyntec) is pleased to present five copies of this proposal for execution
by the Indian River County Solid Waste Disposal District (SWDD) to prepare a
Preliminary Remedial Action Plan (PRAP) for the Gifford Road Landfill site. A cost
estimate and Work Authorization No. 1 are attached to this proposal. GeoSyntec's 24
May 1999 correspondence provides our understanding of site conditions and the
technical basis for this proposal. This proposal is consistent with the recommendations
presented in the 24 May 1999 correspondence and builds on the preliminary scope of
work presented therein.
The purpose of the PRAY is to address groundwater that has been impacted by
chlorinated volatile organic compounds (VOCs) existing in the vicinity of the eastem
portion of the landfill. We propose that the PRAP consist of:
• a brief summary of site conditions;
• evaluation of potential remedial alternatives;

• identification of data needed to support remedial action development (i.e.,
source area delineation, natural attenuation date, etc.);
• design of the pilot test program to evaluate Indian River County's (IBC's)
selected remedial alternative; and
• a schedule for addressing data gaps, implementing the proposed pilot test
program, and preparing the Remedial Action Plan (RAP).
TASK BREAKDOWN
GeoSyntec proposes that the scope of work be accomplished utilizing the following
task breakdown:
• Task l: Project Management
• Task 2: Prepare Draft PRAY
• Task 2A: Review and Assessment of Data/Reports
• Task 2B: Prepare Source Identification Workplan
• Task 2C: Evaluate Remedial Options and Design Pilot Test
• Task 21): Prepare MNA Evaluation Workplan
• Task 2E: Internal Review Meeting with IRC
• Task 3: Prepare PRAP for Submittal to FDEP
The scope of work to be accomplished under each of these tasks is described below.

Task 1, Protect Management
Under this task, Ms. Weeks will coordinate all work scope elements. She will
ensure the budget and schedule commitments are met and that IRC is integrated into the
project.
Task 2A: Review and Assessment of Data/Reoorts
GeoSyntcc proposes to conduct a brief review of IRC's files related to the Gifford
Road Landfill site to ensure that the information we obtained during the proposal
preparation process is complete. (We have learned that we are missing a few
documents). As part of this effort and with IRC's help, we will work to obtain and
review copies of all pertinent materials, including reports and available information that
may assist in designing an effective remedy.
Task 2B, Prepare Source Identification Workplan
The PRAY will include a workplan that is designed to search for the source of the
VOC groundwater contamination. For this effort, we will review historical information,
such as plume migration patterns and aerial photographs, to guide the assessment
design. The Source Identification Workplan will be implemented following Florida
Department of Environmental Protection (FDEP) approval. The results of the fieldwork
and analysis will be included in the RAP. If source area(s) are identified within the
landfill, remedial measures can be designed to address the source ama(s). If the source
Drees are remediated, cleanup of the groundwater will be expedited.
Task 2C: Evaluate Remedial Options and Design Pilot Test
GeoSymcc will evaluate candidate remedial technologies to address the VOC
groundwater impacts just cast of the landfill. The pilot test design will focus on
performance of interim remedial measures through use of a small-scale test system near
the northeastern landfill boundary. If the pilot test program is effective, the remedial

alternative can later be expanded to a full-scale system (following FDEP approval of the
RAP).
Candidate technologies to be considered under Task 2C include; (i) insitu treatment
of groundwater by biosparging; (ii) maim treatment of groundwater by air sparging; slid
(iii) insim treatment of soils by soil vapor extraction. As part of this evaluation,
GeoSyntec will work with IRC to assist in selecting a remedial strategy to be pursued
further with a pilot test. The PRAP will include detailed procedures to implement the
pilot test program.
Since we have already had discussions on this subject with IRC and FDEP, the
attached cost estimate assumes design of a pilot test biosparging remedial system. If a
more complicated pilot test system design is needed based on the evaluation of remedial
options and input by IRC, GeoSyntec may need to request additional budget to
complete this task.
Task 2D: Develop MNA Evaluation Workolan
We understand that Monitored Natural Attenuation (MNA) should be evaluated as
a potential component of the overall site remedy. To begin this MNA evaluation,
currently available information will be utilized and data gaps will be identified in the
PRAP. As a result, an MNA Evaluation Workplan will be prepared and included in the
PRAP and will specify the fieldwork necessary to fill data gaps which will ultimately
allow a demonstration of the viability of MNA as a remedial option in accordance with
FDEP and U.S. Environmental Protection Agency guidelines.
Task 2E: Draft PRAP Review Meeting with IRC
GeoSyntec will meet with IRC to review the draft PRAP and to discuss the pros
and cons of each scoped work element (including order of magnitude costs,
implementation schedules, etc.) and compliance with IRC's objectives/goals for the site.
Mr. Chris Herin and Ms. Nandra Weeks will attend a 0.5 -day meeting with IRC.

GeoSyntec will modify the PRAP in accordance with direction given by IRC at the draft
PRAP review meeting. A second draft PRAP will be submitted for IRC's review. Only
minor editorial comments are anticipated (to be provided by IRC via facsimile or
teleconference).
Task 3- Prorate PRAP for Submittal to FDEP
GeoSyntec will prepare five copies of the PRAP for submission to IRC for internal
distribution and forwarding to FDEP. GeoSyntec proposes that a meeting will be held
with FDEP concurrent with submittal of the PRAP. We have included budget for a 0.5 -
day meeting with FDEP to present the PRAP. The primary purpose of this meeting will
be to discuss the contents of and recommendations presented within the PRAY. Mr.
Chris Herin and Ms. Nandra Weeks will attend the meeting. Note: Addressing FDEP
comments (if any) will be handled under a separate (to be determined) budget.
BUDGET ESTIMATE
The cost estimate for preparing the PRAP as described herein is $29,796.70. The
breakdown of the costs by hours and tasks is presented in the attached cost estimate
spreadsheet. GeoSyntec notes that cost estimates for performing work subsequent to
the approval of the PRAY are not included in the estimate presented above. Separate
cost estimates will be prepared at a later date to implement the Source Identification
Workplan, the pilot test program, MNA Evaluation Workplan, and any other fieldwork
that is warranted or necessary in IRC's efforts to address the Gifford Road Landfill site.
In addition, a separate cost estimate will be prepared at a later date to prepare the RAP
for the site.

SCHEDULE ESTIMATE
Upon receipt by GeoSyntec of an executed agreement for preparation of the PRAP,
GeoSyntec anticipates that a PRAY can be submitted to FDEP within 60 days, as
follows:
• Upon receipt of an executed agreement and Work Authorization No. 1, and
completion of Task 2A (to be conducted as soon as possible following
execution of Work Authorization No. 1), GeoSyntec will provide three copies
of a draft PRAP to IRC within 30 days for IRC's review.
• GeoSyntec anticipates a one-week review period by IRC. At that time, the
Draft PRAP Review Meeting (Task 2E) will be held with IRC and GeoSyntec
to discuss IBC's comments.
• Following the meeting, GeoSyntec will modify the PRAP and resubmit the
document to IRC within one week for final review.
• GeoSyntec anticipates a one-week final review period by IRC.
• Upon receipt of IRC's comments, GeoSyntec will incorporate IBC's final
comments and prepare and submit five copies of the PRAP to IRC for
distribution to the FDEP. GeoSyntec will then be available to meet with the
FDEP (based on IRC's and FDEP's schedules) concurrent with submittal of the
PRAP.
