WITNESSETH: That whereas, the OWNER and the CONTRACTOR for the
consideration hereinafter named, agree as set forth below:
Article 1. Scope of Work: IRC Bid No. 3032
Installation of utilities on an as -needed basis for labor
(materials to be supplied by OWNER)
The CONTRACTOR, as an independent contractor and not as an agent,
shall furnish, for this labor contract all of the tools, equipment,
labor, and everything necessary to perform, and shall perform, in
accordance with the Contract Documents as set out in Article 7 of
this Agreement, the work of all necessary site preparation, furnish
and install specified facilities specified in the Contract Documents,
including all appurtenances necessary for efficient and effective
operation and shall do everything required in accordance with the
Contract Documents, which are attached hereto and made a part of this
Contract as though bodily incorporated herein.
Article 2. Duration of Agreement:
This agreement shall remain in full force and effect for a period of
Two (2) years after the date of execution thereof or until completion of
all project phases as defined, whichever occurs first, or unless
otherwise terminated by mutual consent of the parties hereto, and
shall be able to be renewed for two one-year periods, upon mutual
agreement of both parties.
Article 3. General:
The CONTRACTOR hereby certifies that he has read each and every
clause of the Contract Documents and that he has made such
examination of the location of the proposed work as is necessary to
understand fully the nature of the obligation herein made; and will
complete the same ir, the time limit specified herein in accordance
with the plans and specifications.
The OWNER and CONTRACTOR herein agree to maintain records, invoices,
and payments for the work.
All work under this Contract shall be done to the satisfaction of the
OWNER, who shall in all cases determine the amount, quality, fitness,
and acceptability of the several kinds of work and materials which
are to be paid for hereunder, and shall decide all questions which
may arise as to fulfillment of the Contract on the part of the

CONTRACTOR, and his decision thereon shall be final and conclusive;
and such determination and decision, in case any question shall
arise, shall be a condition precedent to the right of the CONTRACTOR
to receive any money hereunder.
Any clause or section of this contract or specification which may for
any reason be declared invalid, may be eliminated therefrom; and the
intent of this contract and the remaining portion thereof will remain
in full force and effect as completely as though such invalid clause
or section has not been incorporated therein.
Article 4. Quantities and Prices:
The OWNER shall pay the CONTRACTOR for all work included in and
completed according to this Contract, based on the items of work set
forth in accordance with the CONTRACTOR'S Bid Form.
Article 5. Acceptance and Final Payment:
When the work provided for under this contract has been fully
completed, in accordance with the terms thereof, a final estimate
showing the amount of such work shall be prepared by the CONTRACTOR,
and filed with the OWNER within fifteen days after the date of
completion.
From the final payment shall be retained all monies expended by the
OWNER, according to the terms of this contract and thereunder
chargeable to the CONTRACTOR, all monies payable to the OWNER as
liquidated damages, and all deductions provided by the Contract,
state laws, or governing regulations.
In accordance with the Florida Prompt Payment Act, after final
acceptance by the OWNER, the OWNER shall make payment to the
CONTRACTOR in the full amount. PAYMENT of the final estimate and
acceptance of such payment by the CONTRACTOR shall release the OWNER
from all claims or liabilities to the CONTRACTOR in connection with
this Contract.
Article 6. The OWNER shall supply pipe, valves, and fittings.
The CONTRACTOR shall supply only the materials as stated in the bid
documents.
Article 7. The Contract Documents:
The General Conditions, Special Conditions, Indian River County
Specifications as adopted January, 1997 enclosed Specifications,
Bid Documents, and Bonds, together with this Agreement form the
Contract and are fully a part of this Contract as if included herein.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement
the day and year first above written.
