DEVELOPER'S AGREEMENT
BETWEEN
INDIAN RIVER COUNTY, FLORIDA
AND
DAVID AND ELAN FELDMAN
2001
The AGREEMENT, entered into this 23rd day of January , )?JOJQJO by and between
INDIAN RIVER COUNTY, FLORIDA a political subdivision of the State of Florida, 1840 25''
Street, Vero Beach, Florida 32960, hereinafter called "COUNTY" and DAVID AND ELAN
FELDMAN, 407 Lincoln Road, Miami Beach, Florida 33139, hereinafter referred to a
"DEVELOPER".
WITNESS TO
WHEREAS, DEVELOPER own a 37.37± acre parcel of land along the west side of Kings
Highway between I` Street SW and 0 Street, identified as County Tax Parcels 17-33-39-00001-
0090-00002.0 and 17-33-39-00001-0160-00002.0 which is shown on Exhibit "G" attached hereto
and incorporated herein by reference, and
WHEREAS, DEVELOPER's original parent tract prior to dedication of 56 feet of right-of-
way in August 1994 was 39.14 acres, and
WHEREAS, the COUNTY and DEVELOPER share mutual concerns with respect to road
and drainage facilities for Kings Highway (581' Avenue) and development of DEVELOPER's
property located adjacent to kings Highway and
WHEREAS, both the COUNTY and DEVELOPER can assist each other through a joint
effort that will facilitate widening the road and providing stormwater treatment.
NOW, THEREFORE, in consideration of the mutual terms, conditions, promises, covenants,
and premises hereinafter, the COUNTY and DEVELOPER agree as follows:
1. The above recitals are affirmed as being true and correct and are thereby incorporated
herein.
2. Within 30 days of execution of this AGREEMENT by both parties, DEVELOPER
shall convey by quit -claim deed, 20 feet by approximately 1371 feet of right-of-way
to the COUNTY for construction of Kings Highway (legal description attached as
Exhibits "A" and "B") and a 1.29 acre parcel of land in the northwest section of the
parent tract. (Legal description to be attached as Exhibit "C")
3. The COUNTY shall construct, at COUNTY's sole cost and expense a drainage ditch
along the DEVELOPER's north property line for the purpose of conveying
stormwater to and from the retention pond. DEVELOPER shall retain ownership of
ditch but grant COUNTY a drainage easement (Exhibit "E") to discharge runoff from
Kings Highway into said ditch and access easement (Exhibit "F") for maintenance
access to ditch and retention pond..
4. In lieu of cash compensation for said parcels; the DEVELOPER shall take density
credit through the planned development process pursuant to Section 952.08 (1)(b).
Density shall be based on the original parent tract acreage of 39.14 acres for an
allowable residential density of 39 dwelling units, which includes the density credit.
S. The COUNTY shall construct a 6 inch connection to the force main and 6 inch
diameter service line under Kings High-av to DEVELOPER's property line. Line
shall be extended to immediately beyond right-of-way for future connection. Impact

fees, line extension fees, connection fees and any other costs associated with future
service shall be DEVELOPER's responsibility.
6. The COUNTY shall construct a 8 inch connection to the water main and 8 inch
diameter service line under Kings Highway to DEVELOPER's property line. Line
shall be extended to immediately beyond right-of-way for future connection. Impact
fees, line extension fees, connection fees and any other costs associated with future
service shall be DEVELOPER's responsibility.
7. The COUNTY shall pay DEVELOPER's Engineering Fees for review of County
plans in the amount of $1,000.00
8. The COUNTY shall construct at the COUNTY's sole cost and expense; roadway
improvements along Kings Highway to provide a four lane divided roadway along
Kings Highway in accordance with attached Exhibit "D".
9. The COUNTY shall construct a median opening with northbound left turn lane on
Kings Highway approximately half way between I" Street SW and 0 Street in
accordance with attached Exhibit "D".
10. The COUNTY shall construct a drainage ditch, retention pond and outfall structure
to Lateral B canal. This work will coincide with the 58`h Avenue Project
construction. The outfall pipe shall be sized to accommodate DEVELOPER's
potential needs for future pond enlargement. The outfall structure will be located in
COUNTY right-of-way in accordance with attached Exhibit "D".
11. Excavated material from retention pond and drainage ditch shall remain property of
DEVELOPER and shall be stockpiled on DEVELOPER's site.
12. Should DEVELOPER decide to develop the remainder parcel and wishes to join and
expand, or relocate said drainage ditch and retention pond for stormwater capacity
and aesthetic amenity purposes, the DEVELOPER shall design a combined retention
pond that meets the stormwater needs of the DEVELOPER and COUNTY. The
DEVELOPER shall obtain all required permits for the combined pond. The
DEVELOPER shall not join the COUNTY drainage ditch and COUNTY retention
pond to DEVELOPER's retention pond until the DEVELOPER's pond has been
permitted to accept runoff from Kings Highway. The combined pond shall be
designed to have no adverse impacts on the Kings Highway drainage.
13. The COUNTY will fence its retention area. Should DEVELOPER exercise the
option stated in No. 12, the DEVELOPER shall be allowed to remove the fence
subject to COUNTY permitting.
14. Should the DEVELOPER exercise the option stated in No. 12, the COUNTY shall
cause the ownership of land described in Exhibit "C" to be re -conveyed to the
DEVELOPER by quit -claim deed, without compensation due reserving to the
COUNTY a permanent drainage easement for stormwater conveyance and storage
and the right to discharge the same volume of stormwater runoff that was discharged
into the original 1.29 acre pond. From time of re -conveyance, maintenance of the
pond will be by DEVELOPER or subsequent owners.
15. Time s of the essence as to all matters pertaining to this Agreement.
16. In the event of any litigation arising out of this Agreement, the prevailing party shall
be entitled to reimbursement of the costs and expenses thereof from the non -
prevailing party or parties, including reasonable attorneys fees and including such
costs, expenses, and fees incurred on appeals of such. litigation.
17. No amendment, modification, change, or alteration of this Agreement shall be valid
or binding unless accomplished in writing and executed by both of the parties hereto.

18. This Agreement shall be binding upon and inure to the benefit of the parties hereto
and their personal representatives, heirs, successors, and assigns.
19. This Agreement contains the entire agreement and understanding between the parties.
No representation, statement, recital, undertaking, or promise not specifically set
forth herein shall be binding on any party hereto.
20. This Agreement and all matters arising hereunder shall be governed by and construed
in accordance with the laws of the State of Florida. Venue hereunder shall lie in
Indian River County, Florida
21. This Agreement shall be deemed prepared jointly by each of the parties hereto and
shall be construed on parity as between the parties. There shall be no canon of
construction for or against any party by reason of the physical preparation of this
Agreement.
22. Whenever the singular number is used in this Agreement and when required by the
context, the same shall include the plural, and the masculine, feminine, and neuter
genders shall each include the others.
23. COUNTY and DEVELOPER shall grant such further assurances and provide such
additional documents as may be required by one another from time to time, and
cooperate fully with one another in order to cant' out the terms and conditions hereof
and comply with the express intention of this Agreement.
24. Failure to insist upon strict compliance with any of the terms, covenants, or
conditions herein shall not be deemed a waiver of such terms, covenants, or
conditions, nor shall any waiver or relinquishment of any right or power hereunder
at any one time or times be deemed a waiver or relinquishment of such right or power
at any other time or times.
25. All words, terms, and conditions contained herein are to be read in concert, each with
the other, and a provision contained under one paragraph may be considered to be
equally applicable under another in the interpretation of this Agreement.
26. The words herein and hereof and words of similar import, without reference to any
particular section or subdivision of the Agreement, refer to this Agreement as a
whole rather than to any particular section or subdivision hereof.
27. In the event any term, condition, or clause of this Agreement is declared to be illegal
or unenforceable by a court of competent jurisdiction, such declaration of illegality
or unenforceability shall not affect or alter the legality or enforceability of any
remaining terra, condition, or clause hereof, provided of the parties, as set for in this
Agreement.
28. All right conveyed to the DEVELOPER in this Agreement are transferable. This
Agreement shall be recorded in the public records of Indian River County.
