COLLECTION FRANCHISE AGREEMENT BETWEEN INDIAN RIVER
COUNTY SOLID WASTE DISPOSAL DISTRICT ("SWDD") AND WASTE
MANAGEMENT INC. OF FLORIDA ("FRANCHISEE")
THIS SECOND AMENDMENT TO SOLID WASTE AND RECYCLABLES
COLLECTION FRANCHISE AGREEMENT BETWEEN INDIAN RIVER COUNTY
SOLID WASTE DISPOSAL DISTRICT ("SWDD") AND WASTE MANAGEMENT
INC. OF FLORIDA ("FRANCHISEE) ("Second Amendment") is entered into as of the
day of December 2025 by and between the Indian River County Solid Waste Disposal
District, a dependent special district of INDIAN RIVER COUNTY (hereinafter, "SWDD")
and Waste Management Inc. of Florida, a Florida corporation (hereinafter "Franchisee").
RECITALS
WHEREAS, on July 2, 2024, SWDD and Franchisee entered into the Solid Waste and
Recyclables Collection Franchise Agreement Between Indian River County Solid Waste
Disposal District ("SWDD") and Waste Management Inc. of Florida ("Franchisee")
(collectively referred to as the "Agreement"); and
WHEREAS, on December 17, 2024, SWDD and Franchisee entered into the First
Amendment to Franchise Agreement providing clarifications and reduction in certain fees to
residential, multi -family and commercial customers; and
WHEREAS, on June 17, 2025, the SWDD Board approved staff recommendation to
approve the implementation of an earlier cart swap program and to allow the Contract Manager
to grant yard waste cart delivery and service exemption to Homeowner's Association (and
Condominium Owners Associations), within Unincorporated IRC with direction to staff and
the County Attorney's office to return to ratify an amended Agreement for these approved
changes; and
WHEREAS, SWDD and Franchisee desire to amend the Agreement to provide further
clarifications and to accept certain negotiations that enhance the Agreement and provide an additional
reduction in certain fees to our residential, multi -family and commercial customers,
NOW THEREFORE, in consideration of the mutual undertaking herein and other good
and valuable consideration, the receipt and adequacy of which is hereby acknowledged, the
parties agree, as follows:
1. Recitals. The above recitals are true and correct and are incorporated herein.
2. Article12.1.9 d Amended. The following sentence replace 12.1.9 d in its entirety:
d. The CLEAN program shall commence at the start of the franchise
agreement, October 1, 2025, for all Commercial Customers as a 12 -month

pilot based on the new reduced Commercial Supplemental Fees in Exhibit
1. The Contract Manager shall notify Franchisee 30 days prior to the
conclusion of the pilot that the CLEAN program shall continue or be
terminated. If the CLEAN program is terminated, then the original
Commercial Supplemental Fees as revised in Item 5 below of this Second
Amendment shall apply.
3. Article 12.2.1. Amended. The following sentence is added as Section c. and
Section d. to Article 12.2.1 to provide additional exceptions as further detailed
below:
•12.2.1.
c. The Contract Manager is authorized to provide an annual exemption for
the delivery and weekly service of Yard Waste Roll Carts for specific
designated Homeowner's Associations (HOA's), Property Owner's
Associations (POA's) and Condominium Owner's Associations (COA's)
communities within the Unincorporated IRC that do not allow curbside
yard waste collection who agree and meet the following provisions.
1. The exemption will apply to the entire HOA / POA / COA and must
represent all members; individual homes cannot be exempted
separately. However, individual homeowners may opt -in by
contacting WM directly and then WM shall deliver a yard waste cart
at no -cost and provide the weekly yard waste carted services.
2. Contract Manager and the Franchisee shall provide a case by case
considerations for a partial exemption for communities that have both
single family homes and multi -family homes.
3. This exemption and opt -in process will apply through the initial five
(5) year term of the Agreement as well as any future extensions of the
Agreement.
4. Residents who reside in an exempt HOA / POA / COA will not be
allowed to transfer the exemption credit toward additional trash
cart(s).
5. The HOA / POA / COA must notify the SWDD contract manager
annually by July 31St, of the total number and specific addresses of
homes that are to be officially exempted in order not to receive the
delivery of the yard waste carts.
6. The exemption does not eliminate the cost for the carted yard waste
collection services.
7. An authorized representative of the HOA / POA / COA must sign and
date the Yard Waste Carts and Curbside Service Exemption Form and
testify that all residents of the community were duly notified of these

provisions and that the HOA / POA / COA voted to make a
representative decision in favor of requesting an exemption to carted
yard waste services.
d. The Contract Manager shall provide the specific signed exemption form
and a list of addresses to the Franchisee and in return both parties agree to
the following:
1. The Franchisee shall continue to receive the full compensation for the
monthly services to these communities and SWDD is not requesting
any benefit to residents outside these exempt communites.
4. Article 12.2.4. Amended. The following sentence replaces Article 12.2.4 in its
entirety:
12.2.4. Starting October 1, 2025, upon
request, Franchisee shall exchange a residential customer's Roll Cart with an
alternatively sized Roll Cart. Franchisee shall provide one (1) Roll Cart
exchange for Solid Waste, Vara W.,and Recyclables per customer at no
charge to the customer or the SWDD. No alternative cart sizes are available
for the Yard Waste Roll Cart; however, the Franchisee shall provide one (1)
Roll Cart pick-up per customer at no charge to the customer. The Roll Cart
exchange for Solid Waste or Recycling and pick-up for Yard Waste is limited
to one exchange or pick-up for the contract term, unless there is a legal change
in ownership of the residential property resulting in a new residential
customer. Should a residential customer request additional exchanges, the
Franchisee may charge the residential customer at rate defined per Roll Cart
that is exchanged. Franchisee shall track and report exchanges as specified
in ARTICLE 18. In return for the earlier cart swaps, the Franchisee shall
receive a dollar -for -dollar credit for cart swap expenses against
Administrative Charges beginning October 1, 2025, until the full value of the
cart swap costs has been credited.
5. Exhibit 1 — Collection Service Rates. Amended. Upon approval of this
Amendment, Exhibit 1 will be updated to reflect the following changes and will be
replaced in its entirety with the attached Exhibit 1 - Collection Service Rates:
