FIRST AMENDMENT TOCONTINUING CONTRACT
AGREEMENT FOR PROFESSIONAL SERVICES
This First Amendment to Continuing Contract
Amendment") is entered into effective as of April 2007, by and between INDIAN RIVER
COUNTY, a political subdivision of the State of FloAda, 1840 25,h Street, Vero Beach, FL 32960
("County") and CAMP DRESSER & McKEE INC., 1701 Hwy. AlA, Suite 301, Vero Beach, FL
32963 ("Consultant").
BACKGROUND RECITALS
A. Effective April 6. 2OO4. the County and the Consultant entered into the Continuing Contract
Agreement for Professional Services ("Agreement").
B. The County and the Consultant desire toamend the Agreement byadding anew paragraph
4.3. inaccordance with the provisions ofthe Agreement, asset forth |n this First Amendment.
NOW THEFlEFC)F<E, for good and valuable consideration, the receipt and sufficiency of
which is hereby acknowledged, the parties henaho, intending to be legally bound, covenant and
agree buamend the Agreement asfollows:
(1) The Background F<euha|s are true and correct and honn a material port of this First
Amendment;
/2\ From and after the effective date of this First Amendment, paragraph 4.3 is added to the
Agreement anfollows:
4.3 Pursuant to the terms Cfthis Agreement, the County hereby extends the Initial
Tenn of this Agreement for a rnaxinnurn term of three (@) years ("Extension Term").
The Extension Term shall commence as of Aoh| T. 2007' subject to g sooner |
termination in accordance with the terms of this Agreemnont, and aho|| and on April
6, 2010. The County and the Consultant agree buwaive the Agreement provision of
ninety (SO)days prior notice ofintent toextend the Agreement.
/3\ All terms and conditions of the Agreement not amended herein remain in full force and
effect. |
IN WITNESS WHEREOF, the County and the Consultant have caused this First
Amendment to be signed by their respective duly authorized officers as of the day and year first
stated above.
