FIRST AMENDMENT TO CONTINUING CONTRACT
AGREEMENT FOR PROFESSIONAL SERVICES
This First Amendment to Continuing Contract4greement for Professional Services (°First
Amendment') is entered into effective as of April �� 2007, by and between INDIAN RIVER
COUNTY, a political subdivision of the State of Florida, 1840 2e Street, Vera Beach, FL 32960
("County') and KIMLEY-HORN AND ASSOCIATES, INC., 10521 SW Village Center Dr., Suite 103,
Port St. Lucie, FL 34987("Consultant).
BACKGROUND RECITALS
A. Effective April 6, 2004, the County and the Consultant entered into the Continuing Contract
Agreement for Professional Services(°Agreement°).
B. The County and the Consultant desire to amend the Agreement by adding a new paragraph
4.3, in accordance with the provisions of the Agreement,as set forth in this First Amendment.
NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of
which is hereby acknowledged, the parties hereto, intending to be legally bound, covenant and
agree to amend the Agreement as follows:
(1) The Background Recitals are true and correct and form a material part of this First
Amendment;
(2) From and after the effective date of this First Amendment, paragraph 4.3 is added to the
Agreement as follows:
4.3 Pursuant to the terms of this Agreement, the County hereby extends the Initial
Term of this Agreement for a maximum term of three (3) years (`Extension Term*).
The Extension Term shall commence as of April 7, 2007, subject to a sooner
termination In accordance with the terms of this Agreement, and shall end on April
6,2010. The County and the Consultant agree to waive the Agreement provision of
ninety(90)days prior notice of intent to extend the Agreement.
(3) All terms and conditions of the Agreement not amended herein remain in full force and
effect.
IN WITNESS WHEREOF, the County and the Consultant have caused this First
Amendment to be signed by their respective duly authorized officers as of the day and year first
stated above.
