FIRST AMENDMENT TO CONTINUING CONTRACT
AGREEMENT FOR PROFESSIONAL SERVICES
This First Amendment to Continuing Contr reement for Professional Services ("First
Amendment") is entered into effective as of �pn vr r. 2007, by and between INDIAN RIVER
COUNTY, a political subdivision of the State of FlorEa,1h 1840 25th Street, Vero Beach, FL 32960
("County") and MASTELLER & MOLER, INC., 1655 27 Street, Suite 2, Vero Beach, FL 32960
BACKGROUND RECITALS
A. Effective April 6. 2OO4, the County and the Consultant entered into the Continuing Contract
Agreement for Professional Services (^Aoneemment^).
B. The County and the Consultant desire to amend the Agreement by adding a new paragraph
4.3, in accordance with the provisions of the Agreement, as set forth in this First Amendment.
NOW THEFiEFC>RE, for good and valuable oonsidana1ion, the receipt and sufficiency of
which is hereby acknowledged, the parties henahz, intending to be legally bound, covenant and
agree 0oamend the Agreement msfollows:
(1) The Background F|edbm|s are true and oVrnaot and form a nlatehm| part of this First
Amendment;
/2> From and after the effective dabs of this First /bnendrnert. paragraph 4.3 is added to the
Agreement aafollows:
4.3 Pursuant to the terms of this Agreement, the County hereby
Tenn of this Agreement for o maximum term of three (3) years (''Extension Term").
The Extension Tmnn shall commence as of April 7. 2007. subject to a sooner
benninaUon in accordance with the banma nfthis Agreement, and shall end on April
6, 2010. The County and the Consultant agree bowaive the Agreement provision of
ninety(90) days prior notice ofintent toextend the Agreement.
(3) All terms and conditions of the Agreement not amended herein remain in hmU force and
effect.
IN WITNESS WHEREOF, the County and the Consultant have caused this First
Amendment to be signed by their respective duly authorized officers as of the day and year first
stated above.
