FIRST AMENDMENT TO CONTINUING CONTRACT
AGREEMENT FOR PROFESSIONAL SERVICES
This First Amendment to Continuing Co Services ("First
Amendment") is entered into effective as of April 07. and between INDIAN ]VER
COUNTY, o political subdivision of the State of F|o�dm. 1840 25m Streat, Vero Beach, FL 32960 |
("County") and NEEL-SCHAFFER, INC., 2800 Lake Lucien Driwa, Suite 117, Veno Beach, FL �
32960 ("Consultant').
BACKGROUND RECITALS
A. Effective April 0. 2OO4. the County and the Consultant entered into the Continuing Contract
Agreement for Professional Services /"Aonaemnent"l
B. The County and the Consultant desire boamend the Agreement bvadding anew paragraph
4.3, in accordance with the provisions of the Agreement, as set forth in this First Amendment.
NOW THEREFORE, for good and valuable conoidenabon, the receipt and sufficiency of
which is Uanwby acknowledged, the parties hereto, intending to be legally bound, covenant and
agree boamend the Agreement asfollows:
(1) The Background Recitals are true and correct and fVnn a rnabaho1 pad of this First
Amendment;
(2) From and after the effective date of this First Amendment, paragraph 4.3 is added to the
Agreement nofollows:
4.3 Pursuant tothe terms of this Agreement, the County hereby extends the Initial �
Term of this Agreement for n nnaxinnunM term of three /3\ years ("Extension Tarrn^).
The Extension Term ahmU commence as of Aoh| 7. 2007. subject to a sooner
termination in accordance with the terms of this AgneemneDt, and shall end on April
G. 2810. The County and the Consultant agree towaive the Agreement provision mf
ninety(8O)days prior notice ofintent toextend the Agreement.
(3) All terms and conditions of the AQmagnnent not amended herein remain in full force and
effect.
IN WITNESS WHEREOF, the County and the Consultant have caused this First
Amendment to be signed by their respective duly authorized ofUmana as of the day and year first
stated above.
