AGREEMENT BETWEEN SENIOR RESOURCES ASSOCIATION, INC.
AND VERO BEACH HOTEL AND SPA, INC.
THIS AGREEMENT entered into this ,2,t i day of June _ , 2015 by
and between the SENIOR RESOURCE ASSOCIATION, INC., -a Florida non-profit
corporation (SRA) whose address is 694 14th Street, Vero Beach, FL 32960, and
INDIAN RIVER COUNTY, a political subdivision of the State of Florida (County) whose
address is 1801 27th Street, Vero Beach, FL 32960, and the Kimpton Hotel and
Restaurant Group LLC , as agent for Vero Hotel management LLC DBA Vero Beach
Hotel and Spa, a Florida limited liability company (Vero Hotel) whose address is 3500
Ocean Drive, Vero Beach, FL 32963.
WITNESSETH:
WHEREAS, the SRA is the community transit provider for all of Indian River
County through its GoLine bus service (GoLine); and
WHEREAS, the GoLine is a fixed route bus service that provides transportation
to citizens and visitors throughout Indian River County operating 7 days a week; and
WHEREAS, there is a need to provide bus service along the beachside business
district on the County's barrier island to reduce traffic, parking problems and congestion
and;
WHEREAS, the beachside business district consists of roughly Ocean Drive,
Cardinal Drive and Eagle Drive together with the various side streets and thoroughfares,
from north of Riomar golf course to north of Jaycee Beach Park; and
WHEREAS, by the addition of bus service to the beachside business district,
problems with parking, congestion and traffic will be lessened; and
WHEREAS, the Vero Hotel seeks to assist in remedying the problems
associated with parking, traffic and congestion; and
WHEREAS, the goal of this Agreement is to provide 7 day -a -week, 12 hour -per -
day bus service along Ocean Drive and the rest of the beachside business district for
the benefit of the citizens and visitors to Indian River County; and
NOW THEREFORE, in consideration of mutual covenants of contained in this
agreement, the SRA and Vero Hotel agree as follows:

1. The SRA shall provide one fixed route of bus service to the beachside business
district including the following features:
a. SRA shall provide a fixed route service that shall run 7 days per week.
b. The daily duration of the service shall be 12 hours.
c. The route shall include a stop at the Vero Hotel.
d. The SRA shall be responsible for obtaining a long term parking area primarily
targeted to supply persons working in the beachside business district with a
place to park their autos and utilize the bus service as a shuttle (without deviating
from the route) to their place of employment. The long term parking area shall be
provided at the southeast end of Riverside Park in Vero Beach.
e. The bus provided for this route by SRA shall be a "wrapped" bus displaying
graphic advertising selected by the Vero Hotel and approved by the SRA.
f. The SRA shall be responsible for installation and "wrapping" of the bus at the
SRA's cost.
2. The fixed route bus service shall be for a term of one year with the opportunity for a
one year renewal. At least 120 days prior to the expiration of the one year term,
either party may give notice of their intention to extend the Agreement for an
additional one year period or terminate the agreement at the end of the one year
period.
3. The term of this Agreement shall be effective from July 1, 2015 through June 30,
2016.
4, In exchange for the wrapped bus graphics and advertising, Vero Hotel shall pay the
sum of $40,000 to the SRA within 10 days of the final signature on this Agreement.
Should the parties extend this Agreement for the additional year, the Vero Hotel
shall pay to the SRA $40,000 for the additional one year term of graphics and
advertising.
5. Aside from Vero Hotel graphics and advertising that will appear on the wrapped bus,
the SRA's GoLine name shall appear on the bus together with its slogan "Getting
You There", with the GoLine phone number and any required safety signage and
markings.
6. The Vero Hotel shall submit proposed graphics and advertising for the wrapped bus
to the SRA and the SRA shall approve of the proposals using its advertising
guidelines.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the day
and year first written above.
