BUYER/SELLER CLOSING AGREEMENT
The undersigned, being parties to that certain sale/purchase of the following
described land, to wit:
A portion of Lot 1, Block G, "DODGERTOWN SUBDIVISION", according
to the Plat thereof, as recorded in Plat Book 3, at Page 49, of
the Public Records of Indian River County, Florida; said land
lying in Section 33, Township 32 South, Range 39 East; being more
particularly described as follows:
Commence at the Southwest corner of said Lot 1, thence run North
00°00'00" East, along the West line of said Lot 1, a distance of
25.00 feet to a point on the proposed North right of way line of
26th Street for a point of beginning; thence continue North
00°00'00" East a distance of 95.70 feet to the Northwest corner
of said Lot 1; thence departing the West line of said Lot 1, run
North 89°30'00" East, along the North line of said Lot 1, a
distance of 130.40 feet to the Northeast corner of said Lot 1,
said point also lying on the West right of way line of 53rd
Avenue (70 foot wide right of way); thence departing said North
line run South 00°08'33" East, along the East lot line of said
Lot 1 and said West right of way line, a distance of 70.60 feet
to a point on the proposed North right of way line of 26th
Street; thence departing the East line of said Lot 1 and said
West right of way line, run South 44°39'14" West a distance of
35.48 feet; thence run South 89°27'00" West, along said proposed
North right of way line, said line being parallel with the
existing North right of way line of 26th Street, a distance of
105.64 feet to the point of beginning.
In consideration of the conducting by Treasure Coast Title Agency of Vero, Inc. a
Florida Corporation (as "closing agent") of a "closing" relative to subject
sale/purchase coincident to the issuance of a contract of title insurance the buyer's
title to said land; and in preparing any documents associated with said "closing",
including deeds of conveyance, closing statements, promissory notes, mortgages or
collateral documentation, or other documents normally coincident to a "closing" of
the type and nature contemplated by the transaction between the parties;
The buyer and seller (being the undersigned parties) agree, that in the event of any
innocent mistake or error in the preparation of any document associated with said
"closing", both or either of them will cooperate fully with the closing agent in
re -executing any such defective documents upon request by the closing agent; to
make adjustments in any monetary errors in the computation of costs and
expenses that appear (or should have appeared) on any closing statements
prepared by the closing agent; and to respond to any reasonable request by the
closing agent for re-execution or adjustment necessary in order to fully comply with
the contractual obligation of the parties between themselves; or to render title to
the land conveyed as the result of said "closing" to be marketable and insurable.
The parties further agree that any amounts of money due others for services
rendered in conjunction with subject "closing"(such as balances owed to existing
mortgages, loan costs associated with a new mortgage, survey, termite or roof
inspection fees, or other such costs or fees dues), not collected or paid for out of
closing funds, remain the responsibility of the contracting party to so pay, and the
collection and remittance of such fees, costs or indebtedness by the closing agent is
a courtesy service provided by the closing agent, with the contracting party
remaining liable for payment of such fees,. or shortages, not collected from the
obligated party coincident to the "closing".
The Buyers specifically agree that responsibility for unpaid real property taxes
and/or assessments commencing as of January 1st, 2015 not collected or prorated
coincident to closing, notwithstanding any error or omission on behalf of the closing
agent in reporting, collecting, or discovering same, shall remain the responsibility of
the Buyers.
Permits disclosure: Except as may have been disclosed by the Seller to Buyer in a
written disclosure, the Seller does not know of any improvements made to the
Property which were made without required permits or made pursuant to permits
which have not been property cleared. Buyer and Seller hereby understand and
agree to indemnify and hold Treasure Coast Title Agency of Vero, Inc. & First
American Title Insurance Company, harmless against any and all losses, claims,
damages, liabilities, and expenses, including, but not limited to, reasonable costs of
investigation, attorney's fees, court costs and other costs which may be imposed
upon or incurred by Treasure Coast Title Agency of Vero, Inc. & First American Title
Insurance Company, in connection with the performance of its duties in connection
with, including but not limited to, any open, open/expired, or any other permitting
issues for this transaction.
Buyer and Seller acknowledge that recording costs are estimated and may vary.
Treasure Coast Title Agency of Vero, Inc., is responsible for all additional recording
costs up to $10.00 and will retain overages up to $10.00 of estimated recording
costs. Overages above $10.00 will be refunded to the responsible party and
additional recording costs in excess of $10.00 will be billed to the responsible party.

on the Property
10. That there are no existing contracts for sale, options to purchase or unrecorded deeds or mortgages existing
against the Property
11. That taxes upon the Property, both state and county, real and personal, if any, for the year 2015 and prior
years have been paid in full.
12. That there are no unpaid utility hook-up or periodic use charges applicable to the Property
13. That there are no violations of zoning ordinances applicable to the Property.
14. That the Property is not encumbered by the lien of any judgment, writ or attachment, income tax or intangible
property tax made or suffered by the Corporation.
15. That the undersigned makes this Affidavit for the purpose of inducing
TREASURE COAST TITLE AGENCY OF VERO, INC.
as agents for First American Title Insurance Company
("Title Company"), to issue title insurance on the Property and for the benefit of
Bamaric of V.B., LLC, a Florida Limited Liability Company
16. That the undersigned does hereby agree to indemnify and hold the Title Company harmless of and from all loss,
cost, damage and expense of every kind, including reasonable attorney's fees, which the Title Company shall sustain
or become liable for under its policy now to be issued on account of reliance on the statements made herein, including but not
