HomeMy WebLinkAbout2003-085 AGREEMENT THIS AGREEMENT made and entered into this 9th day of April ,2003 , by and between G gS Ninety Five South, Inc 6767 N. Wickham Road Melbourne Florida 32940, hereinafter called the CONTRACTOR and INDIAN RIVER COUNTY herein called the OWNER. WITNESSED : That whereas, the OWNER and the CONTRACTOR for the consideration hereinafter named, agree as set forth below: Article 1 . SCOPE OF WORK Scope of work as attached and titled : Scope of Work Janitorial Services Indian River County Administration Building and Purchasing Warehouse CONTRACTOR, as an independent CONTRACTOR and not as an employee, shall furnish, for the sum of Eighty Two Thousand Nine Hundred Twenty Eight Dollars and Sixteen Cents ($,82 ,, 928 . 16), all of the necessary labor, material, and equipment to perform the work described in accordance with the Contract Documents . Payment shall be made to the Contractor on a monthly basis in arrears for services rendered for said month as invoiced . Monthly payment schedule shall be $6910 . 68 . The period form April 11 , 2003 through April 30, 2003 shall be invoiced at $4397 . 69 ( 14 days @ $314 . 12 per day) . The list of Facilities receiving service may be changed , either to add or delete, subject to the OWNERS needs by addendum to this agreement. Article 2 . TERM OF CONTRACT : This contract shall be in effect for a period from April 11 , 2003 though April 30, 2004 . Article 3 . TERMINATION CLAUSE The OWNER reserves the right to terminate the contract at any time, with or without cause, upon thirty days advance written notice to the CONTRACTOR. If the CONTRACTOR is adjudged bankrupt, either voluntary or involuntary, the OWNER may terminate the contract effective on the day and time the bankruptcy partition is filed and may proceed to provide service as previously outlined . Article 4 . GENERAL The CONTRACTOR hereby certifies that he has read every clause of the Contract Documents and that he has made such examination of the location of the proposed work as is necessary to understand fully the nature of the obligation herein made; and shall complete the same the time limit specified herein in accordance with the scope of services. Page 1 of 3 All work under this Contract shall be done to the satisfaction of the OWNER, who shall in all cases determine the amount, quality, fitness, and acceptability of the several kinds of work and materials which are to be paid for hereunder, and shall decide all questions which may arise as to fulfillment of the Contract on the part of the CONTRACTOR, and his decision thereon shall be final and conclusive; and such determination and decision, in case any question shall arise, shall be a condition precedent to the right of the CONTRACTOR to receive any money hereunder. Any clause or section of this contract or specification which may for any reason be declared invalid, may be eliminated therefrom; and the intent of this Contract and the remaining portion thereof will remain in full force and effect as though such invalid clause or section has not been incorporated therein . Article 5 . DISCLAIMER The CONTRACTOR agrees to indemnify and hold Indian River County harmless from any claim , demand, suit, loss, cost, expense, including death, sustained by any person whomsoever and which damage, injury or death arises out of or is incident to, or in any way connected with the performance of the agreement . Article 6 . THE CONTRACT DOCUMENTS The Attached Scope of Services (Scope of Services Janitorial Services Indian River County Administration Building) Insurance Requirements (Exhibit A ) , together with this agreement are herein acknowledged as though they were set forth at length herein . T D Risk Mgr. �_ EXHIBIT A 1 . 0 INSURANCE : INSURANCE REQUIREMENTS 1 . 1 OWNERS and SUBCONTRACTORS Insurance: The CONTRACTOR shall not commence work until he has obtained all the insurance required under this section, and until such insurance has been approved by the OWNER, nor shall the CONTRACTOR allow any SUBCONTRACTOR to commence work until the SUBCONTRACTOR has obtained the insurance required for a CONTRACTOR herein and such insurance has been approved unless the SUBCONTRACTOR' s work is covered by the protections afforded by the CONTRACTOR' s insurance. 1. 2 Workers ' Compensation Insurance: The CONTRACTOR shall procure and maintain worker's compensation insurance to the extent required by law for all his employees to be engaged in work under this contract . In case any employees are to be engaged in hazardous work under this contract and are not protected under the worker's compensation statute, the CONTRACTOR shall provide adequate coverage for the protection of such employees . 1 . 3 Public Liability Insurance: The CONTRACTOR shall procure and shall maintain broad form commercial general liability insurance (including contractual coverage) and commercial automobile liability insurance in amounts not less than shown below. The OWNER shall be an additional named insured on this insurance with respect to all claims arising out of the operations or work to be performed . Such certificate or an endorsement provided by the CONTRACTOR must state that the OWNER will be given thirty (30) days written notice prior to cancellation or material change in coverage. Copies of an endorsement- naming OWNER as Additional Name Insured must accompany the Certificate of Insurance .
