THIS LEASE AMENDMENT ( " Lease Amendment" ) bearing an effective date of 23rd
day of September, 2003 by and between the BOARD OF COUNTY COMMISSIONERS
OF INDIAN RIVER COUNTY, FLORIDA ( " Landlord" ) and the ECONOMIC
OPPORTUNITIES COUNCIL OF INDIAN RIVER COUNTY, INC . , a corporation existing
under the law of the State of Florida (" Tenant" ) .
BACKGOURND RECITALS
A. On January 8 , 1986 , Landlord (as Lessor) and Tenant ( as Lessee ) entered into a
Lease (" 1986 Lease" ) for certain land in Indian River County known as the " Old Douglass
School " .
B . Landlord and Tenant desire to amend the 1986 Lease: i ) to " drop-out" certain land
from the Leasehold estate , and ii ) to reflect shared uses of certain areas .
NOW THEREFORE , for good and valuable consideration the receipt of which is
hereby acknowledged , and intending to be legally bound , the parties agree a follows :
1 . The background recitals are true and correct and form a material part of this
Lease Amendment .
2 . From and after the effective date of this Lease Amendment , the parties
acknowledge and agree that the legal description set forth in the 1986 Lease is modified in
its entirety and is replaced with its legal description and sketch set forth on Exhibit
A
attached hereto and by this reference incorporated herein in its entirety .
3 . From and after the effective date of this Lease Amendment , the parties
acknowledge and agree that the leasehold estate under the 1986 Lease is modified in its
entirety.
4 . From and after the effective date of this Lease Amendment , the parties
acknowledge and agree that Landlord has granted to the West Wabasso Progressive Civic
Club , Inc. (" Civic Club" ) and the Dasie Bridgewater Hope Center, Inc. ( " Dasie Hope" ) ,
pursuant to that certain Cooperative Facility Use Lease Agreement, the following general
uses and rights, all of which shall be non-exclusive on the site generally known as the Old
Douglass Elementary School Site : the general use , in common with others , of certain
portions of the Old Douglass Elementary School Site , including all necessary roadways ,
sidewalks , and parking facilities connected to the Old Douglass School Cafeteria Building ,
all as more specifically depicted on Exhibit " B" attached hereto and by this reference
incorporated herein in its entirety.
5 . From and after the effective date of this Lease Amendment , the parties
acknowledge and agree that the right to use the basketball court , as more specifically
depicted on Exhibit " B" , is granted by Landlord on a cooperative basis to Civic Club , Dasie
Hope , the Indian River County Recreation Department , and Tenant.
6 . All terms and conditions of this 1986 Lease not amended herein shall remain
in full force and effect for the remainder of the term of the 1986 lease .
IN WITNESS WHEREOF , Landlord and Tenant have caused this Lease
Amendment to be signed by their duly authorized officers as of the day and year first
stated above .
