Grantor ; and
INDIAN RIVER COUNTY , FLORIDA , a political subdivision of the State of Florida

Whenever used herein the terms Grantor and Grantee include all parties to
this instrument and their heirs , legal representatives , successors and assigns .
Grantor, for and in consideration of the sum of One Dollar ( $ 1 . 00) and other
consideration , receipt of which is hereby acknowledged , does hereby grant , bargain , sell ,
alien , remise , release , convey , and confirm unto the Grantee a perpetual non -exclusive
easement and right-of-way for SR 510 drainage purposes , including without limitation the
purpose of installing , replacing , repairing and maintaining drainage facilities on , over, across
and beneath the land described in ExhibitA attached hereto and made a part hereof, situate
in Indian River County , Florida (the " Easement Premises" ) .
The Grantor hereby reserves unto themselves , their heirs successors and assigns ,
the right and option to develop all or part of the Easement Premises so that the Easement
Premises may be used by Grantor , and its successors and assigns , for drainage purposes
for the real property owned by Grantor and described in Exhibit B , with the understanding
that the Exhibit B Property may be developed for private use with the Easement described
herein . In such event , the Grantor shall grant to Grantee an additional non -exclusive
Drainage Easement from the Exhibit B property (the " New Easement' ) so that the New
Easement and this Easement shall be used for the drainage purposes set forth herein and

Easement will be modified to reflect the joint use of this Easement and the New Easement
for the joint drainage purposes , with the parties agreeing to share in the cost of the final
development of the expanded Drainage Easement , and its future maintenance , on a prorata
basis , based on square footage of the real property described in Exhibit A (the " Grantee ' s
Share" ) and the square footage of the real property described in the New Easement (the
" Grantor' s Share " ) ,
And Grantor hereby covenants with said Grantee that it is lawfully seized of the
Easement Premises in fee simple , and that it has good right and lawful authority to convey
the Easement Premises established hereby and will defend the same against the lawful
claims of all persons claiming by , through , or under the said Grantor .
