AMENDMENT NO . 10 TO THE PROFESSIONAL C
ENGINEERING SERVICES AGREEMENT
6611 AVENUE PAVING AND DRAINAGE IMPROVEMENTS
BETWEEN SR 60 AND 4TH STREET
IRC PROJECT NO . 9810
THIS is an amendment to the existing AGREEMENT dated NOVEMBER 17 , 1998 , including
AMENDMENTS NUMBER 1 through 9 , between CARTER ASSOCIATES , INC . (ENGINEER) and
INDIAN RIVER COUNTY ( COUNTY ) . The proposed scope of work includes updating the existing survey
data on 66t" Avenue and adjacent side streets , locating existing utility pipelines , designing additional
stormwater management facilities , and permitting the Phase 2 improvements . All provisions of the original
Professional Engineering Services Agreement including Amendment Nos . 1 through 9 shall remain in full
force and effect, unless otherwise specifically modified . This amendment addresses changes in " SCOPE OF
SERVICES " , " COMPENSATION " and "TIME OF COMPLETION " of the AGREEMENT .
SCOPE OF SERVICES
See attached letter from Carter Associates , Inc . dated October 10 , 2008 , which specifies changes in the
" SCOPE OF SERVICES " and " COMPENSATION" and " TIME FOR COMPLETION . "
COMPENSATION
This section of the AGREEMENT entitled SECTION V - COMPENSATION shall be revised in
response to the Scope modifications set out herein . The charges associated with this AMENDMENT NO . 9
are as follows :
Fees for Engineering Services : Lump Sum Amount $ 73 , 980 . 00
Reimbursable Costs Not to Exceed Amount $ 600 . 00
TOTAL Amendment No . 10 $ 744580 . 00
The charges associated with the AGREEMENT (which include changes from Amendments 1 through 9 and
these additional services included in proposed Amendment 9) , shall be increased from $ 482 , 685 . 00 to
$ 557 ,265 . 00 .

The AGREEMENT is hereby amended as specifically set forth herein . All sections of the
AGREEMENT shall remain in full force and effect , and are incorporated herein . This Amendment No . 10 to
the AGREEMENT , regardless of where executed , shall be governed by and construed by the laws of the
State of Florida .
TIME OF COMPLETION
Carter Associates , Inc . shall have 90 calendar days from their receipt of a written Notice to Proceed to
submit revised plans for review and 30 calendar days additional to submit final plans .

Dear Chris :
We are pleased to present this proposed amendment for additional professional engineering services relative
to land surveying, locating existing utilities , and additional design, permitting and construction
administration services required for the phase 2 portion of the 66th Avenue paving and drainage
improvements project (40' Street to 16"' Street) . The proposed scope of work generally includes updating the
existing survey data on 66"' Ave and the adjacent side streets , conducting new boundary and topographic
surveying along 4 "' Street, locating existing utility pipelines , designing additional stormwater management
facilities to provide drainage improvements for an existing paved portion of 4th Street in compensation for
uncollected drainage basins within the project area, and permitting the phase 2 improvements . All provisions
of the original Professional Engineering Services Agreement (dated November 17 , 1998) ; including
Amendment Nos . 1 through 9 , shall remain in full force and effect, unless otherwise specifically modified
herein . A man -hour fee estimate is attached as Exhibit "A" for your use . The following further- describes our
proposed scope of services and terms of agreement between Carter Associates , Inc . (Engineer) and Indian
River County (County) :
Survey :
• Convert the existing County provided topographic survey information and supplemental topography
performed by CAI that has been collected over the last 10 -plus years into a base electronic
topographic survey drawing .
• Verify and update the project control survey . Identify and record any GPS or NGS horizontal and
vertical control along the route .
• Update the topographic survey with field verification of existing man-made improvements and limits
of vegetation along the project route on 66"' Avenue and 4"', 8 " , and 12" Streets .
• Extend the topographic survey to encompass new project areas within and abutting the 4"' Street
ROW west of 66th Ave to 74th Ave , including a 3f acre proposed stormwater pond site .
• Provide a legal sketch and description for acquisition of the proposed pond site .

EXHIBITA
• Locate " specimen" trees within the limits of construction for use in preparing a tree mitigation plan .
Utility Locates .
• Engineer has identified 22 potential conflicts with existing utility lines (water mains) and proposed
stormwater pipes . In order to design appropriate resolutions to these conflicts , the exact locations
(horizontal and vertical) of the existing utility lines must be determined .
• Engineer will locate and expose the existing utility lines (water mains) at 22 potential conflict points .
• Engineer will survey the exact locations of the existing utility lines at those points .
• Engineer will import the new survey data into the project drawing file for analysis with the proposed
stormwater system .
• Engineer will incorporate appropriate design solutions into the project plans as part of the basic
scope of services provided by the original Professional Engineering Services Agreement .
Drainage Design and Pertnitting :
• Engineer will coordinate with County staff to select existing , unpermitted , paved roadway
segment(s) to provide compensating treatment volume for the portions of the proposed 4"' Street and
12 "' Street improvements that directly discharge to IRFWCD sub -lateral canals .
• Engineer will design new drainage system( s) to provide treatment and attenuation of stormwater
runoff for the selected existing paved roadway segment( s) .
• Engineer will design the new drainage system(s) to meet current SJRWMD rules .
• Engineer will prepare new plan elements , including control sheets , plan and profile sheets , cross -
sections , and drainage structure details .
• Engineer will revise existing plan elements including drainage structures table and tabulation of
quantities , accordingly .
• Engineer will prepare a revised Stormwater Management Calculations Report which will contain
detailed calculations and stormwater computer models based on the additional drainage basin areas
and conveyance systems .
• Engineer will prepare and submit permit applications for new SJRWMD and IRFWCD permits .
Deliverables :
Deliverables to Indian River County shall include an updated topographic survey of the project area , a legal
sketch and description of the new pond site , a 90% design submittal and a 100% final submittal . The 90%
design plans will include copies of the permit application forms and exhibits , as submitted to the permitting
agencies . Upon. receipt of the permits and of the County ' s final review comments , the Engineer will prepare
and submit the 100% final plans for use in bidding and construction of the project. Engineer will provide
three signed and sealed 8 . 5 "x ] 4 " sets of the legal sketch and description for acquisition purposes . Engineer
will provide one 11 "x17 " set of the updated topographic survey and an electronic copy in AutoCAD 2009
format . Engineer will provide one 11 "x17 " set of each of the design plans . The Engineer will provide an
electronic copy in AutoCAD 2009 format with the 100% design submittal .
Assumptions :
In developing this proposal , the following assumptions have been made and deviation from these
assumptions may require additional expenditures on behalf of the County to the Engineer :
• The County will acquire a 3facre pond site along the north side of 4t" Street, between 66t" Ave and
74"' Ave , which is suitable for a stand-alone wet detention stormwater management system to collect
and treat runoff from a sufficient portion of 4th Street to compensate for the uncollected drainage
basins within the current project area .

• The County will hire an independent firm to provide soil boring and/or other geotechnical soil testing
data that may be needed for the added stormwater management system(s) . Coordination with the
County ' s geotechnical firm is included in the Engineer ' s scope of services .

The County will provide checks to pay all permit fees directly to the permitting agencies .
Compensation •
Amendment No . 10 fees will be invoiced on a percent complete , lump sum or time & materials basis , as
shown below . The total amount to be billed shall not exceed $74, 580 .00 unless authorized by an additional
written agreement, as follows :

Time for Completion :
The Engineer shall complete the legal sketch and description, the utility locates , and the topographic
surveying within 120 calendar days of receipt of a written Notice to Proceed . The Engineer shall complete
the 90% design plans , and permit applications within 90 calendar days after completion of the surveying and
utility locates . The Engineer shall complete the 100% final plans within 60 calendar days after receipt of
review comments from the County , SJRWMD and IRFWCD .
Duration of Agreement :
The duration of the Agreement shall be extended to remain in full force and effect for a period of three years
after the date of execution of this Amendment .
