FOR CR 512 PAVING & DRAINAGE IMPROVEMENTS INDIAN RIVER COUNTY PROJECT #9611 COUNTY ROUTE 512 CORRIDOR IMPROVEMENTS ROSELAND ROAD TO I45 INDIAN RIVER COUNTY, FL Indian River County staff has diligently attempted to secure right-of--way from various property owners along County Route 512 for construction of "Four-lane Roadway Improvements" between Roseland Road and Interstate-95 based on the original Project design. As a result of difficulties experienced with the right-of-way acquisition process, the County has made a decision to realign portion of the proposed roadway improvements . Under this Addendum, this project will remain to be constructed in two (2) separate phases; designated as Phase III and Phase IV. The length of the phases will be altered slightly under this Addendum such that the phases will be defined as follows : Phase III will extend westward from Roseland Road to approximately the east line of the Sebastian River Middle School and includes the proposed bridge improvements over the St. Sebastian River. Phase III also includes performance of wetland mitigation to support wetland impacts in both Phases III and IV. The total length of the Phase III project is approximately 2 . 14 miles . Phase IV extends westward from approximately the east line of the Sebastian Middle School to the Interstate-95 vicinity. The total length of the Phase IV project is approximately 1 . 60 miles. The Phases overlap and thus the total length of Phase III and Phase IV is approximately 3 . 5 miles . As a result of the proposed change to the alignment of the County Route 512 Four-lane Roadway Improvements, the following segments of the four-lane roadway construction will change : Phase III — Station 113 +00 to Station 264+00 (31400 ft) Phase IV — Station 64+00 to Station 124+00 (6, 000 ft) (Note : The design length to be modified for Phase III does not correlate mathematically to the difference between stations as a result of the original design containing a station equation) . In order that the project design and issued permits may be modified as outlined above, we will perform the following "Additional Services" : Addendum #8 Rev. 04/07/05 Page 2 of 6 L ADDITIONAL SERVICES IN CONNECTION WITH THE FOLLOWING CONSTRUCTION PLAN PREPARATION SERVICES : Task A — Soils_ Investigation: Environmental Assessment and Land Surveying Updates Additional soils investigation; environmental assessments ; and land surveying shall be completed along the portion of the Project where the proposed alignment of the roadway will be modified from its original design as depicted on "Overall Exhibit of Proposed Right-of-way- County Route 512" printed August 2, 2004 provided to Masteller & Moler, Inc . by Christopher J. Kafer, Jr. P . E. , Indian River County Engineer. Soils Investigation : A Soils Investigation will be completed to support the new roadway alignment consisting of the following Scope of Services : Field Services Mobilization Auger Borings (20) @ 6 ' deep Muck Probing 2 Man Crew — One Day Laboratory Services 1 . Sewer Analysis (8) 2 . Moisture Content (8) 3 . Organic Content Soils Report — The Results of the field investigations and laboratory services will be compiled within a Soils Report for use in design of the Project Roadway Improvments . Environmental Assessment : The Environmental Assessment shall include the scope of services as described in the attached Sub-consultant proposal from Environmental Services, Inc . (ESI) September 23 , 2004 ; Tasks 1 -5 . Land Surveying : The Land Surveying shall be performed by Masteller, Moler & Reed, Inc. and provided to us by Indian River County. The fee for surveying services is not included in this proposal . The surveying services should include an updated route survey between approximately Station 64+00 (Phase IV) and Station 264+00 (Phase III) to support the new roadway alignment . Additional wetlands flagged by the project ' s Environmental Consultant under this Addendum should be field located as part of this scope. In addition, soil borings obtained under this Addendum should be field located both horizontally and vertically as part of this scope. This Addendum includes preparation of a modified Stormwater Management Report to support the modified roadway Construction Plans. The proposed modified roadway alignment will require a new stormwater management analysis for previously designed post-development stormwater basins A, B & C only. (No modification to the previously design post-development stormwater basins D & E is included in this addendum) . The Stormwater Management Report shall be designed to demonstrate that the modified stormwater improvements will provide for treatment and attenuation of storm runoff in conformance with St . Johns River Water Management District (SJRWMD) rules and regulations . Utilizing the updated wetland jurisdictional line information, we shall develop a new summary of proposed wetlands impacts based on the new alignment . Utilizing the updated summary, we shall modify the original wetland mitigation design. The modified design of the Wetland Mitigation Plans shall be a refinement of the original design based on the updated wetlands impact summary. Mitigation Plans will again be included only within the Phase III Contract Plans, but will provide mitigation for wetland impacts for both Phases III and IV of the CR 512 Roadway Improvements project . (This proposal does not include substantial changes to the original wetland mitigation design concepts. Wetland mitigation will be provided based on the original conservation easement proposed on the Lake E Site and work proposed within the St . Sebastian River Preserve. ) This Task also includes the scope of services as described in the attached Sub-consultant proposal from Environmental Services, Inc . (ESI) dated September 23 , 2004, Task 8 . We propose to perform the Scope of Services outlined under Task B for the following lump sum fees : Stormwater Management Report (MM) . . . . . . . . . . . . . . . . . . . . . . . $ 14, 500. 00 Wetland Mitigation Planning (ESI Task 8) . . $ 27300. 00 Wetland Mitigation Design Coordination (MM) $ 21000. 00 Task C - Phase III Construction Plans Modifications Construction Plans and Specifications shall be amended to reduce the length of the Phase III of the four (4) lane roadway design from approximately Station 113 +00 to Station 259+00 as depicted on "Overall Exhibit of Proposed Right-of--way-County Route 512" printed August 2, 2004 provided to Masteller & Moler, Inc . by Christopher J. Kafer, Jr. P .E . , Indian River County Engineer. The Plans shall be amended to incorporate a raised median to allow the County to install landscaping along the CR 512 corridor between the eastbound and westbound lanes. • Addendum #8 Rev. 04/07/05 Page 4 of 6 This addendum includes making design revisions to the Lake C stormwater lake (on its original site) based on the updated stormwater management report . In order to complete the design modifications, we shall revise the Construction Plans including Plan & Profile Views, Cross-sections, Summary of Quantities, Stormwater Lake Plans, Utility Alignment Plans and Wetland Mitigation Plans . We propose to perform the Scope of Services outlined under Task C for the following lump sum fees : Construction Plan Modifications (Phase III) . . . . . . . . . . . . . . . . . . . . . . . $ 28, 650 . 00 Task D — Phase IV Construction Plans Modifications Construction Plans and Specifications shall be amended to increase the length of Phase IV from approximately Station 113 +00 to Station 259+00 as depicted on "Overall Exhibit of Proposed Right-of-way-County Route 512" printed August 2, 2004 provided to Masteller & Moler, Inc. by Christopher J. Kafer, Jr. P .E . , Indian River County Engineer. Furthermore, Construction Plans and Specifications shall be amended to incorporate modifications to the alignment of the four (4) lane roadway design from approximately Station 113 +00 to Station 264+00 as depicted on "Overall Exhibit of Proposed Right-of-way-County Route 512" printed August 2, 2004 provided to Masteller & Moler, Inc. by Christopher J. Kafer, Jr. P .E . , Indian River County Engineer. The Plans shall be amended to incorporate a curbed median to allow the County to install landscaping along the CR 512 corridor between the eastbound and westbound lanes . In addition, the Construction Plans shall be expanded to include an eastbound left turn lane at 108'" Avenue . This Addendum includes making design revisions to the Lake A & B stormwater lakes on their respective original sites . In order to complete the design modifications, we shall revise the Construction Plans including Plan & Profile Views, Cross-sections, Summary of Quantities, Intersection Plans (Middle School & 102 Terrace), Stormwater Lakes A & B Plans, and Utility Alignment Plans . We propose to perform the Scope of Services outlined under Task D for the following lump sum fees : Construction Plan Modifications (Phase IV) . . . . . . . . . . . . . . . . . . . $ 861000 . 00 • Addendum #8 Rev. 04/07/05 Page 5 of 6 Task E — Landscaue & Irdeation Plan Modifications This Task includes the scope of services as described in attached Sub-consultant proposal from Brad Smith Associates, Inc . Landscape & Irrigation Plans Modifications Fee $ 137156. 00 Task F = Permit Modifications Modifications to the St. Johns River Water Management District ( SJRWMD) Environmental Resource Permit (ERP) and an Army Corps of Engineers (ACOE) permit will need to be obtained prior to commencement of Phase III and IV construction activities . Once final alignment has been approved by Indian River County Engineering, ESI will assist the project engineer with the preparation of the environmental section of the ERP application for submittal to SJRWMD . This task will include the preparation of six (6) copies of supplemental materials and one ( 1 ) electronic copy. Two requests for additional information will be prepared as part of this Task. Note : it is assumed that mitigation previously negotiated as part of the original permit and application can be used for this modification. ESI will prepare a separate ERP application specific to CE wetland impacts associated with the bridge at Sebastian Creek. Separate dredge/fill drawings will be prepared for this application as well as preparation of CE ' s Public Notice and Statement of Findings. This Addendum includes making application for modifications to the previously issued SJRWMD ERP and an ACOE permit for the overall Project . We propose to perform the Scope of Services outlined under Task E for the following lump sum fees : SJRWMD Environmental Resource Permit Stormwater Permitting (M&M) . $ 141500 . 00 Environmental Permitting. . (M&M/ESI) $ 6, 900 . 00 Army Corps of Engineers Permit (M&M/ESI) $ 7, 300 . 00 Florida DOT Permit (Left Turn Lane at 108'' Avenue) $ 3 , 500 . 00 In order to complete the above-described modifications to the four (4) lane roadway alignment, we will need to be provided with the County ' s completed alignment modifications in digital format in Autocadd . Addendum #8 Rev. 04/07/05 Page 6 of 6 Schedule Phase III Schedules for Planning and Permitting A. 90% Complete — (60) working days from our receipt of your notice to proceed plus time frame for our receipt of your final comments . B . 100% Complete — (30) working days plus time frame for our receipt of your final comments . Phase IV Schedules for Planning and Permitting A. 90% Complete — ( 120) working days after your notice to proceed plus time frame for our receipt of your final comments . B . 100% Complete — (30) working days plus time frame for our receipt of your final comments and SJRWMD / ACOE permit modifications . We will complete the above described Scope of Services in a diligent manner after our receipt of written authorization to proceed from Indian River County. CERTIFY, CERTIFICATION : A design Professional ' s opinion based on his or her observation of conditions , knowledge , information and beliefs . It is expressly understood that the Design Professional ' s certification of a condition ' s existence relieves no other party of any responsibility or obligation he or she has accepted by contract or custom . ESTIMATE : An opinion of probable construction cost made by the Design Professional . The accuracy of a probable construction cost opinion cannot be guaranteed . INSPECT, INSPECTION : The visual observation of construction to permit the Design Professional to render his or her professional opinion as to whether the contractor is performing the Work in a manner indicating that, when completed , the work will be in accordance with the Contract Documents . Such observations shall not be relied upon by any party as acceptance of the Work, nor shall they relieve any party from fulfillment of customary and contractual responsibilities and obligations . PROJECT NAME AND LOCATION : County Road 512 Landscape Revisions Bidding & Construction Phase Services SCOPE/SERVICES: FINAL DESIGN PHASE REVISIONS : Revise the landscape and irrigation construction drawings completed in November 1999 , using new base map information provided by the Client in DWG format . Pond E landscape and irrigation design shall be included . Agreement - 1 Prepare final opinion of probable construction costs for landscape and irrigation improvements , based on the revised drawings . Opinion of probable construction costs shall be based on quantities and anticipated unit prices for units of work as indicated on the final construction drawings . Landscape components shall include plant material itemized by number and type of individual species . Irrigation components shall not be broken down beyond the following : 1 . Number of heads by type 2 . Number of valves by size 3 . Feet of mainline 4 . Number and type of pumping stations Brad Smith Associates , Inc . has no control over costs or the price of labor, equipment or materials , or over the Contractor ' s method of pricing . Our opinions of probable construction costs are made on the basis of experience and represent our best judgment as design professionals familiar with the market conditions . The firm makes no warranty , expressed or implied , that bids or actual costs will not vary from our opinions of probable cost. If the Owner desires greater assurances as to the construction cost , we recommend the employment of an independent cost estimator. Submit a 90 % complete set of drawings , specifications , and bid forms for Client and County review . Prepare 100 % complete set of drawings , specifications , and bid forms , incorporating review comments received from the 90 % design review . CONSTRUCTION REVIEW: The Client recognizes that construction review is a vital element of a Landscape Architect ' s complete service , provided to minimize problems during construction . Should the Client for any reason not retain the Landscape Architect to review construction , the Client waives any claim against the Landscape Architect , and agrees to indemnify , defend and hold the Landscape Architect harmless from any claim or liability for injury or loss arising from problems during construction that allegedly result from findings , conclusions , recommendations , plans or specifications developed by the Landscape Architect , MEETINGS : 1 . One meeting with Client to review 90 % complete landscape drawings , opinion of probable landscape construction costs ; to receive review comments , and authorization to proceed with final landscape construction drawings . It is anticipated that this number of meetings will be adequate for the project ; however, if additional meetings are required , the cost will be considered as additional services to be billed on an hourly basis . FEE ARRANGEMENT: The Client agrees to pay the Consultant for professional services as follows : A lump sum of Eleven Thousand Four Hundred Forty Dollars ($ 11 , 440 . 00) , according to the following schedule of values : Agreement - 2 w Design Revisions $ 11 , 440 . 00 ADDITIONAL SERVICES: Additional services may include , but not be limited to the following items : 1 . Making revisions in drawings , specifications , or other documents when such revisions are inconsistent with written approvals or instructions previously given , and are due to causes beyond the control of the Consultant . 2 . Providing services other than the normal professional services required for landscape approval of the project. 3 . Design and/or construction drawings for " hardscape " improvements not specified under SCOPE/SERVICES . 4 . Electrical engineering services . 5 . Site visits other than those defined in SCOPE/SERVICES , for the purpose of approving the Contractor ' s requests for payment . 6 . Prepare proposal requests , change orders to the contract for construction , and perform other such contract administration functions . 7 . Fees for Additional meetings and site visits , if required by the Client shall be as follows : A. Additional Review Meetings : $400 . 00 ea . B . Additional Site Visits during the construction phase : $425 . 00 ea . SPECIFIC ASSUMPTIONS: Consultant represents to the Client that in developing this Scope of Work, assumptions have been made , and that deviation from assumptions identified within this proposal may require additional expenditures on behalf of the Client to the Consultant. Assumptions not already mentioned herein are as follows : 1 . Client will provide all necessary base information (in . DWG format) . 2 . Site electrical engineering will be provided by the Client. 3 . No landscape or irrigation design work is included in the CR 512 medians . County will be responsible for improvements in the medians . 4 . Client will appoint a project manager to serve as the Client' s Representative , providing a single point of contact for all Consultant communications , and fully authorized to provide the Consultant with approvals , review comments , and the like . (the Consultant) shall perform the services outlined in this agreement for the stated fee arrangement. No prior or present agreements or representations shall be binding upon any of the parties hereto unless incorporated in this agreement. Modifications or changes in this agreement must be in writing and executed by the parties bound to this agreement. This agreement is not transferable by either signatory to a third party without the consent of the other principal parts. Access to Site. Unless otherwise stated, the Consultant will have access to the site for activities necessary for the performance of services. The Consultant will take precautions to minimize damage due to these activities, but have not included in the fee the cost of restoration of any resulting damage . Fee: The total fee, as stated in the Agreement, shall be either a fixed fee or, if indicated as an hourly fee arrangement, shall be understood to be an estimate which shall not be exceeded by more than ten percent (10%) without written approval of the Client. Where the fee arrangement is to be on an hourly basis, the rates shall be those that prevail at the time services are rendered. Invoicing: Invoices for the Brad Smith Associates, Inc. 's services shall be submitted by e- mail at the Consultant's option either upon completion of such services or on a monthly basis. All invoices shall be paid in full and received at the Consultant's office 20 days after the invoice date. Discount Credit: Brad Smith Associates, Inc. extends a 2% DISCOUNT CREDIT on all "professional service fees" paid in full and received at the Consultant's office, 10 days after the invoice date. Finance Charge: Your finance charge is computed by a single periodic rate of 1 . 5% per month (minimum charge of $1 .00), which is an annual percentage rate of 18% and may be computed on all past due balances. Past Due Payments: A late payment fee of $25.00 may be applied to payments received after the invoice due date in addition to the finance charge. Retainer Payments: Retainer payments shall be credited against the final invoice. In the event the Client has paid a retainer to the Consultant, and services have been suspended because of nonpayment, the Consultant shall be entitled to apply the retainer to cover any sums due from the Client up to the date of suspension. Prior to resuming services after such suspension, the Client shall remit to the Consultant sufficient funds to replenish the retainer to its full prior amount. Reimbursable Expenses: In addition to the summarized fees, Brad Smith Associates, Inc. will be paid for all reimbursable expenses including: reproduction and duplication of documents, mileage, postage, telecommunications, subcontractor expenses, and other out-of-pocket expenses. An administrative handling fee of 15% will be added for all reimbursable expenses. Additional Services, If, during the progress of the development of plans or construction, the Client requests the Consultant to perform additional services other than those defined in the Agreement, payment for such work shall be negotiated prior to commencement of the work based on the prevailing hourly rates. Suspension of Services: If the Client fails to make payments when due or otherwise is in breach of this Agreement, the Consultant may suspend performance of services upon 5 calendar days notice to the Client. The Consultant shall have no liability whatsoever to the Client for any costs or damages as a result of such suspension caused by any breach of this Agreement by the Client. Upon payment in full by the Client, the Consultant shall resume services under this Agreement, and the time schedule and compensation shall be equitably adjusted to compensate for the period of suspension, plus any other reasonable time and expense necessary for the Consultant to resume performance (remobilization costs). Termination of Services, If the Client fails to make payment to the Consultant in accordance with the payment terms herein, this shall constitute a material breach of this Agreement and shall be cause for termination of this Agreement by the Consultant. This Agreement may be terminated by either party should the other fail to perform its obligations hereunder by giving the other party not less than 7 calendar days' notice . In the event of termination of this Agreement by either party, the Client shall within 10 calendar days of termination pay the Consultant for all services rendered and all reimbursable costs incurred by the Consultant up to the date of termination, in accordance with the payment provisions of this Agreement. Mediation : In an effort to resolve any conflicts that arise during the planning design and construction of the Project or following the completion of the Project, the Client and Consultant agree that all disputes between them arising out of or relating to this Agreement or the Project shall be submitted to nonbinding mediation unless the parties mutually agree otherwise. Risk Allocation: In recognition of the relative risks, rewards and benefits of the project to both the Client and the Consultant, the risks have been allocated such that the Client agrees that, to the fullest extent permitted by law, the Consultant's total liability to the Client for any and all injuries, claims, losses, expenses, damages or claim expenses arising out of this agreement from any cause or causes, shall not exceed ten (10) times our fee or $50,000.00, whichever is less. Such causes include, but are not limited to, the Consultant's negligence, errors, omissions, strict liability, breach of contract or breach of warranty. Ownership of Instruments of Service: All documents produced by the Consultant as instruments of service shall remain the property of the Consultant. The Consultant shall retain all common law, statutory and other reserved rights, including the copyright thereto. Client agrees that the company/individual signing this agreement has the ability to compensate ESI for the work described whether or not the proposed project materializes . Project Name : CR Route 512 Roadway Improvements, Phase III (Roseland Road to Sebastian River Middle School) and Phase IV (Sebastian Middle School to I-95) Indian River County, Florida Project Location : Indian River County, Florida SCOPE OF SERVICES Task 1 . Conduct Site inspection and Ecological Assessment FELE 52,000 ESI scientists will conduct pedestrian surveys of the realignment corridor to map approximate location or boundaries of vegetative communities, exotic vegetation, wetland areas which will be considered jurisdictional by U. S . Army Corps of Engineers (CE) or St. Johns River Water Management District (SJRWMD), any observation or indication of occurrence or habitat of protected plant(s) or animal (s), and any other apparent significant environmental resources. Any occurrences will be noted in field books and will be mapped on an aerial photograph of the property. Note: This task does not include review for proposed storm water ponds. Task 2. Environmental Assessment Report $2,000 EST scientists will prepare a formal environmental assessn' ent report . The report will include descriptive text and graphics which will describe methods used and results obtained during the assessment. Three copies of the report will be provided to the Client . Task 3 . Wetland Delineation $1 ,500 ESI scientists will delineate wetlands along the southern portion of the realignment corridor approximately 200 feet off the existing right-of-way. CE and SJRWM.D wetlands will be delineated by flagging with a sketch map provided to engineer for horizontal location . Note: This task does not iftlude delineation for potential stormwaterponds_ ENVIRONMENTAL SERVICIES9 INC. Task 4. Listed Species Coordination $500 An ESI scientist will review the regulatory database from U. S . Fish and Wildlife Service (USFWS), Florida Fish and Wildlife Conservation Commission (FWC), and Florida Natural Areas Inventory (FNAI) and submit a letter request to agencies to obtain confirmation of know occurrences of federally and state listed species Task 5. Cultural Resources Coordination $500 An LSI archaeologist will review the Florida Sites Master files and prepare a request to the State ofFlorida Department of Historical Resources to confirm likelihood of archaeological/cultural resources occurrence. Task 6. Modification of Environmental Resource Permit (ERP) S39000 Once final alignment has been approved by Indian River County Engineering, ESI will assist the project engineer with the preparation of the environmental section of the ERP application for submittal to SJRWMD . This task will include the preparation of six copies of supplemental materials and one electronic copy. Two requests for additional information will be prepared as part of this task. Note: It is assumed that mitigation previously negotiated as part of the original permit and application can be used for this modification. Task 7. Prepare Application for Wetland impact to CE $27500 ESI will prepare a separate ERP application specific to CE wetland impacts associated with the bridge at Sebastian Creek . Separate dredge/fill drawings will be prepared for this application as well as preparation of CE ' s Public Notice and Statement of Findings. Task 8. Mitigation Planning Alternatives $250000 ESI scientists will review previous mitigation alternatives addressed in the original application and determine suitability for the proposed modification of the project . This will include one meeting with CE and SJRWMD to address the proposed modification impacts and previous mitigation. If upon review by CE and SJRWMD, the original mitigation plan is not suitable, alternatives will be addressed with Indian River County Engineering Staff (one meeting) . Note, Ifan alternative mitigation plan is neressarv, ESI will prepare theplan as an additional service under separate authorization . ENVIRONMENTAL, SERVICES, INC . Task 9e Meetings T&M At the Client or his representative 's request, ESI will attend regulatory and Project meetings on a time and materials basis. This will be based on a verbal authorization by the by the Client or his representative. Task 10. Additional Services T& M The Client or his representative may verbally authorize additional work outside the above-referenced scope of services . ESI will complete the work on a time and materials basis . We will work on the basis described above using the above outlined costs as the upset limit for each task. Our fee for Tasks 1 through 8 is $ 14,000, excluding any permit application fees. ENVIRONMENTAL SERVICES. INC._ TF'RMS: • Client assures ESI that it has pernussion to work an the subject property and will advise ESI of proper procedures for accessing subject property. • F-51 will maintain a Minimum $ 1 ,000,000 error and omissions insurance and $ 1 ,000,000liability insurance for the duration of the project. • Outside services and expenses such as subcontractors and special purchases will be invoiced with a handling fee of 15 percent. • Client will provide ESI with any special billing formats or instructions with the signed contract. • Billing is done monthly. Payment is due immediately upon receipt of the invoice, after 30 days the Cient agrees to pay 1 .5 percent late fee per month or portion thereof on unpaid balances. Unpaid balances after 60 days from the date of the invoice may result in work stoppage until overdue accounts are resolved. • Failure to pay within 60 days from the date of invoice will be considered by ESI to be a breach of contract and EST may cease work and withhold all work product immediately without penalty from the Client. • Any disputes regarding payment for services shall be resolved in a court in the county of the ESI office responsible for the work. Client agrees to pay all legal fees and other collection costs incurred by ESI to collect unpaid invoices . • ESI rates change on I January of each year.
