This Addendum Agreement is based upon the following terms and conditions as well as any Attachment(s) affixed and the appropriate lawfully filed and approved tariffs which are by this reference incorporated herein. Offer Expiration: This offer shall expire on: 10/6/2006. 1 . Subscriber acknowledges that Subscriber has read and understands this Agreement and agrees to be bound by its terms and conditions. Subscriber further agrees that this Agreement, and any orders, constitute the complete and exclusive statement of the Agreement between the parties, superseding all proposals, representations, and/or prior agreements, oral or written, between the parties relating to the subject matter of the Agreement. 2 . Acceptance of any order by Company is subject to Company credit and other approvals. Following order acceptance, if it is determined that: (i) the initial credit approval was based on inaccurate or incomplete information; or (ii) the customer's creditworthiness has significantly decreased, Company in its sole discretion reserves the right to cancel the order without liability or suspend the Order until accurate and appropriate credit approval requirements are established and accepted by Customer. 3 . This Agreement is not binding upon Company until executed by an authorized employee, partner, or agent of Subscriber and Company. This Agreement may not be modified, amended, or superseded other than by a written instrument executed by both parties, approved by the appropriate Company organization, and incorporated into Company' s mechanized system. Baird, County Administrator THROUGH: John King, Director 1� ^ Department of Emerge, Sanvices FROM: Paula Cantlon, 911 Database Coordinator' DATE : June 28 , 2006 SUBJECT : Approval of Addendum to BellSouth Special Service Agreement DESCRIPTION AND CONDITIONS : On May 4 , 2004 , the Board approved an agreement with BellSouth to replace the Call-Taker equipment within the two (2) E911 Public Safety Answering Points (PSAPs) ; this was in response to the new requirements issued by the Federal Communications Commission for receiving wireless (cellular) telephone calls. By means of a GIS basemap, and X/Y coordinates provided by the telco provider, the new equipment can, in most cases, determine the caller' s location. Statistics showing the call volumes and effectiveness of this call-taking equipment is available through Management Information Systems (MIS) reporting software. These statistics are an invaluable tool in monitoring the number of 911 calls received into the PSAP as well as duration of the call, total number of call transfers to other PSAPs, abandoned calls, etc . This method of reporting statistics on 911 calls is the only valid method of collecting data since it comes directly from telephone company and involves no human error. Without this software and a server to collect and house the records from both PSAPs, a data transfer has to be made to obtain current data and this takes approximately 6 hours per location. ALTERNATIVES AND ANALYSIS : BellSouth serves over 800 PSAPs in the Southeast, so our time intensive issue of obtaining statistics from the PSAPs is not unique. The attached Addendum to the BellSouth Special Services Agreement represents an electronic means to update a local server instantly by pulling data from both PSAPs and offers a repository of 911 call records to the 911 Coordinator. The cost to upgrade the existing equipment is a one-time expense of $22223 for software and licenses and an increase in monthly expenses of $334 per month. The required hardware to run this software will be purchased by the Computer Services Department and the attached quote recommends $ 6 ,949 . Staff has worked with Jason Brown. Management and Budget Director, to determine that funds are currently available from the Communications Center Accounts to fund this expenditure. RECONEVMNDATION : Staff recommends approval of the Addendum to the BellSouth Special Services Agreement and requests the Count} Administrator execute the attached agreement.
