Kafer : We are pleased to submit this proposal for Professional Engineering services for the design of roadway improvements along 20th Avenue SW from 25th Street SW to 21St Street SW in Indian River County , Florida . The total length of the project is approximately 2600 LF or 0 . 50 miles . Our Scope of Services included in this proposal consists of the preparation of construction plans for the widening of 20th Avenue SW to a two lane undivided roadway . Typical Section The proposed roadway section will consist of two 12 -foot travel lanes with 4 -foot paved shoulders . A 5 -foot concrete sidewalk will be constructed on the west side of the roadway . The right of way width will be 80 feet . The existing roadway consists of a one -way paved street . Valley gutter exists on the east side of the roadway . The valley gutter will remain . The existing pavement will be removed , except at existing driveways . The proposed roadway will be graded to provide for a maximum 5 % cross slope between the proposed pavement and the existing valley gutter . Existing driveways will not be modified . Drainage from the west side of the roadway will be directed to Falcon Trace . A drainage swale will be provided on the west side of the roadway . Ditch bottom inlets will be provided to collect runoff and convey it to the Falcon Trace Drainage system . Drainage from the east side of the roadway will be directed to the existing valley gutter . The proposed roadway will be constructed so that the edge of pavement is above the 25 year , 3 day peak water surface elevation for Falcon Trace . Utilities ARCADIS will coordinate with utility companies owning facilities along the project corridor in order to determine the presence and location of existing facilities , to minimize the potential for utility conflicts , and to identify the need for and extent of utility relocation efforts . Access Management Access management improvements are not anticipated . All existing driveways will remain . SURVEY A field design location survey will be performed to establish the location of existing physical features at the project site . A survey baseline will be established , and the existing right of way will be located . Permanent benchmarks will be set , with a minimum of one benchmark set every 1 , 200 feet along the alignment . All existing physical features such as pavements , driveways , curbs , poles , fences , and above ground improvements will be located . Cross sections will be obtained at 100 foot intervals along the project alignment . The cross sections will extend 25 feet beyond the roadway right of way . The survey limits will extend from 200 feet south of 25th St . SW to 21 St . SW , and for a distance of 200 feet along all intersecting sidestreets . ENGINEERING The design of the project will be performed in accordance with the Indian River County Design Standards , The FDOT Design Standards , and the FDOT Greenbook . The cross sections shall detail the existing roadway and border area . If client fails to perform its obligations under this contract , then client will not be provided with copies of the documents and client will return any documents to ARCADIS . INVOICING AND METHOD OF PAYMENT Work will be billed on approximately the first day of each month based on a proration of work completed to date . Such monthly invoice shall be paid in full by client within thirty ( 30 ) days of invoice date unless , within such thirty ( 30 ) day period , client notifies ARCADIS in writing of its objection to the amount of said invoice . Such notice shall be accompanied by payment of any undisputed portion of said invoice . If written objection is not received within thirty ( 30 ) days it shall constitute approval of invoice by client . If the payment is not received within thirty ( 30 ) days of billing date , a late charge will be added to the invoice in the amount of 1 1 /2 percent per month on the outstanding balance . If payment is not received within sixty ( 60 ) days of the billing date , work will be suspended on the project until the outstanding invoice ( s ) are paid in full . WORK NOT SPECIFIED Work not specified in the " Scope of Services " will not be performed absent a written authorization by client to do the additional work . The authorization shall contain , where possible , the price of the additional work . COST ESTIMATES Client hereby acknowledges that ARCADIS does not warrant that estimates of probable construction costs provided by ARCADIS will not vary from actual costs incurred by client . CONSTRUCTION SERVICES If ARCADIS provides professional service during the construction phase of the project , ARCADIS shall not be responsible for and shall not have control over means , methods , techniques , sequences , or procedures or for safety precautions and programs , in connection with the work on the project . ARCADIS . shall not be responsible for any contractor or subcontractor' s failure to carry out work in accordance with the contract documents . HOURLY CHARGES These hourly rates are subject to adjustment every six ( 6 ) months . Reproduction / Reimbursable expense estimated at $ 200 . 00 not including permit review fees . ASSIGNMENT This contract is not assignable to or assumable by any third party without the prior written consent of ARCADIS . ACCEPTANCE This proposal must be accepted within thirty ( 30 ) days of its date . If not accepted within that time period , ARCADIS reserves the right to re -evaluate the terms and conditions contained herein . The Total Contract Price for any work not commenced within a six ( 6 ) month period from the date of this proposal will be adjusted upward at the rate of 1 . 5 percent per month after the six ( 6 ) month period until the work is commenced . TIME OF PERFORMANCE ARCADIS . will proceed expeditiously in prosecuting the contract work described herein . However , in no event will ARCADIS be liable for any delay damages . TERMINATION Either party , with or without cause , shall have the right to terminate this contract upon giving the other party seven ( 7 ) days written notice . If the client cancels this contract , then client shall pay ARCADIS all unpaid invoices in addition to a final invoice for work completed from the date of the last invoice to the date that ARCADIS receives written notice of termination , plus any unreimbursed expenses . In the event that client claims that ARCADIS failed to perform under the terms of the contract , then client agrees that ARCADIS ' s liability shall not , in any event , exceed the amount of the Total Contract Price stated herein . DISPUTES : ARBITRATION Claims or disputes arising out of or relating to this Agreement , or breach thereof, shall be subject to and decided by arbitration in accordance with the Construction Industry Arbitration Rules of the American Arbitration Association currently in effect , unless the parties agree otherwise . Venue for any arbitration proceeding will be in Indian River County , Florida . MERGER This Agreement represents the entire and integrated agreement of the parties and supercedes all prior negotiations , representations or agreements , either written or oral . TIME OF PERFORMANCE ARCADIS . will proceed expeditiously in prosecuting the contract work described herein . However , in no event will ARCADIS be liable for any delay damages . TERMINATION Either party , with or without cause , shall have the right to terminate this contract upon giving the other party seven ( 7 ) days written notice . If the client cancels this contract , then client shall pay ARCADIS all unpaid invoices in addition to a final invoice for work completed from the date of the last invoice to the date that ARCADIS receives written notice of termination , plus any unreimbursed expenses . In the event that client claims that ARCADIS failed to perform under the terms of the contract , then client agrees that ARCADIS ' s liability shall not , in any event , exceed the amount of the Total Contract Price stated herein . DISPUTES : ARBITRATION Claims or disputes arising out of or relating to this Agreement , or breach thereof, shall be subject to and decided by arbitration in accordance with the Construction Industry Arbitration Rules of the American Arbitration Association currently in effect , unless the parties agree otherwise . The ENGINEER will contact all known utility companies having installations in the immediate vicinity of the proposed work and consider relocation of utilities , if necessary. The ENGINEER will provide the COUNTY with necessary information relative to required utility adjustments , relocations and installations and will show all existing utilities on the final design plans . Design modifications to existing COUNTY utility lines , if necessary, may be negotiated by a separate agreement with the County Utility Department, or the County Utilities Department may design modifications with Utility Department Staff or other consultants . g . The ENGINEER shall report the status of this project to the Director of the Public Works Department upon request and hold all drawings, calculations and related work open to the inspection of the Director or his authorized agent at any time , upon reasonable request. 4 . The ENGINEER will furnish copies of the drawings , specifications and contract documents as required by the COUNTY for materials suppliers , federal, state and local agencies from whom approval of the project must be obtained . Upon bidding of the construction contract, the ENGINEER will furnish to the COUNTY 1 F x 17 " originals of the drawings and copies of the specifications for the COUNTY to copy for prospective bidders . Additional copies beyond those identified will be provided at cost. All original documents , survey notes , field books , tracings , and the like including all items furnished to the ENGINEER by the COUNTY pursuant to this Agreement, are and shall remain the property of the COUNTY . 5 . Environmental Permits : The ENGINEER shall prepare stormwater permit application for the St. Johns River Water Management District, IRFWCD , FDEP and US Environmental Protection requirements for submittal by the COUNTY . This will consist of all required evaluation, design, coordination, and follow-up work necessary to support permit applications . The COUNTY will review the permit applications as necessary . The ENGINEER shall assemble and be responsible for the final submittal. The ENGINEER shall prepare permit sketches for submission by the COUNTY to Florida Department of Environmental Protection, U . S . Army Corps of Engineers, IRFWCD and St. Johns River Water Management District for Dredge and Fill activities , if necessary . The ENGINEER shall submit all permit sketches on 8 " x 11 " sheets . Utilities : Utility coordination with the various Utility Companies and/or agencies shall be by the ENGINEER and identified conflicts addressed . F . Permit application submittals will be made subsequent to the 90 % plan set submittal approval by the COUNTY . D . Computation Book The 100% submittal shall include a computation book with quantity calculations for all pay items . E . Drainage Plans 1 . Drainage Parameters : Perform drainage investigations and analysis necessary to prepare a design, which will drain the project in accordance with the COUNTY, IRFWCD and SJRWMD design criteria . 2 . Environmental Permits : The ENGINEER shall prepare stormwater permit application for the St. Johns River Water Management District, IRFWCD , FDEP and US Environmental Protection requirements for submittal by the COUNTY . This will consist of all required evaluation, design, coordination, and follow-up work necessary to support permit applications . The COUNTY will review the permit applications as necessary . The ENGINEER shall assemble and be responsible for the final submittal. The ENGINEER shall prepare permit sketches for submission by the COUNTY to Florida Department of Environmental Protection, U . S . Army Corps of Engineers, IRFWCD and St. Johns River Water Management District for Dredge and Fill activities , if necessary . The ENGINEER shall submit all permit sketches on 8 " x 11 " sheets . Sketches shall be neatly scaled, signed and sealed, and reproducible . 3 . Utilities : Utility coordination with the various Utility Companies and/or agencies shall be by the ENGINEER and identified conflicts addressed . F . The Director of the Public Works Department shall review adjustments of compensation and contract time because of any major changes in the work that might become necessary or be deemed desirable as the work progresses . In the event that the ENGINEER does not concur in the judgment of the Director of the Public Works Department as to any decisions made by him he shall present his written objections to the County Administrator; and the Public Works Director and the ENGINEER shall abide by the decision of the County Administrator of Indian River County, unless the decision is clearly arbitrary or unreasonable . SECTION X - OWNERSHIP AND REUSE OF DOCUMENTS A . Ownership All reports , tracings , plans , specifications , field books, survey information, maps , contract documents , and other data developed by the ENGINEER for the purpose of this Agreement shall become the property of the COUNTY and shall be made available by the ENGINEER at any time upon request of the COUNTY . Any such utilization or adaptation will entitle the ENGINEER to further compensation at rates to be agreed upon by the COUNTY and the ENGINEER. The ENGINEER shall not be held liable for any reuse of the Documents and shall not be held liable for any modifications made to the documents by others . SECTION XI - NOTICES Any notices , reports or other written communications from the ENGINEER to the COUNTY shall be considered delivered when posted by certified mail or delivered in person to the Director of the Public Works Department . Any notices, reports or other communications from the COUNTY to the ENGINEER shall be considered delivered when posted by certified mail to the ENGINEER at the last address left on file with the COUNTY or delivered in person to said ENGINEER or his authorized representative . In person deliveries shall be evident by signed receipts . SECTION XII - TERMINATION The obligation to provide further services under this Agreement may be terminated by either party upon seven ( 7 ) days written notice in the event of substantial failure by the other party to perform in accordance with the terms hereof through no fault of the terminating party. The County may, for public convenience , terminate this contract at any time provided 90 days written notice is given to the ENGINEER . In the event of any terminations , the ENGINEER will be paid for all services rendered to the date of termination, all expenses subject to reimbursement hereunder, and other reasonable expenses incurred by the ENGINEER as a result of such termination . SECTION XIII - AUDIT RIGHTS The COUNTY reserves the right to audit the records of the ENGINEER related to this Agreement at any time during the prosecution of the work included herein and for a period of one year after final payment is made . SECTION XIV - SUBLETTING The ENGINEER shall not sublet, assign, or transfer any work under this Agreement without the written consent of the COUNTY . For breach violation of this warranty, the COUNTY shall have the right to annul this contract without liability . SECTION XVI - DURATION OF AGREEMENT This Agreement shall remain in full force and effect for a period of four years after the date of execution hereof or until completion of all project phases as specified by the Public Works Director, whichever occurs first, or unless otherwise terminated by mutual consent of the parties hereto or pursuant to Section XII of this AGREEMENT . SECTION XVII - INSURANCE AND INDEMNIFICATION During the performance of the work covered by this AGREEMENT, the ENGINEER shall provide the COUNTY with evidence that the ENGINEER has obtained and maintains the insurance listed below : A . ENGINEER shall procure and maintain for the duration of the AGREEMENT, insurance against claims for injuries to persons or damages to property which may arise from or in connection with the performance of the work hereunder by the ENGINEER, his agents , representatives , employees , and in accordance with subclause H , subconsultants . The cost of such insurance shall be included in the ENGINEER' S fee . B . Minimum Scope of Insurance 1 . Worker's Compensation as required by the State of Florida . 2 .
