AGREEMENT TO PURCHASE AND SELL REAL ESTATE 5 THIS AGREEMENT TO PURCHASE AND SELL REAL ESTATE ("Agreement") is made and entered into as of the a D -day of 2005 , by and between Indian River County, a political subdivision of the State of Florida ( "County" ) , and EDMUND N . ANSIN , TRUSTEE , of 1401 79th Street Causeway, Miami , FL 33141 ; and RO- ED Corporation , a Florida corporation , of 1401 79th Street Causeway, Miami , FL 33141 , (collectively "Seller" ) , who agree as follows : 1 . Agreement to Purchase and Sell ; Effective Date The Seller hereby agrees to sell to the County, and the County hereby agrees to purchase from Seller, upon the terms and conditions set forth in this Agreement , that certain real property described on Exhibit "A" attached hereto and incorporated by this reference , and all improvements thereon , together with all easements , rights and uses now or hereafter belonging thereto (collectively , the " ROW Property") . The Effective Date of this Agreement shall be the date upon which the County shall have approved the execution of this Agreement , either by approval by the Indian River County Board of County Commissioners at a formal meeting of such Board or by the County Administrator pursuant to his delegated authority . If this Agreement is first executed by Seller, Seller may terminate this Agreement by notice to County if such Effective Date is later than 60 days after the date the last Seller to sign does so . 2 . Purchase Price . The purchase price (the " Purchase Price ") for the ROW Property shall be as follows : (a ) Abandonment by the County in favor of the current adjacent owners of existing rights of way in favor of the County over real property described in Exhibit " B . ( b ) Credits for road/transportation impact fees granted by the County in the amount of $ 918 , 588 in accordance with the agreement entitled "Application for Traffic Impact Fees Credit Assignment" (" Impact Fees Credit Agreement") , which is attached and made part of this Agreement as Exhibit " C " shall be executed by Seller and County . The impact fee credits may be assigned , all or in part , by Seller to succeeding fee title owners of property currently owned by Seller north of 77th Street in Indian River County. ( c) The County shall pay a deposit of $ 100 as soon as possible after the Effective Date of this Agreement . The deposit will be credited to the County at closing . 2 . 1 The following are additional understandings and agreements of the parties : ( a ) The County will move forward as soon as practicable to commence and complete the CR 512 widening . It is anticipated as of the time of execution of this Agreement that CR 512 widening east of 1 .95 will be completed within 4 years . It is anticipated as of the time of execution of this Agreement that widening west of 1 = 95 will be commenced within 6 years unless development does not proceed west of k95 in that time frame in which case the widening will commence within 8 years . J 1 /18/05 1 ( b ) Drainage related to the widening of CR 512 east of 1 -95 adjacent to property owned by Seller will be satisfied on County- maintained property , and will not be on lands of Seller not acquired by County , unless the County has no viable alternative and the County and Seller mutually agree on County purchase of a pond site . (c) As part of the CR 512 widening east of k95 the County will provide a signalized intersection at CR 512 & 102nd Ave at no cost to Seller. (d ) The County acknowledges that Seller owns property along the south side CR 512 west of I -95 and that widening (four laning and/or six laning approximately 3 miles from 1 -95 to 130th Ave . ) of CR 512 may be desired by Seller in advance of County' s schedule for widening in order to serve development on such property owned by Seller. Seller may , subject to normal review and approval of design and construction by County , commence and complete such construction prior to the scheduled widening of CR 512 by giving written notice of the date of such commencement to the County. Seller understands that he will be required to make certain site- related improvements and site- related right-of-way dedications for items described by Sections 953 . 10 (6 ) ( b ) ( 1 ) , (3 ) , (4 ) , and (5 ) , of the Indian River County Code . For the cost of improvements for widening CR 512 over and above these site- related improvements , Seller shall receive credit against payment of traffic impact fees . For lands required by the County for right-of-way or right-of-way related improvements for CR 512 widening which are not site- related , the parties agree that the Seller shall receive impact fee credit for such right-of-way computed at the rate of $ 27 , 900 for each acre or part thereof. The right of Seller to widen CR 512 west of I -95 in accordance with this subparagraph (d ) will terminate at such time as the County commences design and construction of such widening . fir.. ( e ) Prior to the physical closing of existing ingress and egress for vehicles and utilities over the areas abandoned by the County (the Exhibit " B " property) Seller will permit the County and utilities providers to complete construction and opening of alternate access . Roadways on the Exhibit " B " property will not be physically closed , and utilities will not be removed , prior to inspection and approval of alternate access and utilities by the County Public Works Department , The County will have 36 months after the termination of the escrow in accordance with Addendum A to construct and approve such alternate ingress and egress for vehicles and utilities . 3 . Title . Seller shall convey marketable title to the ROW Property by warranty deed free of claims , liens , easements and encumbrances of record or known to Seller; but subject to property taxes for the year of Closing and covenants , restrictions and public utility easements of record provided (a ) there exists at Closing no violation of any of the foregoing ; and ( b ) none of the foregoing prevents County's intended use and development of the ROW Property ( " Permitted Exceptions " ) . County shall take title to the ROW Property "as- is , where is with all faults " as of the time of recording of the warranty deed to County, except for the representations and warranties of Seller set forth in this Agreement , the warranty deed , and in the closing documents . 3 . 1 Within thirty ( 30 ) days after the Effective Date of this Agreement Seller shall deliver to County a Title Insurance Commitment with respect to the ROW Property in the amount of $ 918 , 588 . Title insurance will be provided by Attorney' s Title Insurance Fund and will be 1 /18/05 2 issued by Seller' s attorney. County shall have fifteen ( 15 ) days following receipt of the commitment to deliver written notice to Seller of title defects . Title shall be deemed acceptable to County if (a ) County fails to deliver notice of defects within the time specified , or ( b ) County delivers notice and Seller cures the defects within thirty (30 ) days from receipt of notice from County of title defects (" Curative Period " ) . Seller shall undertake a good faith effort , but without any obligation to expend more than $ 1 , 000 in such effort , to cure the defects within the Curative Period and if the title defects are not cured within the Curative Period , County shall have thirty (30 ) days from the end of the Curative Period to elect , by written notice to Seller, to : ( i ) to terminate this Agreement , whereupon shall be of no further force and effect , or ( ii ) accept title subject to existing defects and proceed to closing . 4 . Representations of the Seller. 4 . 1 Seller is indefeasibly seized of marketable , fee simple title to the ROW Property , and is the sole owner of and has good right , title , and authority to convey and transfer the ROW Property which is the subject matter of this Agreement , free and clear of all liens and encumbrances . 4 . 2 From and after the Effective Date of this Agreement , Seller shall take no action which would impair or otherwise affect title to any portion of the ROW Property , and shall record no documents in the Public Records which would affect title to the ROW Property , without the prior written consent of the County. 4 . 3 To Seller' s knowledge and belief without investigation , there are no existing or pending �..► special assessments affecting the ROW Property, which are or may be assessed by any governmental authority , water or sewer authority , school district , drainage district or any other special taxing district . 5 . Default . 5 . 1 In the event the County shall fail to perform any of its obligations hereunder, the Seller shall , at Seller' s sole option , be entitled to : ( i ) terminate this Agreement by written notice delivered to the County at or prior to the Closing Date and thereupon neither the Seller nor any other person or party shall have any claim for specific performance , damages , or otherwise against the County; or ( ii ) waive the County' s default and proceed to Closing . If County defaults in its post-closing obligations under this Agreement , Seller may pursue the exclusive remedy of specific performance as to any such default . 5 . 2 In the event the Seller shall fail to perform any of its obligations hereunder, the County shall , at its sole option , be entitled to : ( i ) terminate this Agreement by written notice delivered to the Seller at or prior to the Closing Date and thereupon neither the County nor any other person or party shall have any claim for specific performance , damages or otherwise against the Seller; or ( ii ) obtain specific performance of the terms and conditions hereof; or ( iii ) waive the Seller' s default and proceed to Closing . 1 /1 8/05 3 6 . Closing , 6 . 1 The closing of the transaction contemplated herein ("Closing " and "Closing Date " ) ,%W 6 . 1 take place as set forth in Addendum "A" of this Agreement . The parties agree that the Closing shall be as follows : ( a ) The Seller shall execute and deliver to the County a warranty deed conveying marketable title to the ROW Property , free and clear of all liens and encumbrances and in the condition required by paragraph 3 . ( b ) The Seller shall deliver possession of the ROW Property to County vacant and free of Seller' s equipment and personal property ; provided that the County will relocate Seller' s pasture fencing to the new right-of-way boundary . ( c) If Seller is a non - resident alien or foreign entity , Seller shall deliver to the County an affidavit , in a form acceptable to the County, certifying that the Seller and any interest holders are not subject to tax under the Foreign Investment and Real Property Tax Act of 1980 . (d ) The Seller and the County shall each deliver to the other such other documents or instruments as may reasonably be required to Close this transaction . 6 . 2 Prorations . All taxes and special assessments which are a lien upon the ROW Property on or prior to the Closing Date (except current taxes which are not yet due and payable ) shall be paid by the Seller. If the Closing Date occurs during the time interval commencing on November 2 and ending on December 31 , Seller shall pay all current real estate taxes and special assessments levied against the ROW Property,p y, prorated based on the "due date " of such taxes established by the taxing authority having jurisdiction over the ROW Property. If the Closing Date occurs between January 1 and November 1 , the Seller shall , in accordance with Florida Statutes section 196 . 295 , pay an amount equal to the current real estate taxes and assessments , prorated to the Closing Date . 7 . Closing Costs ; Expenses . County shall be responsible for preparation of all Closing documents . 7 . 1 County shall pay the following expenses at Closing : 70 1 . 1 The cost of recording the warranty deed and any release or satisfaction obtained by Seller pursuant to this Agreement . 7 . 2 Seller shall pay the following expenses at or prior to Closing : 7 . 2 . 1 Documentary Stamps required to be affixed to the warranty deed . 7 . 2 . 2 All costs and premiums for the owner's marketability title insurance commitment and policy , if any . ,%W 1 /18/05 4 7 . 2 . 3 All costs necessary to cure title defect(s ) or encumbrances as set forth in paragraph 3 . 1 of this Agreement , other than the Permitted Exceptions , and to satisfy or `.► release of record all existing mortgages , liens or encumbrances upon the ROW Property . 7 . 3 The Seller and County shall each pay their own attorneys ' fees . 8 . Miscellaneous , 8 . 1 Controlling Law , This Agreement shall be construed and enforced in accordance with the laws of the State of Florida . Venue shall be in Indian River County for all state court matters , and in the Southern District of Florida for all federal court matters . 8 . 2 Condemnation . In the event that all or any part of the ROW Property shall be acquired or condemned for any public or quasi- public use or purpose , or if any acquisition or condemnation proceedings shall be threatened or begun prior to the Closing of this transaction , County shall have the option to either terminate this Agreement , and the obligations of all parties hereunder shall cease , or to proceed , subject to all other terms , covenants , conditions , representations and warranties of this Agreement , to the Closing of the transaction contemplated hereby and receive title to the ROW Property ; receiving , however, any and all damages , awards or other compensation arising from or attributable to such acquisition or condemnation proceedings . County shall have the right to participate in any such proceedings . 8 . 3 Entire Agreement . This Agreement constitutes the entire agreement between the parties with respect to this transaction and supersedes all prior agreements , written or oral , between the Seller and the County relating to the subject matter hereof. Any modification or amendment to this Agreement shall be effective only if in writing and executed by each of the parties . 8 . 4 Assignment and Binding Effect . Neither County nor Seller may assign its rights and obligations under this Agreement without the prior written consent of the other party , and attempted assignment shall be null and void . The terms hereof shall be binding upon and shall inure to the benefit of the parties hereto and their successors and assigns . 8 . 5 Notices . Any notice shall be deemed duly served if personally served or if mailed by certified mail , return receipt requested , or if sent via "overnight" courier service or facsimile transmission , as follows : If to Seller: Edmund N . Except as otherwise expressly provided herein , each agreement , representation or warranty made in this Agreement by or on behalf of either party , or in any instruments delivered pursuant hereto or in connection herewith , shall survive the Closing Date and the consummation of the transaction provided for herein . The covenants , agreements and undertakings of each of the parties hereto are made solely for the benefit of, and may be relied on only by the other party hereto , its successors and assigns , and are not made for the benefit of, nor may they be relied upon , by any other person whatsoever. 8 . 7 Attorney' s Fees and Costs In any claim or controversy arising out of or relating to this Agreement , each party shall bear its own attorney' s fees , costs , and expenses . 8 . 8 . Counterparts . This Agreement may be executed in two or more counterparts , each one of which shall constitute an original . 8 . 9 . County Approval Required : This Agreement is subject to approval by the Indian River ,%W County as set forth in paragraph 2 . 8 . 10 Beneficial Interest Disclosure : In the event Seller is a partnership , limited partnership , corporation , trust , or any form of representative capacity whatsoever for others , Seller shall provide a fully completed , executed , and sworn beneficial interest disclosure statement in the form attached to this Agreement as an exhibit that complies with all of the provisions of Florida Statutes Section 286 . 23 prior to approval of this Agreement by the County . However, pursuant to Florida Statutes Section 286 . 23 (3 ) (a ) , the beneficial interest in any entity registered with the Federal Securities and Exchange Commission , or registered pursuant to Chapter 517 , Florida Statutes , whose interest is for sale to the general public , is exempt from disclosure ; and where the Seller is a non - public entity, Seller is not required to disclose persons or entities holding less than five (5 % ) percent of the beneficial interest in Seller. 9 . . Condition . The purchase and sale of the ROW Property under this Agreement is linked to and conditioned upon the completion of the purchase by the County of certain environmental lands in accordance with that certain Option Agreement for Sale and Purchase , dated , 2005 , (the " EL Agreement" ) which is by this reference made a part of this Agreement . Ansin r dent Attest : Corpora Secretary Date Signed : ( SEAL ) Approved: B C unty Administrator Approved �a-sctoofform and legal sufficiency: By County Attorney 1 /18/05 7 ADDENDUM A Escrow for closing of EL Property and ROW Property In accordance with in this Agreement (the " ROW Agreement" ) and the ROW Agreement that certain Option Agreement for Sale and Purchase , dated , 2005 , (the " EL Agreement" ) which is by this reference made a part of this Agreement , the two transactions and closings under the ROW Agreement and EL Agreement shall be conditioned upon each other. All parties of both agreements agree to the following closing and escrow procedure : 1 . Closings under the EL Agreement and ROW Agreement (the "Ansin Agreements") will be held at one time and place , determined in accordance with the EL Agreement. The closing agent will be Seller' s attorney acting as agent of the title insurance company. The escrow agent will be a title company or attorney designated by the County, with the approval of the Seller, which approval shall not be unreasonably withheld . The County may designate the closing agent as escrow agent. 2 . Prior to the closing all parties to the Ansin Agreements will execute an escrow agreement in the form attached to the EL Agreement . At the closing all documents necessary to complete the transfer of title and all other requirements of the Ansin Agreements will be deposited in escrow with the escrow agent. The following documents will be so deposited : Deed from Ronald A . Ansin under the EL Agreement; County funds for the purchase under the EL Agreement; deeds from Edmund N . Ansin and RO-ED Corporation under the ROW Agreement; County funds for the purchase under the ROW Agreement; fully executed Impact Fees Credit Agreement; executed closing statements ; corrective documents , if any, in accordance with the Ansin Agreements ; any and all other documents required to complete the transactions in accordance with the Ansin Agreements , 3 . As soon as practicable after closing in escrow the County will schedule Board of County Commission consideration of the right-of-way abandonment contemplated by the ROW Agreement. Upon written notification from the County to the escrow agent and closing agent that the abandonment has been completed , the escrow agent shall obtain from the closing agent a check of the title to the then current date , record all documents to be recorded , release all funds as set forth in the closing statements , and deliver any other documents in the escrow to the appropriate parties . The escrow shall then be terminated as of the completion of these tasks by the escrow agent. Upon written notification from the County that the abandonment has not been approved , the escrow agent shall return all documents and funds to the depositors and the escrow shall be terminated as of completion of these tasks .
