HomeMy WebLinkAbout2005-325 Page 1 of 8 K INDIAN RIVER COUNTY BOARD OF COUNTY COMMISIONERS PROJECT # 0532 PROFESSIONAL GEOGRAPHIC INFORMATION SYSTEM ( GIS) SERVICES ( MASTER) AGREEMENT FOR THE GIS ENTERPRISE NEEDS ASSESSMENT and FUTURE DEVELOPMENT STUDY 2005=2006 THIS AGREEMENT, entered into this 4th day of October, 2005 by and between INDIAN RIVER COUNTY , a political subdivision of the State of Florida, hereinafter referred to as the " COUNTY" , and Geographic Technologies Group, Inc . (GTG ) a North Carolina corporation of 648 N . Spence Ave , Goldsboro, North Carolina 27530 hereinafter referred to as " GTG or CONSULTANT" . WITNESSETH That the COUNTY and the CONSULTANT , in consideration of their mutual covenants , herein agree the pursuit of this agreement and the foregoing request for qualifications ( RFO) are a direct result of proper advertising and procedures as set forth by the Consultants Competitive Negotiations Act ( C . C . N . A . ) as it relates to this ensuing agreement and with respect to the performance of professional GIS services by the CONSULATANT , and the payment for those services by the COUNTY , as set forth below . This agreement shall be referred to as the "MASTER AGREEMENT' under which all phases will apply . The CONSULTANT shall provide the COUNTY with professional GIS and such other related services as defined within this master agreement for all phases of the project. The CONSULTANT shall serve as the COUNTY 7s professional representative for the project as set forth in the attached " Exhibit A" , and shall give professional GIS advice to the COUNTY during the performance of the services to be rendered . SECTION I — STANDARDS All professional services related to this agreement shall adhere to any and all standards for related task and/or services as it applies and/or is applicable to this agreement . SECTION II — PROJECT PHASES The project shall be completed in phases , encompassing specific tasks as outlined within the Scope of Services " Exhibit A" and as formally approved by the COUNTY prior to a Notice-to- Proceed being issued . Basic services required of the CONSULTANT for the project and phases will be described in other appropriate sections of this Agreement and Scope of Services ( Exhibit A) . The providing of all available information , data , reports , records , and maps to which Indian River County has access and which are needed by GTG for the performance of the services provided for herein . b . Providing assistance and cooperation for GTG in obtaining any other needed material that Indian River County does not have in its possession to complete the Scope of Services (Attachment A) . C , Making available the services of Indian River Countv as may be necessary_ to obtain information as needed to perform the work program set forth in the Scope of Services (Attachment A) . d . The designation of at least a single representative who will be authorized to make necessary decisions required on behalf of Indian River County and will serve to provide the necessary direction and coordination for the project. SECTION IV — SCOPE OF SERVICES The CONSULTANT agrees to perform all necessary professional GIS services and other pertinent services in connection with the assigned project as required and as set forth in the following : A. General 1 . The CONSULTANT will endeavor not to duplicate any previous work done on any project . Before issuance of a written authorization to proceed , the CONSULTANT shall consult with the COUNTY to clarify and define the COUNTY's requirements for the project and review all available data . 2 . The CONSULTANT shall attend conferences with the COUNTY and its representatives , upon request . 3 . In order to accomplish the work described under this Agreement under the time frames and conditions set forth in this Agreement , the CONSULTANT shall : a) Complete work on the projects phases within the time allowed and as indicated within the attached Scope of Services " Exhibit A" by maintaining an adequate staff of employees on the Work at all times . b) Comply with all federal , state , and local laws applicable to this project . c) The CONSULTANT shall cooperate fully with the COUNTY in order that all phases of the work may be properly scheduled and coordinated . d ) The CONSULTANT shall report the status of the project to the County project manager or staff upon request and hold all drawings , documents , and related work open to the inspection of the COUNTY at any time , upon reasonable request . 4 . All original documents (copy of ) , including all items furnished to the CONSULTANT by the COUNTY pursuant to this Agreement, is and shall remain the property of the COUNTY , and shall be delivered to the COUNTY upon completion of the work . All items prepared by the CONSULTANT shall be created , maintained , updated , and provided in the format as specified by the COUNTY . Compensation to the CONSULTANT for basic services shall be in accordance with this agreement and attached Scope of Services . Schedule of current hourly billing rates are included in "Exhibit A" attached , and will be included as part of the entire agreement hereon . All expenses related to the agreement ( Including but not limited to ; Lodging , Meals , travel cost , reproductions , deliverables or correspondences) are included in the accepted hourly rates . This agreement does not cover incidental expenses or reimbursements that are not agreed upon in writing prior to commencement LECTION V _ TIME FOR COMPLETION 1 . Time of Performance . As stated in the Scope of Services ( Exhibit A) the time frame for completion of all phases is six ( 6) months from notice to proceed . GTG will commence work on or as soon as practicable after the date of execution of this contract . All work as set forth in the Scope of Services ( Exhibit A) shall be completed within the time specified in the Scope of Services ( Exhibit A) the attached time- line in the Scope of Services ( Exhibit A) reflects commencement of work beginning at the time of the kickoff meeting . However , preliminary data gathering and distribution of a questionnaire will begin before the kickoff meeting . 2 . Delays Beyond the Control of GTG . It is agreed that events that are beyond the control of GTG or Indian River County may occur which may delay the performance of the Scope of Services ( Exhibit A) . In the event that the performance of the Scope of Services ( Exhibit A) by GTG is delayed beyond its control , GTG shall notify Indian River County of such delay and the reasons therefore in a timely manner , and Indian River County may , at its discretion , extend the time of performance appropriately . SECTION VI — COMPENSATION The COUNTY agrees to pay , and the CONSULTANT agrees to accept , for services rendered pursuant to this Agreement, fees * NOT TO EXCEED $45 , 000 in accordance with the following : A . Professional Services Fee — * The NOT to EXCEED amount of $45 , 000 is an upset limit . The CONSULTANT is required to perform tasks with due diligence in an effort to complete the project in the most cost effective way possible . The basic compensation shall be mutually agreed upon by the CONSULTANT and the COUNTY prior to issuance of the agreement . The amount shall be based on the approved fee schedule supplied by the CONSULTANT and as included in the Scope of Services ( Exhibit A) . All fees shall be formally approved by the County Project Manager and/or Board of County Commissioners , SECTION VII — ADDITIONS above the amount as stated in section VI shall only occur when the COUNTY or CONSULTANT requests changes , after it has been formally approved by this Agreement. Additional service work shall not commence until a supplemental Work Order for the additional work has been formally issued by either the County project manager or designee , and formally approved by the Board of County Commissioners . F:\Engineering\Mike O'Brien\My Documents\GIS\GIS Ent\Contract\0532 GIS Needs project MASTER CONTRACT I .doc Page 4 of 8 PROFESSIONAL GIS SERVICES (MASTER) AGREEMENT FOR THE GIS ENTERPRISE NEEDS ASSESMENT and FUTURE DEVELOPMENT STUDY 2005-2006 SECTION VIII — CHANGE IN THE PROJECT SCOPE AFTER A WORK ORDER HAS BEEN EXECUTED If the project scope is changed after agreement has been executed , such work shall be the subject of a Supplemental Work Order formally approved by the County Project Manager and/or Board of County Commissioners . SECTION IX — PAYMENTS The COUNTY shall make monthly partial payments ( Based on adequate invoices ) Pursuant to I'IQridcA Prompt Payment cL IC . 0 01070N the C ` SUI�TD T as., nrovided for in this agreement. Invoices and subsequent payments shall be based on a man - hours performed and/or percentage of tasks/phases completed . A ten percent ( 10%) retainage shall be withheld by the COUNTY until all of the CONSULTANT' S work is completely accepted by the COUNTY . If work is held up on the project for six months or greater due to no fault of the CONSULTANT , the CONSULTANT may request release of the accumulated retainage . Unless otherwise stated in the agreement , the CONSULTANT shall submit duly certified invoices in triplicate to the County project manager or designee , prior to payment. The Agreement shall be divided into units of deliverables as outlined in the Scope of Services " Exhibit A" , which shall include , but not be limited to , meetings , reports , findings , drawings , and drafts , that must be received and accepted in writing by the either the County project manager or designee , prior to payment . A standard invoice template is to be created by the CONSULTANT , approved by the COUNTY and shall be utilized for all projects and/or work orders related to this agreement . SECTION X — RIGHT OF DECISIONS All services shall be performed by the CONSULTANT to the satisfaction of the County project manager or designee who shall decide all questions , difficulties , and disputes of whatever nature that may arise under or by reason of this Agreement, according to the prosecution and fulfillment of the service hereunder , and the character, quality , amount and value thereof . The COUNTY's decision upon all claims , questions , and disputes shall be final , conclusive , and binding upon the parties hereto , unless such determination is arbitrary or unreasonable . The County Project Manager shall review adjustments of compensation and contract time because of any major changes in the work that might become necessary or be deemed desirable as the work progresses . If the CONSULTANT does not concur in the judgment of the County Project Manager as to any decisions made by him or her , it shall present its written objections to the County Administrator of Indian River County , who shall make a decision , and the CONSULTANT shall abide by the County Administrator's decision , unless the decision is arbitrary or unreasonable . SECTION XI — OWNERSHIP AND REUSE OF DOCUMENTS A . Ownership and Copyright: Ownership and copyright of all reports , documents , findings , contract documents , and other data ( excluding proprietary software developed by CONSULTANT for Consultant' s own use in the course of the WORK) , developed by the CONSULTANT pursuant to this Agreement , shall be vested in the COUNTY . The CONSULTANT shall make said materials available to the COUNTY any time upon request of the COUNTY . On or before the tenth day after all work contemplated under this Agreement is complete ; all of the above materials shall be delivered to the County Project Manager. Reuse of Documents : All documents , including but not limited to reports , drawings and specifications , supplied by the COUNTY or any other entities which have been obtained for the purpose of research and planning is exclusively for the purpose of this contract and shall remain in the custody of the CONSULTANT during the agreement period . The CONSULTANT shall not under any circumstance use or reproduce the information for their or any other entities benefit that is not directly related to this contract and subsequent work orders . COUNTY shall be considered delivered when posted by certified mail or delivered in person to the County Project Manager or designee . Any notices , reports or other communications from the COUNTY to the CONSULTANT, shall be considered delivered when posted by certified mail to the CONSULTANT at the last address left on file with the COUNTY or delivered in - person to said CONSULTANT or its authorized representative . SECTION XIII — TERMINATION Either party may terminate this Agreement upon seven (7 ) days written notice to the other party, except if the CONSULTANT terminates this Agreement, such termination shall not be effective , absent the COUNTY' s consent , until the CONSULTANT' S completion to the COUNTY's satisfaction , of any pending Work Order. SECTION XIV —Consultant' s PERSONNEL ASSIGNED TO THE PROJECT The COUNTY shall have the right of approval of all Consultants' personnel assigned to any COUNTY project. Therefore , any subsequent changing of assigned personnel to any COUNTY project shall also be subject to COUNTY approval . Failure to adhere to this policy shall be considered a cause for contract termination . SECTION XV — AUDIT RIGHTS The COUNTY reserves the right to audit the records of the CONSULTANT related to this Agreement at any time during the prosecution of the work included herein and for a period of three years after final payment is made . SECTION XVI — SUBLETTING The CONSULTANT shall not sublet , assign , or transfer any work under this Agreement without the written consent of the COUNTY . When applicable and upon receipt of such consent in writing , the CONSULTANT shall cause the names of the firms responsible for the major portions of each separate specialty of the work to be inserted on the reports or other data . SECTION XVII — WARRANTY The CONSULTANT warrants that it has not employed or retained any company or person other than a bona fide employee working solely for the CONSULTANT, to solicit or secure this Agreement, and that it has not paid or agreed to pay any company or person other than a bona fide employee working solely for the CONSULTANT any fee , commission , percentage fee , gifts or any other considerations , contingent upon or resulting from the award or making of this Agreement . Should the CONSULTANT cause a breach of violation of this warranty , the COUNTY shall have the right to annul this Agreement without liability . " This Agreement may be extended at the discretion of the COUNTY . CONSULTANT shall procure and maintain for the duration of the Agreement, insurance against claims for injuries to persons or damages to property which may arise from or in connection with the performance of the work hereunder by the CONSULTANT , its agents , representatives , employees or subcontractors . The cost of such insurance shall be included in the CONSULTANT's fees . 2 . Minimum Scope of Insurance (for fees less than $500 . 000 ) : A. Worker' s Compensation as required by the State of Florida . Employers Liability of $ 100 , 000 each accident , $500 , 000 disease policy limit , and $ 100 , 000 disease each employee . B . General Liability $ 1 , 000 , 000 combined single limit per accident for bodily injury and property damage . Coverage shall include premises/operations , products/completed operations , contractual liability, and independent contractors . COUNTY shall be named an "Additional Insured" on the certificate of insurance . C . Auto Liability $500 , 000 combined single limit per accident for bodily injury and property damage . Coverage shall include owned vehicles , hired vehicles , and non -owned vehicles . COUNTY shall be named an "Additional Insured" on the certificate of insurance . D . Professional Liability Insurance providing coverage for negligent acts , errors , or omissions committed by CONSULTANT with a $500 , 000 per claim/annual aggregate . This insurance shall extend coverage to loss of interest , earning , profit , use and business interruption , cost of replacement power, and other special , indirect , and consequential damages . E . Consultant' s insurance coverage shall be primary . 3 . All above insurance policies shall be placed with insurers with a Best' s rating of no less that A-VII . The insurer chosen shall also be licensed to do business in Florida . 4 . The insurance policies procured , other than professional liability, shall be occurrence forms , not claims made policies . Professional liability shall be on a claims- made basis . 5 . The insurance companies chosen shall provide certificates of insurance prior to signing of contracts , to the Indian River County Risk Management Department. Each insurance company shall provide the Indian River County Risk Management Department with a certificate of insurance that states that the insurance company will provide 30 days notice to the Risk Management Department, of its intent to modify or cancel said policies of insurance . All coverages for subcontractors shall be subject to all of the requirements stated herein . 8 . Any deductibles or self- insured retentions greater than $5, 000 must be approved by the Risk Manager for Indian River County with the ultimate responsibility for same going to the CONSULTANT. SECTION XX - INDEMNIFICATION CONSULTANT hereby agrees to indemnify , and hold harmless , the COUNTY , and the COUNTY' s officers , employees and agents , from and against any and all claims from liabilities , damages , losses , costs , third party claims , judgments , and expense to persons or property , including reasonable attorneys' fees , to the extent caused by the negligence , recklessness , or intentionally wrongful conduct of CONSULTANT , or of Consultant' s officers , employees , or agents , and CONSULTANT shall indemnify the COUNTY against any such claims and any judgments that may be entered in connection therewith , including reasonable attorneys' fees . SECTION XXI — CHOICE OF LAW AND VENUE The laws of the State of Florida shall govern this Agreement . Venue for any lawsuit brought by either party against the other party or otherwise arising out of this Contract shall be in Indian River County , Florida , or in the event of a federal jurisdiction , in the United States District Court for the Southern District of Florida . SECTION XXII — ENTIRETY OF AGREEMENT This writing embodies the entire Agreement and understanding between the parties hereto , and there are no other Agreements and understandings , oral or written , with reference to the subject matter hereof that are not merged herein and superseded hereby . No alteration , change , or modification of the terms of this Agreement shall be valid unless made in writing and signed by both parties hereto . Those portions found void , illegal , or unenforceable shall be ( at the discretion of the COUNTY) , replaced with provisional language that will provide the intent of the original section in question .
