J> IV AGREEMENT FOR PROFESSIONAL INSPECTOR SERVICES ✓ � �05 between INDIAN RIVER COUNTY and M . T. CAUSLEY, INC. THIS AGREEMENT for Professional Inspector Services ("Agreement") entered into this 15 + h day of FPr,,, ,al_, , 2005 , between Indian River County, a political subdivision of the State of Florida, hereinafter referred to as the "County, " and M. T . Causley , Inc . , hereinafter referred to as "Causley. " WITNESSETH WHEREAS , the County -is in need of additional inspectors due to the volume of inspections caused by hurricane damage and growth in the County ; and WHEREAS, Causley ; acting as an independent contractor, can assist the County by providing qualified inspectors to conduct various building and construction inspections ; and WHEREAS , Causley represents that they are capable of providing inspectors available to the County upon issuance of a work order; and WHEREAS , Causley represents that all Inspectors supplied to the County under this agreement are properly brained and certified to carry out the functions required under state and local law; and That the COUNTY and CAUSLEY, in consideration of their mutual covenants , herein agree with respect to the performance of professional inspection services by CAUSLEY, and the payment for those services by the COUNTY, as set forth below and in individual Work Orders . This agreement shall be referred to as the " MASTER AGREEMENT" under which future Work Orders will apply. CAUSLEY shall provide the COUNTY with professional inspection services and such other related services as defined in specific Work Orders . CAUSLEY shall serve as an independent contractor to the COUNTY during the performance of the services to be rendered . SECTION I — PROJECT LIMITS Project limits shall be identified in individual Work Orders prepared by the COUNTY and approved by CAUSLEY. Each Work Order wiff be sequentially numbered and formally approved by the COUNTY prior to a Notice-to- Proceed being issued . Basic services required of CAUSLEY for the project will be described in other appropriate sections of this Agreement and in individual Work Orders , SECTION I1 — COUNTY OBLIGATIONS The COUNTY agrees for pro>vkLa the foklrwing~ materWt, data, or services as required in connection with the work to be performed under this Agreement: I CAT)nrnmantc and RPttinaR\nam\T .neal RPttlnaC\TPmnnrary TntPrnat Fi1P.S\0TXRR\TnRnP..ntnr AarPPmetnt rine. A. Provide CAUSLEY with a copy of any pertinent preliminary data or reports available to the COUNTY. B . Provide CAUSLEY with all reasonably available drawings , surveys , maps , and other documents in the possession of the COUNTY that are pertinent to the project . C . The COUNTY shall make all provisions for CAUSLEY to enter upon public --- or private property as reasonably required for CAUSLEY to perform its services . D . The COUNTY shall supply CAUSLEY with copies of all applicable local codes and regulations. SECTION III — SCOPE OF SERVICES CAUSLEY agrees to perform all necessary professional inspection services and other pertinent services in connection with the assigned project as required and as set forth in the following : A. General 1 . CAUSLEY shall attend meetings with the COUNTY and its representatives , upon request . 2 . In order to accomplish the work described under this Agreement under the time frames and conditions set forth in this Agreement , CAUSLEY shall : a . Complete inspection work on a timely basis by maintaining an adequate staff of qualified inspector at all times . b . Comply with all federal , state ,. and local laws applicable to this project(s) . . C, CAUSLEY shall cooperate fully with the COUNTY in order that all inspections may be properly scheduled and coordinated . d . CAUSLEY shall report the status of the project to the County Building Official upon request and hold all drawings , calculations , and related work open to the inspection of the COUNTY at any time , upon reasonable request. 4 . All original documents (copy of) , furnished to CAUSLEY by the COUNTY pursuant to this Agreement , are and shall remain the property of the COUNTY , and shall be delivered to the COUNTY upon completion of the work. All items prepared by CAUSLEY shall be created, maintained , updated, and provided in the format as specified by the COUNTY. 5 . Compensation to CAUSLEY for services shall be in accordance with each Work Order, as mutually agreed upon by CAUSLEY and the COUNTY. Schedule of current hourly billing rates are included in " Exhibit A" attached , and will be included as part of each Work Order when approved . Said materials shall be made available to the COUNTY by CAUSLEY at any time upon request of the COUNTY. SECTION XI - NOTICES Any notices , reports or other written communications from CAUSLEY to the COUNTY shall be considered delivered when posted by certified mail or delivered in person to the County Building Official . Any notices , reports or other communications from the COUNTY to CAUSLEY, shall be considered delivered when posted by certified mail to CAUSLEY at the last address left on file with the COUNTY or delivered in - person to CAUSLEY or its authorized representative . SECTION XII — TERMINATION Either party may terminate this Agreement upon seven ( 7) days written notice to the other party , except if CAUSLEY terminates this Agreement, such termination shall not be effective , absent the COUNTY's consent, until CAUSLEY' S completion to the COUNTY' s satisfaction , of any pending Work Order. SECTION XIII —CAUSLEY'S PERSONNEL ASSIGNED TO THE PROJECT The COUNTY shall have the right of approval of all CAUSLEY's personnel assigned to any COUNTY project. Therefore , any subsequent changing of assigned personnel to any COUNTY project shall also be subject to COUNTY approval . Failure to adhere to this policy shall be considered a cause for contract termination . SECTION XIV — AUDIT RIGHTS The COUNTY reserves the right to audit the records of CAUSLEY related to this Agreement at any time during the prosecution of the work included herein and for a period of three years after final payment is made . SECTION XV — SUBLETTING CAUSLEY shall not sublet , assign , or transfer any work under this Agreement without the written consent of the COUNTY. SECTION XVI — WARRANTY CAUSLEY warrants that it has not employed or retained any company or person other than a bona fide employee working solely for CAUSLEY, to solicit or secure this Agreement, and that it has not paid or agreed to pay any company or person other than a bona fide employee working solely for CAUSLEY any fee, commission , percentage fee , gifts or any other considerations , contingent upon or resulting from the award or making of this Agreement . For CAUSLEY' S breach of violation of this warranty , the COUNTY shall have the right to annul this Agreement without liability . This Agreement shall remain in full force and effect for a period of one year after the date of execution thereof, or until completion of all inspections as defined by the County Building Official , whichever occurs first , or unless otherwise terminated by mutual consent of the parties hereto , or terminated pursuant to Section XII - " Termination . " This Agreement may be extended for three additional one year increments at the discretion of the COUNTY. SECTION XVIII — INSURANCE During the performance of the work covered by this Agreement, CAUSLEY shall provide the COUNTY with evidence that CAUSLEY has obtained and maintains the V nsurance listed in the Agreement . 1 . CAUSLEY shall procure and maintain for the duration of the Agreement , insurance against claims for injuries to persons or damages to property which may arise from or in connection with the performance of the work hereunder by CAUSLEY, its agents , representatives , employees or subcontractors . The cost of such insurance shall be included in CAUSLEY's fees . 2 . Minimum Score of Insurance (for fees less than $500 , 000) : A. Worker's Compensation as required by the State of Florida . Employers Liability of $ 100 , 000 each accident , $ 500 , 000 disease policy limit , and $ 100 , 000 disease each employee . B . General Liability $ 1 , 000 , 000 combined single limit per accident for bodily injury and property damage. Coverage shall include premises/operations , products/completed operations , contractual liability, and independent contractors . COUNTY shall be named an "Additional Insured " on the certificate of insurance . C . Auto Liability $ 500 , 000 combined single limit per accident for bodily injury and property damage. Coverage shall include owned vehicles , hired vehicles , and non-owned vehicles . COUNTY shall be named an "Additional Insured " on the certificate of insurance . D . Professional Liability Insurance providing coverage for negligent acts , errors , or omissions committed by SURVEYOR with a $ 500 , 000 per claim/annual aggregate . This insurance shall extend coverage to loss of interest , earning , profit, use and business interruption , cost of replacement power, and other special , indirect, and consequential damages . 3 . CAUSLEY's insurance coverage shall. be primary . 4 . All above insurance policies shall be placed with insurers with a Best' s rating of no less that XVII . The insurance policies procured , other than professional liability , shall be occurrence forms , not claims made policies . Professional liability shall be on a claims- made basis . 6 . The insurance companies chosen shall provide certificates of insurance prior to signing of contracts, to the Indian River County Risk Management Department . 7 . Each insurance company shall provide the Indian River County Risk Management Department with a certificate of insurance that states that the insurance company will provide 30 days notice to the Risk Management Department, of its intent to modify or cancel said policies of insurance . Such notice shall be in writing by registered mail , return receipt requested , and addressed to the Risk Manager of the Risk Management Department, 8 . CAUSLEY shall include all sub-contractors as insured under its policies or shall furnish separate certificates and endorsements for each subcontractor. All coverages for subcontractors shall be subject to all of the requirements stated herein . 9 . Any deductibles or self-insured retentions greater than $5 , 000 must be approved by the Risk Manager for Indian River County with the ultimate responsibility for same going to CAUSLEY. SECTION XIX - INDEMNIFICATION CAUSLEY hereby agrees to indemnify , and hold harmless , the COUNTY, and the COUNTY's officers, employees and agents , from and against any and all claims from liabilities , damages , losses , costs , third party claims , judgments , and expense to persons or property, including reasonable attorneys ' fees , to the extent caused by the negligence, recklessness , or intentionally wrongful conduct of CAUSLEY, or of CAUSLEY's officers , employees , or agents , and CAUSLEY shall indemnify the COUNTY against any such claims and any judgments that may be entered in connection therewith , including reasonable attorneys' fees . SECTION XX — SAFETY CAUSLEY is solely responsible for any job site safety. However, in accordance with generally accepted practices , CAUSLEY may report any observed job site safety violations by others to the COUNTY. SECTION XXI — CHOICE OF LAW AND VENUE This Agreement shall be governed by the laws of the State of Florida. Venue for any lawsuit brought by either party against the other party or otherwise arising out of this Contract shall be in Indian River County , Florida , or in the event of a federal jurisdiction , in the United States District Court for the Southern District of Florida . No alteration , change , or modification of the terms of this Agreement shall be valid unless made in writing and signed by both parties hereto . SECTION XXIII - SEVERABILITY If any provision , section , or paragraph of this agreement is determined by a court of competent jurisdiction to be void , illegal , or unenforceable , the remaining portions not found to be void , illegal , or unenforceable , shall remain in full force and effect . SECTION XXIV — INDEPENDENT CONTRACTOR STATUS It is agreed by the parties that CAUSLEY and employees supplied by CAUSLEY are acting as Independent Contractors and not employees of the COUNTY. CAUSLEY employees shall not be entitled to any benefits other that set forth in this agreement . CAUSLEY shall supply it's employees with their own vehicles , radios , cellular phone and any other equipment . IN WITNESSWHEREOF the parties hereto have executed these presents this day of 2005 . SCOPE OF SERVICES Scone of Work (General Description of Services ) The following is a general description of services that upon issuance of a Work Order shall be performed by the INDEPENDENT INSPECTOR/CONTRACTOR : A. The INDEPENDENT INSPECTOR/CONTRACTOR shall perform tasks comparable to that of a Building Construction Inspector. Such duties are as follow: 1 . Inspection and Plan Review services including , but not limited to , general building , mechanical , ( HVAC) , plumbing , structural and electrical inspections and services , -as - well :as providing all <admirnistrative :dacL-trnentation as -requk-ed #by . the COUNTY as it relates to compliance with all applicable state and federal laws , rules and regulation , codes and directives . All INDEPENDENT IN'SPECTf3WCONTFZACTOR herein shall` be properly licensed by alt such authorities having jurisdiction over the same to provide such services and prior to commencing such services shall provide the COUNTY with thirty (30) days prior written evidence of the same for each such INDEPENDENT INSPECTOR/CONTRACTOR and party performing such services and such insurance thereto as provided herein . a) Inspect permitted construction within the COUNTY'S jurisdictional limits, for compliance with :the COUNTY and all other federal, state, and ,local laws , rules . regulations , directives , codes , ordinances and other applicable matters as it relates to construction activities within such jurisdictional limits herein. b) Receive and investigate all alleged complaints of parties working without permit, violations - of arty state -or federal or -local , laws , rules, regulations , codes , ordinances or directives . Appear before any board or body having jurisdiction over any violations or complaints as deemed necessary by the COUNTY, C) Prepare written reports ; of inspections and investigations of complaints and =other -reports as may be requested by the CO NTY. All such reports shall be in such form as determined by the COUNTY. d) R aintain written and - computer records of inspections and investigations in a form acceptable to the COUNTY. Log daily inspections , plan reviews and reports in the COUNTY computer system and such other locations as provide€# by the COUNTY from tinne to time: e) Review plans for compliance with all applicable state , federal and #flcal =laws , rte#es, .r�egu#at�ns , 0Gdes , .ordk4&nces and directives .as otherwise _ provided for herein . fl Contact contractors , architects , engineers , and citizens about construction projects, code questi4Dns and other concerns g) Perform other duties that are related to or incidental to the -Inspector's , primefy %duties as herein describe and that - the -COUNTY may -from time to time assign . The INDEPENDENT INSPECTOR/CONTRACTOR duties and responsibilities may change from time to time . h) Perform these duties during normal business hours of 8 : 00 AM to 4 : 30 PM, Monday through Friday, or as may be altered in writing by the .parties hereto by mutual agreement . 2 . Inspection Services and Plan Review Services and any other services required by the COUNTY sha#- be provided in . the event of a natural disaster and other events , such as , but not limited to , hurricanes , floods , fires , terrorism , acts of war etc. , 3 . Inspection personnel may be required to attend meetings or to provide consultation to the COUNTY. 4 . Review and process construction plans for obtaining building permits on an as. . needed .basis . 5 . Code Enforcement and Zoning Landscape inspections . B . INDEPENDENT INSPECTOR/CONTRACTOR' S employees shall devote full time : and attention to the duties as prescribed in this Agreement and during the time contracted with the COUNTYshallnot engage in any -other contractual activities without the without the express written approval of the County Administrator, which consent maybe withheld . C . INDEPENDENT INSPECTOR/CONTRACTOR shall maintain his Inspector's Certification with the State of Florida , to continually provide his best efforts to efficiently :perform duties and responsibilities as .assigned - in -a proper and professional manner, to uphold the COUNTY regulations and policies , and to abide by ethical standards of conduct appropriate to the INDEPENDENT INSPECTOR/CONTRACTOR ' S position and comply with all applicable state, federal and local laws, rules, regulations , codes , or ordinances an directives . ATTACHMENT B COMPENSATION FEE SCHEDULE The basis for the compensation -sfirali '.be labor fiaurs 'times cost -per our 'rnaccordanbe with this Compensation Fee Schedule as follows : Notwithstanding the foregoing , the compensation paid by the COUN-T ` to the INDEPENDENT INSPECTOR/CONTRACTOR for labor shall not exceed the ; Not4o= exceed price set forth in the approved Work Order, FREQUENCY OF BILLING Invoicing shall be submitted to the COUNTY on a monthly basis for the work performed during that billing period . SUPPLEMENTAL RECORDS The INDEPENDENT INSPECTOR/CONTRACTOR must maintain adequately detailed tii --ne reco€ds fof all INDEPENDEIST/C.0W TO:R' S employees- the COUNTY time sheets , if requested by the COUNTY to be performdecd pony presentation of each invoice . Receipts and other documents , if requested by the COUNTY, _s'hat! be provided to sdbs'tan'tiiaa'tee -all -expenditures . COMPENSATION FOR SERVICES A. The COUNTY shall pay to the INDEPENDENT INSPECTOR/CONTRACTOR once monthly at the rate in accordance with INSPECTOR/CONTRACTOR' S proposal amount -and as -4denfified 4wein , :at -an y rate based a bi-weekay W -ivw period , in the event the contract is renewed after September 30 , 2005 pursuant to the terms of Article 1 , the COUNTY may , in its sole discretion , consider an adjustment in the hourly rate provided written notice, 'inducting detaifed documentation Substantiating the increase , is submitted to the County Building Official no later than sixty (60) days prior to the anniversary date of the signing of this Agreement. The aforesaid rate shall continue until such time as any adjustment is made at the mutual agreement of the parties hereto . If actual hours worked by the INDEPENDENT INSPECTOR/CONTRACTOR shall be compensated at the rate in accordance with INDEPENDENT INSPECTOR/CONTRACTOR'S proposal amount at a per hour for each hour worked over 40 hours . If the INDEPENDENT INSPECTOR/CONTRACTOR ' S actual hours are less than 40 hours , INDEPENDEW 4WZCT0,RiCQNTRAGT0R 4nvoice will be adjusted downward at the rat in accordance with INDEPENDENT INSPECTOR/CONTRACTOR ' S actual proposal amount at a per hour for each hour worked aver 4G hours. INDEPENIDENT WSPECTOR/EONTRACTOR is solely: responsible for the payment of any and all pertinent federal , state , or local self- employment or income taxes , or together assessments levied by governmental authorities on -any monies paid as a result of his contractual relationship with the COUNTY. The INDEPENDENT INSPECTOR/CONTRACTOR shall reimburse the COUNTY for any claim or assessmeOnt , including interest and penalties , by any taxing authority arising from this paragraph . INDEPENDENT INSPECTOR/CONTRACTOR shall maintain time records in a format acceptable to the COUKTY and invoice for such time in such a format acceptable to the COUNTY. B .
