AMENDMENT #11
TO PROFESSIONAL ENGINEERING SERVICES AGREEMENT
COUNTY ROAD 512 CORRIDOR IMPROVEMENT

THIS AMENDMENT TO PROFESSIONAL ENGINEERING SERVICES
AGREEMENT ("Amendment") by and between INDIAN RIVER COUNTY, a political
subdivision of the State of Florida ("County") , and MASTELLER & MOLER , INC . , a Florida
corporation (" Engineers") , is dated August 22 , 2006 .
WHEREAS , County and Engineers entered into a contract dated January 21 , 1997 ,
for engineering and surveying services for expansion and improvements to County Road
512 between 1-95 and Roseland Road ; and
WHEREAS , in Section 9 of the attachment entitled " Scope of Services" Engineers
agreed to perform construction phase services for the County, at a price not to exceed
$51 , 500 . 00 ; and
WHEREAS , since 1997 , the contract has been amended on ten ( 10 ) previous
occasions ; and
WHEREAS , due to delays beyond the control of either party , it is necessary to
amend the original contract by increasing the amount of fund for construction phase
services ; and
WHEREAS , since the compensation agreed to in the original contract is now ten
years old , it is fair to revisit the hourly rate schedule to reflect current day professional
services , prices , and costs ,
NOW, THEREFORE , in consideration of the mutual covenants set forth herein and
intending to be legally bound , the parties to this Amendment agree as follows -

2 . The parties agree to amend the Professional Engineering Services Agreement ,
Section 5 , Compensation , to include the " Hourly Rate Schedule for Additional Service
Work for Phase 111 ' that appears on Exhibit A attached hereto and made a part hereof by
reference .
3 . Aside from the changes specified in paragraph 2 above , no other section of the
contract or previous amendment shall be changed by this Amendment.

INDIAN RIVER COUNTY, FL
Phase III of the project is under contract and construction services will be required by the
consultant, Masteller & Moler, Inc. and their Bridge Sub-consultant. The original agreement for
services dated January 21 , 1997 has "Section V — Compensation" which contains a "Construction
Services $51 ,500 (hourly estimate)" and job classification and hourly rate schedule for additional
services. Since the Construction Services hourly estimate and hourly rates are almost ten ( 10)
years old, this Amendment # 11 to the Contract will serve to revise and update the Construction
Services hourly estimate and hourly rates for Phase III as follows :
The first paragraph under Section V — Compensation of the Original Agreement contains the
amount of $51 ,500 (hourly estimate) for construction services. This Addendum # 11 will update
and revise this amount to $70,000. 00 (Not to Exceed) for Phase III Construction Services.
