HABITAT CONSERVATION PLAN
AMENDMENT NO. 2 TO THE PROFESSIONAL SERVICES AGREEMENT BETWEEN
ECOLOGICAL ASSOCIATES INC., AND INDIAN RIVER COUNTY, FLORIDA.
This is an amendment to the existing Professional Services Aunt (AGREEMENT) dated
October 12, 1999, between Ecological Associates Inc . (CONSULTANT) and Indian River County
(COUNTY) . This amendment addresses changes in "Section III — Scope of Services", "Section V —
Compensation" and "Section XVI — Duration of Agreement".
Amendment Description
This Amendment includes the following changes to "Section III - Scope of Services",
"Section V — Compensation" and "Section XVI — Duration of Agreement" of the Agreement.
SECTION III
The CONSULTANT shall complete the additional scope of service items in
accordance with tasks described in Exhibit "A".
SECTION V
Section V is being revised in response to the Section III changes. The charges associated with
the change in project scope are in accordance with Exhibit "A".
SECTION XVI
Section XVI of the Agreement is herein modified to stipulate that the Agreement shall remain
in full force and effect until March 31 , 2006, or until completion of all project phases as specified by
the County Coastal Resource Manager, whichever occurs first, or unless otherwise terminated by
mutual consent of the parties hereto or pursuant to Section XII of this contract.

This AGREEMENT is hereby amended as specifically set forth herein. All other sections of
the AGREEMENT shall remain in full force and effect, and are incorporated herein.
This Amendment No . 2 to the AGREEMENT regardless of where executed, shall be
governed by and construed by the laws of the State of Florida.

Dear Dr. Gorham:
On October 18, 2002, Ecological Associates, Inc. (EAI) presented a Scope of Work and
Cost Proposal for implementation of the County' s new HCP for emergency shoreline
protection. On November 5 , 2002, the County amended its Professional Services
Agreement with EAI to cover the newly proposed services. Following issuance of the
Incidental Take Permit on December 1 , 2004, the County has requested that EAI expand
certain services to - ensure that the HCP is fully and properly. implemented . Accordingly,
EAI proposes the following amendments to its current Agreement :
1 ) SECTION III — Scope of Services
Task 6 of Exlu'b t A (Scope of Work) of our Agreement should be: amended , to : read :
EAI will conduct sea turtle nesting surveys of South County Beaches
from the northern limit of the City of Vero Beach to the Indian
River/St. Lucie County Line.
This change expands survey area boundaries to include the City of Vero Beach.
Survey procedures, timing of surveys, and all activities related to this task are
unchanged.
2) SECTION V - Compensation:
Under the Agreement, costs for HCP implementation total $ 144, 185 . Expansion of
the survey area, as described in SECTION III above, will increase the total project
cost by $ 10, 970 to $155,155 .
3 ) SECTION XVI — Duration of Agreement
The existing Agreement expires November S . 2005 , Some tasks required under the
ITP have a one-year completion deadline, which would be December 1 , 2005 .

Additionally, data and information related to HCP implementation has to be compiled
into an Annual Report deliverable to the Service by March 31 of each calendar year.
Thus, data collected during the first year of HCP implementation (2005) must be
reported by March 31 , 2006. EAI is currently contracted to perform this service, the
specifics of which are described under Task 7 of Exhibit A (Scope of Work) of our
Agreement. To permit completion of this task, the duration of the Agreement should
be extended from November 5, 2005 to March 31 , 2006.
